外资在华并购的反垄断规制问题研究

近些年来,全球排名前几位的企业之间的并购,尤其是横向并购有愈演愈烈之势。从2004年开始的新一轮并购浪潮已经渐入高潮,更集中的全球市场结构已经引起各国关注。而在华跨国并购的几个特点都反映出非按市场运作的特点。与国际趋势比较,可以说目前的在华并购市场是存在相当程度的扭曲的,许多并购不当形成或加强了垄断地位。本文建议对在华跨国并购应从事前加以反垄断规制。

Antitrust Controls on Transnational Mergers in China

In the recent years,mergers,especially the horizontal mergers,among the top companies in the world have becoming more and more intensive.A new tide of mergers starting from 2004 has come to a higher level than ever,which caused more centralized structure of global market.The mergers taking place in China reveals characteristically that they are to a great extent twisted,and not operated by the rules of market.Many mergers inappropriately produced or strengthened the position of monopoly.This article suggests that some anti-monopolistic rules should be applied to the transnational mergers happened in China.
