摘    要:建立市场经济体制的要素之一是确立企业家本位,基于企业家人力资本补偿和激励的管理层收购(MBO)是中国实施MBO的基本视角,企业家人力资本补偿缺失和企业家人力资本激励缺失是长虹换帅问题上的硬伤。

Abstract:The key to establish market economy system is to set up enterpriser departmentalism. The basic angle of viewing about performing management buyout (MBO) in China is MBO based on enterpriser's compensation for human capital and encouragement. Lack of enterpriser's compensation for human capital and encouragement is the most important problem of leadership's subrogation in Changhong Corporation.
