基于职能视角的独立董事激励机制研究

从职能期望而言，独立董事应兼具监督职能、战略职能与政治职能三大职能。与公司高管层激励机制比较，我国独立董事激励机制有其特殊性，独立董事的激励陷入了薪酬激励与声誉激励的争论。从我国上市公司独立董事激励机制的实践来看，我国独立董事激励机制表现出激励内容单一，独立董事的津贴水平与责任、风险不匹配等缺点。激励机制设计中必须要有足够的“动力”，期望功能才能有效实现。
