我国行业主导企业应对外资同业恶意并购的措施研究

外资企业在中国的投资方式越来越倾向于同业并购，近几年来，大型跨国公司恶意并购我国行业主导企业的事件时有发生，这给我国的经济安全与企业发展都带来了隐患。文章从跨国公司恶意并购我国行业主导企业的危害入手，在对跨国公司恶意并购我国行业主导企业的动机与原因分析的基础上，以并购的流程为线索，从前期准备、合同签约、运作管理与纠纷解决四个方面系统地研究我国行业主导企业的应对策略。

The Measures for Chinese Leading Enterprise Against Foreign Enterprises Hostile M&A

The investment of foreign enterprises in China trend to mergers and acquisitions in the same industry increasingly. In recent years, large multinational corporations take over Chinese industry leading companies hostilely happened sometimes, which brought problems to China＇s economic security and enterprise development. This paper began with the harms of multinational enterprises＇ hostile mergers and acquisitions to the leading corporations, then analyzes the motivation and reasons about the multinational enterprises＇ hostile mergers and acquisitions, and taken the process of mergers and acquisitions as a clue, researches the settlement strategy about the leading corporations orderly form following four aspects： the pre-preparation, contract signing, operations management, dispute resolution.
