| 摘 要： | 垄断或寡占的威胁是跨国并购最重要的负面影响,对跨国并购实施有效的竞争规制则成为各国外资并购规制中的首要目标.本文分析跨国并购的竞争效应,评述跨国并购竞争规制的国际趋势,阐明外资并购对我国竞争格局和竞争主体的影响,评介我国竞争规制现状,并在此基础上提出规制我国外资并购的制度安排.

| Abstract: | Monopoly and oligopoly are the major negative influences of cross - border M&A, so implementing effective competitive regulation become the most important goal of government policies on FDI. This paper analyzes competitive effect of cross - border M&A, comments on the global trend of competitive regulation, discusses the influence of cross - border M&A on competitive structure and competitive subjects on Chinese market, reviews current situation of competitive regulation in our country. On the basis of above analysis, the paper offers suggestions on the policies of government competitive regulation. |
