完善对中小股东权益的保护机制

2005年修改后的公司法赋予了中小股东一系列的自益权和共益权。但是修改后的公司法并没有彻底改变中小股东受大股东摆布的命运。鉴于此，本文深入分析了《公司法》目前对中小股东权利保护相关规定的不足，并提出了完善中小股东权益保护机制的几点建议。

Perfecting the Rights of Minority Shareholders' Protection Mechanism

Amendments of the Companies Act in 2005 are the gospel of minority shareholders. It gives a series rights of self- benefit and common -benefit for the minority shareholders. However, the revised Company Act has not completely changed the tragic fate of minority shareholders. In view of this article thorough deep analysis the insufficiency of ＂Act of corporation＂ to minority stockholders related stipulation of right protection at present, and proposed the several suggestions of consummates protection mechanism of minority shareholder fights and interests.
