| 摘 要： | 本文从外商投资企业^①股权及股权转让的定义入手，分析股权转让的基本程序，从而阐述在外商投资企业股权转让的过程申，股东权益及股东地位的变化是一个渐进的过程。股权转让应以目标公司从股权出让方收回出资证明书、向股权受让方出具出资证明书，并变更股东名册记载为完成的标志。

| Abstract: | The changes of shareholder's rights and shareholder status in the transfer of shareholding rights are a gradual process. Base on this fact, the thesis puts forward the viewpoint that the completion of shareholding rights transfer is indicated by the fact that the shareholding rights transferor takes back the certificate of capital contribution, and the fact that the transferor brings forth the certificate of capital contribution to the transferee and changes the registration in the shareholders name list. |
