超市场契约的性质及其治理机制研究

从契约理论的角度看,企业网络或企业与市场的中间状态,是关系型契约的一个特殊类别,是企业间的超市场契约。其性质是,在价值链或产业中拥有关键性资源的企业,以行使控制权和指挥权的方式与其他企业进行交易。这种交易具有以往企业间交易所不曾有的若干特征:具有框架的特征,其内容是在实施过程中逐步充实和展开;整个交易过程伴随着生产过程,并渗透在生产过程中;被交易的产品是双方多重复合交易的结果。私人可履约资本、合作的潜在丰厚收益、违约的机会成本以及威廉姆森式的安全保证条款,是促使企业间超市场契约成为可自我实施契约的条件。
