国有商业银行公司治理的中匡特色及其优化对策

近年来，我国国有商业银行的公司治理水平不断提高，治理结构不断优化，形成了具有中国特色的治理框架，具体体现在治理中的政府干预、党组织的监督职能、传统文化对治理的深刻影响、独特的内部监督机制等方面。然而国有商业银行还存在国有股份“一股独大”、内部监督机制存在缺陷、激励约束机制不完善、治理模式有待改进、缺乏法治环境和治理文化、外部治理环境与内部治理难以匹配等问题。国有商业银行公司治理的改进有赖于逐步改革股权结构、完善内部监控制度、转变治理模式、发展外部市场要素、加强法治建设和培育治理文化等。

However, There are many problems exist in the corporate governance, including the single-large shareholder of state-owned stock, flawed internal supervision mechanism, unimproved incentive constraints mechanism and governance model, lack of the rule of law environment and management culture, unmatched external management environment and internal management and so on. In the future, the perfection of the corporate governance of China＇s state-owned commercial banks still needs to reform equity structure step by step, perfect the internal control system, change management mode, develop external market factors of banks, and strengthen the construction of the rule of law and cultivate the governance culture.
