建立企业经理人股权激励制度的理性思辨

摘    要:现代公司制企业需要一大批具有敬业和创新精神的职业经理人,为此需要一套有效的制度安排对以经营管理企业为职业的经理人进行长效激励。发达市场经济国家企业实行经理人激励制度的经验表明,股权激励制度是对经理人实施长期激励的主要方式。我国公司制企业应当积极进行股权激励方面的探索,充分发挥经理人股权激励制度应有的正面效应。

Abstract:Modem companies need a large sum of professional executives with spirits of loving occupation and innovation. It is urgent to establish a series of effective institutional arrangements to encourage the professional executives for a longterm. The incentive mechanism of stock option is the main form to implement the long-term incentive to the executives. The companies should make an active exploration to the incentive mechanism of stock option so as to exert its positive effect.
