| 摘 要： | 科斯的经典论文《企业的性质》开创了现代企业理论之先河，明确提出了契约理论。企业契约理论的一个基本命题，是将企业理解为一组合约的联结，主要研究企业的本质，企业与市场的边界，企业所有权或委托权的最优安排等问题。它突破了新古典框架下的企业“黑箱”模型，对现代企业理论产生了深远影响。

| Abstract: | The classic thesis of "The Nature of Enterprise" authored by Coase established the modern enterprise theories;and put forward the contract theory definitely.It took the enterprise as a conjunction of a set of contracts,which is one of basic standpoints of contractual theories of enterprise.The study mainly refers to the essence of enterprise,the boundary between enterprise and market,and the superior arrangement of the enterprise ownership,etc.It broke the Black Box model under the new classic frame,and produced a profound influence on the modern enterprise theories. |
