| 摘 要： | 环境的不同决定了在独立董事制度设计上的差异,也正是由于独立董事所面临的环境不同造成了同样的独立董事制度发挥作用的结果可能差异很大。通过比较中美独立董事所面临的制度环境差异,揭示了独立董事规制存在的问题,并提出了完善我国独立董事规制的建议。

| Abstract: | The environmental differences decide design differences of independent director system.It is the environmental differences faced with independent directors that make independent director system play a different role significantly.This paper compares environmental differences of the independent directors between China and the United States,reveals the problem of independent director regulation,and makes the proposal to perfect our independent director regulation. |
