中国民营企业的治理机制研究

当前对民营企业公司治理的研究主要侧重于治理结构,而对治理机制关注不足,在此基础上,本文着重对民营企业的公司治理机制(特别是决策机制和约束机制)进行了理论探讨,并提出了部分对策建议。在决策机制中,民营企业决策机制优化与人才引进存在理论上的最佳匹配点。在约束机制中,民营企业也存在“内部人控制”,可从民营企业主的个人能力与企业产权的开放程度以及民营企业主与职业经理人之间的信任两个视角对民营企业内部人控制现象进行分析。

Research of Corporate Governance Mechanism of Chinese Non-public Enterprises

Most research is stress on the corporate governance structure and put less attention on corporate governance mechanism of non-public enterprises.So the paper attempts to study and analyze corporate governance mechanism(especially decision-making mechanism and control mechanism) of non-public enterprises,and then gives some suggestions about that.In the decision-making mechanism,the improving process of decision-making mechanism by non-public enterprises and the introduction of talents has a best matching point in theory.In the control mechanism,insider control exists in non-public enterprises as well.And I explore the important issue from two sides: one is the relationship between the owner's individual capability and the opening of the property rights in the non-public enterprises;the other is the mutual trust between the owner and the professional manager.
