| 摘 要： | 公司被吊销营业执照，往往被当事人利用为恶意逃废债务的工具。为了解决这个问题，要首先明确公司营业执照只是公司经营资格的证明，而不是公司法人资格的证明。吊销营业执照不导致公司终止，只是引起公司清算。公司清算义务人对公司清算程序的启动负有义务，当其不履行清算义务时，债权人除可以要求进行强制清算外，还可以请求清算义务人承担侵权责任。清算义务人的侵权责任具有实现特定司法政策的功能，处于辅助性的地位。

| Abstract: | If a company's business license has been suspended,the company usually makes use of it to maliciously escape the performance of debts.To solve the problem,it shall be ascertained that business license is just a proof of operation qualification,rather than the proof of legal-person qualification by companies.Business license suspension doesn't lead to the termination of a company,which only causes the liquidation.As a liquidation obligor,the company shall be liable to start the liquidation procedure.When the liquidation obligor fails to perform its liquidation obligation,the creditor can make the claim for tortious liability besides the requirement of compulsory liquidation.Being in an affiliating status,tortious liability of liquidation obligor can serve a function to realize specific judicial policy. |
