| 摘 要： | 管理层收购(MBO)是我国目前是颇具争议的一种企业并购方式。本文从管理层收购和我国实际密切想联系的几个理论层面问题出发,对MBO这一现象进行探讨和思考。只有这些基本理论问题得到了解决,那些具体操作层面的问题才会纲举目张,思路清晰。

| Abstract: | Nowadays,Management Buy-out (MBO) is a kind of quite controversial enterprises' merging and acquisition way in China. This article discusses some theoretical problems that are closely connected with the situation in our country , and analyzes the predicament of MBO in China. Only when these basic theoretical problems have been solved, will those practical questions of MBO be easily explained and treated. |
