| 摘 要： | 本文从宏观制度层面对独立董事制度进行制度经济效果分析。采用的方法是利用混合横截面数据做政策经济效果分析。通过对2000年与2004年的混合截面数据进行分析,证实独立董事制度并没有取得经济效果,制度创新的“内卷化”是独立董事制度没有效果的深层次的,也是最根本的原因。

| Abstract: | This paper investigates the institutional and economic effects of independent director from macro system perspective.Analysis on cross panel data of 2000 and 2004 shows that the independent director system has not gained economic effect,and that the involvement of system innovation is the deep-rooted and fundamental cause of it. |
