| 摘 要： | 近年来上市公司对外债务担保中存在的问题比较严重,本文总结了目前上市公司对外债务担保中普遍存在的六个方面突出问题;从法律、法规的不完善等方面分析了其深刻原因;从完善相关法律、法规制度,建立独立董事、流通股股东联合否决机制,建立对外担保的风险评价体系等方面分别提出相应的治理措施。
