| 摘 要： | 近年来，我国企业跨国并购活动日趋活跃．并购主体多数是我国的龙头企业，且以国有企业为主，但民营企业开始崭露头角，跨国并购的主要动因来自企业内部，区位选择呈现明显的资源、技术导向和市场导向。未来一段时期内，我国企业跨国并购总规模将迅速扩大，“国家领军型”企业将成为跨国并购的主角。但是．短期内“纯市场”型的跨国并购不会全面爆发。我国企业应该加强风险管理，重点化解国际政治风险、企业规模风险与公司治理风险和市场风险。
