| 摘 要： | 本文在公司治理参与者治理效率评价的基础上．针对中国上市公司一股独大的股权结构现状所导致的双重委托代理问题，结合独立董事制度和机构投资者的发展现状．分析了独立董事特征和机构投资者的治理动力和能力，提出了独立董事和机构投资者在解决第二类代理问题中，分别在内外治理机制中处于核心地位的双核心观点。

| Abstract: | On the basis of evaluating the participants' governing efficiency and considering the status of independent directors and institutional investors, this paper studies their governing motive and competence, and proposes the opinion that independent directors and institutional investors stand at the core place in the external and internal governance systems when solving the second agent issue, with regard to the dual-agent issue caused by the common phenomena that one shareholder dominates in China's listed firms. |
