| 摘 要： | 证券公司发展场外发行业务，是满足投资者投资和企业融资需求的要求，也是证券公司自身培育利润增长点的需要。本文借鉴海外投资银行开展场外发行业务的经验，在建立和完善场外发行市场的前提下，探索建立健全我国证券公司的场外发行业务创新及其风险控制机制。

| Abstract: | The development of OTC market provides investment tools for investors, new financing channels for enterprises and new profit sources for securities companies themselves. This paper studies the successful experience of overseas investment banking in this business fields, suggests that securities companies should innovate the OTC business as well as design and perfect the risk mechanism to control the related risks. |
