| 摘 要： | 笔者以一个探路者的身份站在了关于注册制与核准制的争论中,通过对这两种发行审核制度进行辨析,指出市场化程度较高的注册制虽能成为我国证券市场新股发行体制改革的目标,但我国证券市场新股发行体制改革的成功与否、进度如何,则取决于与之配套的法律基础制度和环境是否完善。在此基础上,本文分析了我国现行新股发行法律责任体系和诚信监管制度的现状和不足,并提出了应对策。

| Abstract: | With the discrimination between registration system and approval system,this paper points out that the success and process of China’s securities issuance system revolution depend on the perfection of the matched legal system and environment.We also analyze the status and deficiency of current China’s stocks issuance legal obligation system and integrity regulatory system,and provide some countermeasures. |
