论国有上市银行独立董事制度的完善

在银行业逐步开放的背景下,国家开放外资参股国有商业银行的主要目的是通过战略投资者的参股改善国有银行的治理水平。本文通过考察外资参股国有商业银行推行独立董事制度的部分实践并结合国内外关于独立董事制度的相关经验,提出独立董事在国有商业银行中的主要功能定位应不同于一般的上市公司,应主要发挥保护存款人利益,关注银行风险的作用。文章还对商业银行独立董事制度的建构以及如何协调独立董事与现有银行的外部监事制度的关系提出建议。

The Improvement of Independent Director System in State-owned Public Banks

In the background of gradual openness of banks to foreign capital, state-owned banks are encouraged to build strategic relationship with foreign shareholders in the aim to improve its corporate governance level. In review of the practice of independent director system, which is carried out by foreign partners, this article proposes that the function of independent directors in state-owned banks should be distinct from that in public corporate. The article also makes suggestions on the construction of independent director system in commercial banks, and on the relationship between independent director system and the exterior supervisor system.
