In the wake of the most recent financial crisis, corporations have been criticized as being self-interested and unmindful of their relationship to society. Indeed, the blame is sometimes placed on the corporate legal form, which can exacerbate the tension between duties to shareholders and interests of stakeholders. In comparison, the Benefit Corporation (BC) is a new legal business entity that is obligated to pursue public benefit in addition to the responsibility to return profits to shareholders. It is legally a for-profit, socially obligated, corporate form of business, with all the traditional corporate characteristics combined with societal responsibilities. Considering the history and perception of shareholder primacy in United States law, it is argued that this new business structure is an ethical step toward empowering socially committed commercial entities. The contribution of this research is to provide a fundamental base of knowledge about the new legal form of business, the BC, upon which further study may rely. First, the legal history of the corporation is briefly reviewed in order to provide context to the relationship of the corporate form to society, including exploration of the premise that shareholder wealth maximization is its best and only purpose. Second, the BC is described in detail, and state statutes are compared. Third, the BC is placed within the context of corporate social responsibility. Finally, opportunities for future research are discussed.  相似文献

"An ethics report is a snapshot of a process taking place at various levels within a company and between its stakeholders." Ethics reports can serve a number of purposes, and for large multinational companies they can provide an important tool for stakeholder management, as is illustrated in the case of Shell. Globalization has increased the economic power of the multinational corporation (MNC), engendering calls for greater corporate social responsibility (CSR) from these companies. However, the current mechanisms of global governance are inadequate to codify and enforce recognized CSR standards. One method by which companies can impact positively on global governance is through the mechanism of Global Public Policy Networks (GPPN). These networks build on the individual strength of MNCs, domestic governments, and non-governmental organizations to create expected standards of behaviour in such areas as labour rights, environmental standards, and working conditions. This article models GPPN in the issue area of CSR. The potential benefits of GPPN include better overall coordination among industry and government in establishing what social expectations the modern MNC will be expected to fill. The social responsibility of the business community has been widely discussed in the past few years. In retailing terms, it is often defined in terms of a need to behave ethically and to discharge a sectoral responsibility to provide society with the retail facilities it needs. This second of the annual Stockton Lectures starts by reflecting on the achievements of the founding fathers of the modern world economy in the immediate aftermath of World War II. Their legacy has been increasing interdependence and globalisation. Peter Sutherland argues that these have had a positive impact almost throughout the world and that these positive consequences of the market economy system do not necessarily have to be associated with increasing gaps between the rich and poor. He makes the case for multinationals to show commitment to what he calls the common good (as opposed only to shareholder returns). He examines the fundamental contradiction between free trade and national sovereignty and argues for more supranational (rather than just intergovernmental) decision-making and implementation. However, he also emphasises that some areas are not appropriate for integration or supranational action, most notably tax and workers' rights. These should remain within the domain of national governments. He concludes by discussing threats to the world economy posed by the tension between the US and the EU on trade-related issues, and argues that inappropriate use of the WTO process threatens to destroy the whole system which has yielded so many economic benefits worldwide since 1945.  相似文献

研究以企业社会责任为视角,通过实验研究重点探讨了对品牌丑闻信息的消费者购买意愿影响问题。研究结果认为:①不同的品牌丑闻信息危害程度对消费者的购买意愿影响是不同的;②企业履行积极的社会责任能够有效降低品牌丑闻对消费者的负面效应,即无论品牌丑闻严重程度如何,消费者的购买意愿都无显著差异;而当企业履行消极的社会责任时,品牌丑闻严重程度对消费者购买意愿有显著的负向影响。研究结论对企业实施品牌危机管理具有重要的指导与借鉴意义。  相似文献

The aim of this paper is to shed some light on understanding why companies adopt environmentally responsible behavior and what impact this adoption has on their performance. This is an empirical study that focuses on the United Nations (UN) Global Compact (GC) initiative as a Corporate Social Responsibility (CSR) mechanism. A survey was conducted among GC participants, of which 29 responded. The survey relies on the anticipated and actual benefits noted by the participants in the GC. The results, while not conclusive, indicate that companies have more than one reason for adopting environmentally responsible behavior and that ethical and economic reasons co-exist. In terms of performance, the impact of participation in the GC seems to be particularly high in securing network opportunities and improved corporate image. The results indicate that companies that have participated many years in the GC, have submitted the most projects and have attended the most GC meetings also regard their CSR involvement as having had a strong, positive influence on their market performance. GC participation does not result in significant cost advantages, but this does not seem to have been regarded as a goal anyway. Costs seem to be affected to a␣large extent by existence of in-house research and␣development and the capability of developing environmentally sound technologies. Overall, the company receives both ethical and economic benefits from joining the GC. Dilek Cetindamar received her B.S. degree from Industrial Engineering Department at Bogazici University (BU), her MA degree from Economics Department at BU, and her Ph.D. degree from management Department at Istanbul Technical University in 1995. Before her appointment to the Faculty of Management at Sabanci University in 1999, she worked in the following universities: BU, Case Western Reserve University (USA), Portland state university (USA),and Chalmers University of Technology (Sweden). She has seven books, 15 book chapters, and 22 papers published in various international journals. She received an encouragement award from Turkish Science Academy in 2003. Her main interest and research topics are Technology Management, Development Economics and Entrepreneurship. Kristoffer Husoy has a Master of Arts in European Studies of Society, Science and Technology from the University of Oslo and a Master of Science in Engineering Cybernetics from the Norwegian University of Science and Technology. Research interests are Corporate Social Responsibility, environmental, technology and human-computer interaction.
