The American Compensation Association (ACA) has been certifying HR professionals since 1976. Its certification programs are based on a contemporary, evolving body of knowledge that reflects leading‐edge human resource competencies. Many people choose seminars to prepare for ACA exams. Taught by a cadre of nearly 400 practitioners, ACA's seminars are offered through hotel and conference centers, corporate in‐house programs, and, most recently, through the Academic Partnership Network (APN). This paper analyzes executive compensation in a setting where managers may take a costly action to manipulate corporate performance, and whether managers do so is stochastic. We show that an increase in the possibility of manipulation actually calls for executive pay to be more responsive to reported performance. In addition, regulatory reforms that increase the cost involved in manipulation may lead to reduced pay-for-performance sensitivities. The time-series and cross-sectional variations of executive compensation lend support to our model.  相似文献

This study provides insights into the characteristics and behaviour of habitual starter entrepreneurs (i.e. individuals who have established more than one business) and habitual acquirer entrepreneurs (i.e. individuals who have purchased/acquired more than one business). A human capital perspective is utilized to illustrate that the human capital accumulated by a habitual entrepreneur may influence their subsequent behaviour. Prior business ownership experience is discussed in relation to an entrepreneur's human capital accumulation, as well as their search and business opportunity identification behaviour. A case study approach is used to develop propositions that highlight the similarities and differences between habitual starter and acquirer entrepreneurs. Implications for researchers and practitioners are discussed.  相似文献

We examine the key compensation issues pertaining to the top management team that occur during the early stages of growth in new ventures, specifically those anticipating rapid growth such as in technology-intensive markets. Similar to other new ventures, high-growth technology ventures are small in size but they have a goal of rapid growth giving rise to a need for resources and managerial talent to sustain the growth. New ventures are likely to compete in the market with larger organizations for top management team members. As a result, new ventures in rapid growth technology markets experience some unique compensation challenges. Critical for these firms is the issue of distributing equity among members of the founding team and structuring compensation to attract and retain non-founder executives. Drawing from the human resource management and entrepreneurship literatures, this paper develops a set of propositions predicting top management team compensation strategies for rapidly growing new ventures. This paper finds a relationship between management compensation and corporate control consistent with the hypothesis that in closely held companies major shareholders engage in monitoring activities that reduce the residual loss portion of agency costs. This result is incosistent with Fama's (1980) suggestion that the wage determination process in managerial labor markets may resolve the agency problem.  相似文献

This paper examines the influence of private equity (PE) and venture capital (VC) ownership on the post-initial public offering (IPO) performance of newly-public acquirers. Our results show that acquirers with PE- or VC-backing at the time of the IPO perform better long-term than acquirers without such backing. More importantly, while acquirers without financial backing experience negative long-run returns from first-year acquisitions, acquirers with continued PE- and VC-backing perform significantly better when making acquisitions within the first year after going public. However, acquiring firms and investors should be aware that for mergers in the second and third year post-IPO, continued VC ownership has a detrimental long-term impact. In contrast, higher levels of continued PE ownership tend to have a positive relationship with long-run performance.  相似文献

This article highlights some avenues for future research in the field of compensation and benefits management. In order to achieve this, the author has included multiple stakeholder perspectives. First of all, the article provides an overview of the opinions and attitudes of line managers, employees and compensation and benefits practitioners. Based on these results, and taking existing empirical research into account, the article proposes that further research be conducted on the following aspects of rewarding: (1) the external environment — and more specifically, the impacts that an ageing population, geographical differences, and the economic situation have on rewarding; (2) employee perspectives towards rewarding; (3) total rewards; and (4) reward processes and procedures, such as performance management and reward communication.  相似文献

This study explores the effect of environmental, social, and governance (ESG) performance on market value and performance in the context of mergers and acquisitions. We examine whether acquisition of targets with better ESG performance can help acquirers to increase their own ESG performance and whether the market values the increased ESG performance positively. Moreover, we explore whether the acquisition of targets with better ESG performance affects the market value of acquirers. For this study, we utilize a sample of 100 European mergers and acquisitions between 2003 and 2017, for which matching data on the ESG performance of both the target and acquiring firms are available. Our results show that the postmerger ESG performance of the acquirer increases following the acquisition of a target that has higher ESG performance than that of the acquirer in the premerger stage, whereas the postmerger market value of the acquirer increases following an increase in the acquirer's postmerger ESG performance in relation to its premerger ESG performance. Finally, we provide partial evidence of a positive relationship between the postmerger market value of the acquirer and the acquisition of a target with higher ESG performance than itself in the premerger stage.  相似文献

Timing and frequency of punishment are critical elements in law enforcement. Previous studies suggest the superiority of immediate punishment schemes over delayed punishment, as well as the importance of frequent punishment. Yet law enforcement schemes which utilize both frequent and immediate punishment are often cost prohibitive. In this work, we propose the “bad lottery immediate punishment” as an effective substitute to immediate punishment. This is a punishment mechanism that signals immediately to an offender that his violation has been spotted, but the actual penalty is delayed and probabilistic. Compensation given to outside directors has come under increasing scrutiny. However, little empirical work exists which examines outside director compensation. A study of more than 225 major corporations over a five-year period indicates that the number of board meetings and the size of the company are major factors in outside director compensation levels, while organization performance and Chief Executive Officer remuneration do not appear to be significantly related. These findings suggest that market-driven compensation systems are the dominant form used by large organizations to pay outside directors, with a major goal being the attraction and retention of these directors.  相似文献
