Understanding of business relatedness and performance effects is the foundation of any diversification decision, but we have limited knowledge of how managers consider relatedness. This study identified relatedness classes and performance effects using perceptual survey data from top industrial executives. Four classes with significant variable differences were found: high, technology, customer, and low relatedness. Technology relatedness had a strong positive performance effect and high relatedness had a negative effect. The findings confirm that perceptions are multidimensional, but may include five key factors rather than the previously identified attribute categories of product–markets, resources, and value chains. This paper analyzes the economic fundamentals of the corporate firm with publicly held shares and the salient characteristics of varying corporate systems, focusing on international differences in ownership and control structures, including alternative disciplinary mechanisms. Those international differences seem to influence economic behavior and corporate performance, including the way in which corporate restructurings take place. Market-oriented corporate systems and network-oriented corporate systems are likely to mutually converge in the future.  相似文献

The purpose of this paper is to provide a theory-based explanation for the adaptive variations in a supply manager's role within a global account management (GAM) relationship. The variations in a supply-side manager's role are explained using a combined knowledge-based view and relational contracting theoretical perspective. The demands of the global customer, which constrain the supply managers' role adaptation, present a unique set of challenges to organizations supplying in global accounts. The new managerial competencies, required for effective global account supply management under global customer's constraints, are described. In conclusion, specific managerial actions are recommended for effective global account supply management, which are intended to engender the development of trust and social capital in the global customer-supplier relationship.  相似文献

Research has examined the effects of managerial share ownership on business diversification, typically from the incentive alignment perspective. Yet, share ownership also shifts risk to managers (the efficient managerial contracting perspective). Furthermore, the effects of managerial ownership on international diversification are unexplored. We examine how managerial ownership influences both international and business diversification in light of the trade‐off between incentive alignment and risk bearing. Based on the differing risk profiles of the two types of diversification, we argue that incentive contracts with higher levels of managerial ownership will be inefficient, i.e., counter to shareholder interests—reducing international diversification and increasing business diversification. Our findings support our arguments for international diversification. We find no significant effect for business diversification after accounting for endogeneity and serial correlation. The debate on short-termism has focused on the economic factors of capital markets and performance measurement systems. Laverty (1996) has advocated the inclusion of individual and organizational dimensions to extend the debate. We reorient Laverty's extended debate by drawing upon a broad management and accounting literature and thereby develop testable theoretical explanations of short-termism. The resulting hypotheses are tested in a telecommunications company. Our findings provide support for Laverty's (1996) argument that individual and organizational factors are important determinants of short-termism. Copyright © 2007 John Wiley & Sons, Ltd.  相似文献

Existing research on managerial compensation is based primarily on optimal contracting and managerial hegemony theories. Under the optimal contracting theory, observed compensation contracts are optimally determined, aligning the interests of managers and shareholders. Under the managerial hegemony theory, observed compensation contracts deviate from the optimum because top managers with power over boards are able to influence their own pay. I argue that the impact of managerial power over boards on managerial pay, and hence the deviation of compensation contracts from the optimum, is contingent on the transparency of managerial compensation. Within this framework, I investigate the impact of supplemental executive retirement plans (SERPs)— historically the least transparent compensation component— on opportunistic decision making. An empirical analysis based on a time series sample of CEOs of S&P/TSX60 firms provides support of the compensation transparency theory. I find that SERP benefits are primarily driven by variables proxying for CEO power over the board, whereas more transparent compensation components are primarily driven by economic factors. The results also suggest that CEOs whose SERPs are contingent on firm performance appear to reduce firm R&D expenditures as they approach retirement. This study considers an important aspect of corporate governance: the relationship between cash flow rights and dividend payout policy of listed family firms in Taiwan, an economy characterized by a predominance of family-controlled firms. Dividend payout levels are important because they are crucial to governing the firm and managing its investments. The empirical results show that at a low level of controlling families’ cash flow rights, the threat to lose control at any time makes controlling families claim more in dividends. This yields a positive relationship between dividend payout and the cash flow rights of controlling families at this level. Meanwhile, at a moderate level of controlling families’ cash flow rights, the entrenchment effect becomes more robust and creates a negative relationship with dividend payout. Finally, at the very highest level of controlling families’ cash flow rights, excessive firm-specific risk again helps to again create a positive relationship. This nonmonotonic relationship between controlling family cash flow rights and dividend payout also holds for financially mature firms that have a high earned to contributed capital mix.  相似文献

The results are reported of a questionnaire survey of corporate managerial approaches to productivity. The sample comprised 146 large industrial companies, of which 96 were American, 25 British and 25 Japanese. Responses from the total sample were used to construct a managerial interpretation of productivity. A comparison was then conducted among the three national samples. Although productivity improvement was reported as being a matter of significant corporate concern in all three countries, greater priority was expressed by the British and Japanese than by the American managers. The British and American managerial approaches to productivity appear to be broadly similar, but with the exception that the British focus much more single-mindedly on labour productivity as the central issue. The Japanese responses convey a proactive, long-term approach to the management of productivity, with research and innovation being accorded to pre-eminent role. The implications of the findings are briefly discussed and directions for further research are suggested.  相似文献

Over the last few decades, the need for small and medium‐sized enterprises (SMEs) to rely on networking to get access to innovation and larger knowledge bases has become evident. This paper analyzes the birth and evolution of an Italian innovation community created by a group of SMEs searching for innovation. Coming from quite different fields, these SMEs converged around a challenging project in the field of biomedical and rehabilitation devices. The aim of the paper is twofold: (1) to investigate what type of competences and tasks have to be accomplished to effectively manage an innovation community (IC) and what managerial roles (promotors) emerge by crossing competences and tasks; and (2) to what extent community members' absorptive capacity (ACAP) influences their ability to acquire and exploit innovation generated by the community. Using an in‐depth longitudinal case study analysis, we identified three different stages in community evolution. We also studied which promotors' roles that emerged in each stage and determined their relationship both between each other and to community performance. Furthermore, we investigated to what extent an existing knowledge base in a specific domain and previous experiences in networking influenced community members' ability to exploit innovation. We found that a specific correspondence among competences and tasks is needed to guarantee community performance and that promotors should interact among themselves to enable the community to reach its goal. Concerning ACAP, we found that prior experience and familiarity in networking are not predictive of new knowledge exploitation.  相似文献

Some literature suggests that managers' perceptions of strengths and weaknesses indicators vary by management level. Differences likely result because of individuals' cognitive schemes, which include their cognitive biases. In turn, systematic errors may occur in managerial decisions. Results from the research reported herein support the notion that managers' perceptions of the indicators of a firm's strengths and weaknesses, and of environmental uncertainty, vary by managerial level. Differences in these perceptions were discovered to be more significant within each firm. Implications of these results are examined, including the impact on the deployment of firms' strategy formulation processes.  相似文献

The purpose of this exploratory qualitative study is to identify what Korean managers and non-managerial employees perceive to be effective or ineffective managerial behaviors from an emic perspective. Critical incident technique was used to collect concrete examples from 45 managers and non-managerial employees of observed managerial behaviors that they perceived as effective and ineffective. While the emphasis was given to both effective and ineffective managerial behaviors with a holistic approach, 38 distinctive behavioral categories of effective and ineffective managerial behavior were derived. Furthermore, the seven overarching indigenous themes of Korean managerial behavior emerged, offering an insightful, contextually relevant, and richly described understanding of perceived managerial and leadership effectiveness in a Korean context. The authors identified and described several Korean cultural concepts embedded in the indigenous themes, which may confirm implicit leadership theory. After discussing the theoretical and practical implications of our findings, the authors provide the limitations of this study and several directions for future research. As one of the first attempts at identifying indigenous Korean managerial and leadership effectiveness, this study could become a cornerstone for advanced indigenous empirical studies and a catalyst for dialogue related to indigenous managerial and leadership research, especially in Korean and other East Asian contexts.  相似文献

Despite the growing recognition in the corporate governance literature that the relationship between ownership concentration and profitability is context dependent, this issue has not yet been subjected to direct empirical investigation using a single cross-national sample. This study empirically examines the ownership concentration–performance relationship across the nations of Canada, France, Germany, the United Kingdom, and the United States. Essentially, we argue that the correlation (if any) between ownership concentration and firm profitability differs across countries in a systematic way determined by the national system of corporate governance. Results indicate that important and statistically significant differences do in fact exist across the countries studied. © 1998 John Wiley & Sons, Ltd.  相似文献

In this paper we present the results of a choice experiment (CE) conducted to examine how the inclusion of a functional ingredient (to increase the quantity and effectiveness of fibre) affects consumer attitudes towards bread. An novel feature of the design of our CE was that it was informed by a means-end-chain (MEC) to reveal key attributes to be included in the CE. In addition, we included the Dutch eating behaviour questionnaire (DEBQ) to collect information on all participants underlying eating behaviours. We find that bread type is a major factor in determining choice, and that the inclusion of a functional ingredient yielded relatively small measures of value. We also find that there are differences in willingness-to-pay (WTP) between respondent segments and that segment membership is explained by the DEBQ information. Finally, we find that respondents have a stronger preference for a simple health statement compared to, or in addition to, the implied benefits that result from consuming a functional food product. These findings are important in informing both pricing and promotional messages for a functional bread product.  相似文献

The relationship between ownership and diversification has been the focus of renewed debate between financial economists and strategic management scholars. While financial economists hold that manager‐controlled firms tend to reflect higher levels of diversification, strategy researchers argue that ownership and diversification are not systematically related. In throwing light on this debate, this study uses a fine‐grained definition of ownership groups to explore how the different objectives and monitoring predispositions of distinct ownership groups might influence diversification strategy. The empirical examination is set in India to offer a striking contrast from the predominantly U.S.‐based studies that have shaped the ongoing debate. Findings show that diverse ownership groups adopt different postures in monitoring and/or influencing organizational diversification. While some ownership groups are closely associated with focused strategies, and some encourage diversification, others are quite indifferent. These results suggest that the context‐specific variation among ownership groups is germane to our understanding of diversification strategy. Copyright © 2002 John Wiley & Sons, Ltd.  相似文献

This research examines the relationship between ownership structure and financial performance in the context of the agency theory. It improves upon previous research by presenting an improved risk-adjusted performance measure, by using a larger sample size than prior work and also by controlling for firm size differences. Strategy and finance research suggests that managerial ownership results in increased incentive alignment and therefore is negatively related to corporate diversification. Using a longitudinal approach, we develop arguments to examine whether managerial ownership is associated with subsequent changes in diversification and/or if diversification is associated with subsequent changes in ownership. The results indicate that levels of managerial ownership in one time period are not associated with subsequent changes in corporate diversification, which raises incentive alignment questions. We also find that higher levels of corporate diversification are associated with changes in managerial ownership, which suggests support for the employment risk‐reduction perspective. This study provides important reasons to reassess the longitudinal implications of the managerial ownership‐corporate diversification link from both theoretical and managerial perspectives. This study investigates how the relationship between bank performance and executive compensation is affected by the degree of an executive’s managerial discretion. Managerial discretion is captured by two industry-specific attributes: a bank’s strategic domain, and its regulatory environment. 为了提高企业内部控制有效性,增强企业的核心竞争力,在相关文献研究的基础上,选择1家房地产上市公司纵向研究股权结构变化对企业内部控制有效性的影响,然后再选取4家具有代表性的房地产上市公司进行横向案例研究,分析不同的制衡股东性质对企业内部控制有效性所产生的影响。结果表明:在房地产行业内,万通地产的股权结构由一股独大转变成股权制衡的局面后,公司内部控制有效性有了一定的提升。通过横向分析对比张江高科、绿地控股、光大嘉宝、阳光城等4家房地产上市公司可知,当都存在国有制衡股东时,与国有公司相比,非国有公司内部控制质量更佳;在制衡股东为非国有股东时,公司的内部控制有效性更高。案例分析结果在其他类似房地产上市公司提高内部控制有效性的应用场景中具有参考价值。  相似文献
