互联网降低了中小股东获取和使用信息的成本,使其能够更加便利地借助网络进行投票表决(用手投票)或卖出股票(用脚投票).文章在互联网使用日益普及的背景下,基于双重委托代理关系,将中小股东的两种治理行为(用手投票和用脚投票)置于同一个研究框架下,考察了其对第一类代理成本(经理代理成本)和第二类代理成本(大股东利益侵占)的影响.研究结果表明,中小股东的治理行为对经理代理成本有显著的抑制作用,但对大股东利益侵占的约束作用有限.文章进一步比较了不同的企业环境下中小股东的治理行为对代理成本的影响,以揭示其作用机制.结果表明,用手投票提高经理代理能力存在行政介入机制,用脚投票约束经理在职消费存在市场压力机制.文章的研究为中小股东在公司治理中的角色提供了新的经验证据,为证监会完善网络投票和交易规则提供了政策依据,也为我国新一轮国有企业混合所有制改革的实施提供了理论支持.  相似文献

In this study, a sample of 257 Singaporean domiciled non-financial listed companies is investigated using a system generalised method of moments (system GMM) estimator. This approach allows for controlling the potential sources of endogeneity which are inherent in the performance–governance relationship. Our findings strongly support the proposition that the relationship between corporate governance structures and firm performance is dynamic by nature. Moreover, our results show that the internal corporate governance structures do matter in Singapore, where the market for corporate control is relatively poor. This study is novel as it is the first to explore the corporate governance–firm performance nexus using a dynamic approach for the Singapore market. This study significantly contributes to a better understanding of international diversity on corporate governance by providing further empirical evidence from an emerging market characterised by the best corporate governance practices in the Asian region.  相似文献

This case study looks at the relationship between the UK/Swedish pharmaceutical firm, AstraZeneca, and its shareholders from the point of view of its effects on innovation. It uses a theoretical framework on corporate governance and innovation that differentiates sectors according to the novelty, visibility and appropriability of technological change. High novelty requires a corporate governance system with strong industry-specific expertise; low visibility requires good firm-specific perceptiveness. High appropriability favours shareholder supremacy as against stakeholder inclusion. The pharmaceutical industry appears to be high in all three, and this (according to accepted stereotypes) should favour the outsider-dominated corporate governance system of the UK as against the insider-dominated Swedish system. It is found that the corporate governance that resulted from the merger could indeed be described as hybrid, but that (following the building up of one major US shareholding) it was a UK/Swedish/US hybrid. In spite of the apparent similarity of the UK and US 'outsider-dominated' systems, the US element made a crucial difference, in giving engagement by a strong and well-informed shareholder who had some influence on other shareholders. This in turn helped to protect the firm to a significant extent from short-term pressures within the UK stock market, and thus to allow it to maintain its emphasis on long-term innovation.  相似文献

分布式创新是近年来技术创新领域的一个前沿主题,已有学者发现企业间双边关系质量对分布式创新结果和绩效具有促进作用,但关于其对分布式创新过程及治理模式的影响仍缺乏机理性认识。从社会网络视角,基于分布式创新机制与合作治理理论,提出了企业间关系质量—分布式创新机制—合作治理模式的分析框架。通过深入分析分布式创新中双边关系质量对合作治理模式选择的影响,构建了一个由分布式创新内在机制和合作涉及的技术范围组成的带有中介和调节作用的路径整合模型。总体来说,解释了双边关系质量通过完善分布式创新机制使得企业更倾向于选择股权合作模式的内在机理,希望通过该模型为后续学者提供一个分析双边关系特征与合作创新之间关系的新思路。  相似文献

 基于近年来频发的个股崩盘现象,本文运用2013-2018年上市公司的数据,对大股东减持前的业绩预告信息进行分析,探究业绩预告、大股东减持与股价崩盘风险之间的内在联系,并针对不同市场环境和股份性质进行实证检验。结果表明,上市公司倾向于在减持前公布积极业绩预告。其在一定程度上提高股价崩盘现象的发生率,在熊市和民营公司中作用更加明显,消极业绩预告影响不显著。本文的研究丰富了信息披露与股价反应的相关文献,对投资者和监管部门做出决策具有一定的启示意义。  相似文献

企业的治理目标可以理解为企业的价值取向,即企业应该为谁服务,为谁而存在?企业治理目标也体现在维护企业内创造价值的关键性资源的完整性,并通过价值分配来激励这些关键性资源。传统的物质资本密集型企业其关键性资源具有产权特性,控制企业产权便可以维持企业的价值创造能力,同时也可以获得相应的价值分配权,因此物质资本密集型企业的治理目标便是控制企业的关键性物资资本,并为其服务。而在人力资本密集型企业中,创造价值的关键性资源无法通过产权加以控制,需要凭借关系型契约来协调。此时,只有妥善协调企业内的关键性资源,才能维持企业的价值创造能力,所以人力资本密集型企业的治理目标由控制转变为协调企业内的关键性资源。企业家通过关系型契约协调关键性人力资本的关键是让人力资本感知与企业合作的收益要大于不合作的收益,切实保证人力资本有权参与分享与企业合作所产生的收益,从而提高关系型契约自我实施的能力。  相似文献

ABSTRACT ** :  The European liberalising electricity industries are still heavily regulated. A prominent form of regulation is directed at the energy companies' forms of governance. European and national regulations prohibit the vertically integrated structures that characterised these companies for almost a century. Detailed rules on unbundling, independence of the transmission and distribution system operators, and network access influence to a large extent the type of new governance structures that are adopted. This paper takes the institutional organisation of regulation into account to explain the regulatory influence on governance changes at the level of the firm. Examples of the Dutch and French electricity industries illustrate that the new forms of governance are heavily influenced by the institutional organisation of regulation.  相似文献

With a generally weak investor protection environment and no governance voice in the fund management companies (FMC) to which their investment is entrusted, fund investors in China are left with the internal governance mechanisms to safeguard their interest. Using a panel data of 288 firm‐year observations covering more than 98% of FMC in China from the period between 2006 and 2010, the present paper examines the corporate governance challenges confronting the fledging Chinese fund management industry by analysing how key governance settings affect the performance of the board of directors in protecting the interest of fund investors. The results show that board effectiveness can be enhanced if a listed company is the controlling shareholder. In addition, having a female CEO or board chairperson and a small‐sized board may help to reduce investors’ fees. Other internal corporate governance mechanisms, such as shareholder concentration, having state‐owned financial companies as controlling shareholders and board independence, are found to exhibit no significant impact on the effectiveness of FMC boards.  相似文献

在新型公司的治理实践中,除了正式的激励机制之外,组织惯性作为非正式的激励机制发挥着关键的互补作用。组织惯性是企业的各利益群体之间形成并维系的一组关系合约集合,它反映了嵌入在组织内部的群体认知。组织惯性提供了正式激励机制所嵌入的组织社会情境,受正式激励机制影响的同时又对组织的正式激励机制产生影响。新型企业的治理实践必须保持两者的匹配与协同演化。  相似文献

Since objective news coverage is vital to democracy, captured media can seriously distort collective decisions. The current paper develops a voting model where citizens are uncertain about the welfare effects induced by alternative policy options and derive information about those effects from the mass media. The media might however secretly collude with interest groups in order to influence the public opinion. In the case of voting over the level of a productivity-enhancing public bad, it is shown that an increase in the concentration of firm ownership makes the occurrence of media bias more likely. Although media bias is not always welfare worsening, conditions for it to raise welfare are restrictive.  相似文献

资本所有制作为资本所有权的制度安排是企业有效治理的前提条件。企业治理制度的形成具有路径依赖的特性 ,是与各个国家和企业所处的环境因素分不开的。在既定的经济技术和制度环境下 ,只要企业所有权安排得当 ,任何与其经济技术和制度环境相适应的资本所有制形式都是可以有效的。衡量治理效率的标准是治理成本的最小化或治理主体收益的最大化。为了提高治理效率 ,我国应根据不同企业的情况适时进行治理制度的改革和创新 ,并努力创造适于企业生存的制度环境。  相似文献

Since the beginning of the 2000s, institutional investors in Japan have become active in strengthening corporate governance, with the aim of achieving long‐term corporate value. The present paper examines the relationship between institutional investors and corporate governance, and also the relationship between institutional investors' shareholdings and firm performance. The results suggest that corporate governance has been enhanced by institutional investors. However, it is found that there is not a statistically significant difference between institutional investors' shareholdings and firm performance.  相似文献

企业的契约性与利益相关者理论具有一致性 ,它们都隐含了企业是一种再谈判机制。利益相关者对企业的所有权分配进行谈判 ,谈判结果决定出企业的治理结构。在这个过程中 ,各方的谈判破裂结果效用、谈判力和对谈判破裂的担心程度是关键变量。我们使用Nash谈判模型及其推广模型分析了这个过程。我们的结论是 ,企业治理结构是内生的 ,每个企业的治理结构都是特殊的个案 ,一种治理结构并不具有普适性。这个结论具有重要的立法含义。  相似文献

Democratic governance is believed to improve government responsiveness to citizens’ demand for public goods. In China, villagers’ committee elections represent a major progress in China’s development toward good governance. We develop a rational model to explain villagers’ participation. Utilizing a national survey of rural residents in 2005, this paper tests the insights of the model. Two findings are of interest to the students of voting and elections. First, there is disagreement over the causal relationship between political trust and voting. This paper offers a rational interpretation of political trust by emphasizing the informational aspect of the concept. Second, voting is generally theorized as a process of overcoming various costs. The prospect of benefits figures more prominently in Chinese village elections. Our findings highlight the pivotal role of township governments in China’s rural politics and reveal the inner dilemma of democratization in China.  相似文献

家族企业已经越来越受到人们的重视。在现有文献的基础上,论文以所有权和控制权为两维对家族企业做了严格的定义和划分,并把研究对象界定在拥有高控制权的家族式企业。通过将家族式治理和公司理财分析范式结合分析,家族式治理中的网络式组织结构、封闭式的股权结构和作为家族意愿体现的董事会治理机制对家族企业理财行为产生影响。家族式治理对公司理财行为产生正面影响,但由于其自身的局限性和家族企业所处环境的变化,家族式理财必须进行变革:非家族化的理财方式变革,家族规则与现代市场游戏规则的融合,引入有效专家理财制度,以及对家族式理财的扬弃。  相似文献
