This reflection focuses on what insights Catholic Social Teaching (CST) can provide for corporate governance. I argue that the ‘standard’ agency theory is overly reductionist and insufficiently incorporates important economic limitations (such as asymmetric information, incomplete contracts, and the need for coordination) as well as human frailty. As a result, such agency theory insufficiently distinguishes firms from markets, which can easily relativize how we treat others and facilitate rationalization of unethical behavior. I then explore how three pillars of CST—human dignity, solidarity, and subsidiarity—can help overcome these limitations. CST proposes a vision of the business corporation as a community of persons, working together in cooperative business relationships toward the shared purpose of contributing to human flourishing.  相似文献

In November, 1991, the U.S. Congress enacted the U.S. Federal Sentencing Guidelines legislation which had a dramatic impact on corporate America. Can the Guidelines be used as a model or framework by other countries? Could other countries in the world benefit from adopting a similar piece of legislation? Are there any limitations to consider? In addressing these issues, the authors make the argument that the time has arrived for other countries to consider the development of legislation similar to the Guidelines in order to improve organizational ethics.  相似文献

Over the past several decades, companies have spent literally trillions of dollars acquiring the latest technologies and building their internal information processing and analysis capabilities. And yet with all this expenditure of time, money, and effort, large enterprises are still caught off‐guard on an almost daily basis because they fail to anticipate critical developments in their competitive environment. This shortcoming can be mitigated by adopting an intelligence mind‐set. This article provides an overview of seven specific problems concerning the use of business intelligence in the multinational enterprise (MNE) and discusses the corresponding best practices found in professional intelligence organizations. In this article we discuss what are the implications for improving the design of corporate ethics programs, if we focus on the moral motivation accounts offered by main ethical theories. Virtue ethics, deontological ethics and utilitarianism offer different criteria of judgment to face moral dilemmas: Aristotle’s virtues of character, Kant’s categorical imperative, and Mill’s greatest happiness principle are, respectively, their criteria to answer the question “What is the right thing to do?” We look at ethical theories from a different perspective: the question we ask is “Why should I do the right thing?” In other words, we deal with the problem of moral motivation, and we examine the different rationale the main ethical theories provide. We then point out the relation between moral motivation and the concept of rationality in the different approaches – is acting morally seen as an expression of rational behavior? Our analysis of moral motivation provides a useful framework to improve the understanding of the relationships between formal and informal elements of corporate ethics programs, emphasizing the importance of the latter, often overlooked in compliance-focused programs. We conclude by suggesting that the concept of moral imagination can provide a unifying approach to enhance the effectiveness of corporate ethics programs, by providing an intangible asset that supports the implementation of their formal components into management decision making.  相似文献

The use of narrative to communicate and convey particular points of view in society has increasingly become the focus of academic attention in recent years. In particular, MacIntyre. (1985, 1988, 1990, 1999) has paid attention to the role of narrative in the conflict between different traditions when developing his virtue approach to ethics. Whilst there has been continued debate about the application of virtue approaches, some arguing that it is incompatible with business, I disagree and have already argued for a form of virtue that will focus business on society’s needs rather than better business itself. Here I continue to develop the argument in two ways. First, I will explore the predominant business narrative and offer some comment on the ‘virtues’ that it promotes. However, rather than accepting this narrative, I want to challenge it with a narrative from the environmental tradition. I consider how adopting the virtues promoted by an environmental narrative it would shape business practices and challenge current business conventions. As a second step, I will focus on how we can change managers’ perceptions of business to reflect these environmentally based virtues.  相似文献

对于目前中国城镇失业率到底是多少,各界有各种不同的意见.作者认为,应当按照过去20多年中国城镇人口劳动参与率这个较为稳定的系数来推算,比较科学和客观,城镇人口劳动参与率应在55%水平上.按此推算,城镇失业人口加600万长期在家没有工作的职工,中国2002年的城镇劳动力失业率为12.44%,为3437万人.实际城镇人口劳动参与率曲线呈下滑趋势.中国如果按真实城镇失业率计算,2003年城镇需要就业和再就业的压力是4490万人,而不是劳动与社会保障部计算的2400万.中国未来18年中,就业和再就业压力最大的时期将是2003-2010年,2011-2015年次之,2015年以后就业和再就业压力将趋缓.期间,劳动力供给的最大来源为农村劳动力向城镇的转移,其次较难的是国有和集体企业结构调整需要再就业的劳动力,城镇本身新增劳动力就业的压力并不大;最保守估计,需要创造2.7亿多个就业机会,每年需要有1500万个工作岗位供城镇新增、农村向城镇转移和城镇下岗劳动力就业和再就业.  相似文献

In the past, various great powers have taken the stage as models of economic and social development. Examples such as Great Britain, the Soviet Union, Japan, and the United States have had their time in the spotlight that has come and gone as flaws were exposed; and other countries have learned what they did well and what they did poorly. The great powers are not the only models, however. Much can be learned from small countries which are often free to experiment with new institutions and new policies. This paper describes lessons that can be learned from such countries though no one size fits all.  相似文献

Between 1974 and 1988, executives of DuPont, the world's largest producer of CFCs, were confronted with emerging evidence that CFCs were destroying the stratospheric ozone layer. The difficulty that executives face in such cases is that scientific knowledge develops over time and does not necessarily proceed in a straight line toward true conclusions. At the beginning of a new field of research, there is much uncertainty and disagreement among the experts. The solution of the ozone problem required a remarkable cooperation among science, business, and international governments. After looking at the role of DuPont executives in this drama, and the difficulties facing any executive dealing with uncertain science, the paper turns to an evaluation of the field of Business Ethics to see what light it might throw on this and analogous problems. Finally, the paper offers specific suggestions in terms of principles in dealing with uncertain science, and concludes that the course of action that DuPont followed, including some mistakes, can serve as a model for analogous crises.  相似文献

The government purchasing market constitutes the largest business sector in the world. While marketers would benefit from a deep understanding of both sectors, how the two sectors differ in terms of ethics and strategy largely remains unknown. The purpose of this research, therefore, is to explore differences between the for-profit and not-for-profit sectors on two critical aspects of business-to-business procurement: ethics and strategy. Using survey data from a sample of 328 procurement professionals in the for-profit and not-for-profit sectors, key differences are explored. Findings suggest that buyers in the for-profit sector are more likely to behave opportunistically. Conversely, the buyers’ leaders in the not-for-profit sector behave more opportunistically and are more willing to turn a blind eye to their subordinate buyers’ opportunistic behaviors. In addition, key differences in procurement strategy are unveiled suggesting that not-for-profit procurement practices have some room for improvement. Based on the findings, theoretical and managerial implications are drawn, and a future research agenda is proposed.  相似文献

The work of philosophers in business ethics has been important in providing a systematic framework to analyze moral obligations of corporations and their many stakeholders. Yet the field of ethics as defined by the philosophers of the past two centuries is too narrow to do justice to what is at stake in the business world. Ethics in the theological perspective is not primarily concerned with analyzing situations so that one can make right decisions, but rather with reflecting on what is constitutive of the good life. Theological business ethics can apply a crucial corrective to the business ethics of philosophers by broadening the endeavor to include a vision of what constitutes a good life — of the kind of persons we want to be and the kind of communities we want to form. Oliver F. Williams, C.S.C., is on the faculty of the Department of Management at the University of Notre Dame where he teaches and researches in the field of business, society and ethics. He holds a Ph.D. in theology from Vanderbilt University and has had the experience of a research year at the Graduate School of Business Administration of Stanford University. His publications include five books, the most recent of which is The Apartheid Crisis: How We Can Do Justice in a Land of Violence (Harper & Row). He has published articles on business ethics in journals including Theology Today, California Management Review, Harvard Business Review and Business Horizons.  相似文献

While organizational learning literature has generated significant insight into the effective and efficient achievement of organizational goals as well as to the modus of learning, it is currently unable to describe moral learning processes in organizations consistently. Corporations need to learn morally if they want to deal effectively with stakeholders criticizing their conduct. Nongovernmental organizations do not ask corporations to be more effective or efficient in what they do, but to become more responsible or to learn morally. Current research on the moral aspect of organizational learning has been primarily of a theoretical nature and is in need of empirical verification. Results of a longitudinal case study as Citigroup’s conflict with the Rainforest Action Network show that current organizational moral learning theories do not fit the moral learning path observed at Citigroup. More empirical research is needed to describe organizational moral learning.  相似文献

The question of corporate moral responsibility – whether corporate bodies can be held morally responsible for their actions – has been debated by a number of writers since the 1970s. This discussion is intended to add to that debate, and focuses for that purpose on our understanding of the organisation. Though the integrity of the organisation has been called into question by the postmodern view of organisations, that view does not necessarily rule out the attribution of corporate agency, any more than the postmodern view of the person rules out the attribution of individual agency. The postmodern view is opposed to a reifying, metaphysical view of corporate agency, but a semantic view of corporate agency would seem to sit more comfortably with it. A bigger problem for the idea of corporate moral responsibility arises from the fact that in Kantian terms organisations are not ends in themselves. In that sense they are not like persons, and this must limit their autonomy, and their responsibility. This aspect of organisations also limits their punishability. For these reasons corporate moral responsibility must be seen as more limited than the responsibility of persons.  相似文献

The model of free enterprise that has developed in the United States presupposes a value system. The central value is freedom. Next come goods and the means of acquiring them, viz., money and profit. Competition is central. But fairness of transactions is presupposed, and this implies honesty, truthfulness, and general respect for persons. Optimism and faith in the future have been ingredients from the start. Each of these values can be abused, and such abuses characterize the seamy side of capitalism. The Myth of Amoral Business helps undermine the values. Yet the changes American society is demanding of business can be seen as reaffirming the values the system presupposes. The imperative is for business to live up to its own best traditions — a social demand that business can and should meet if it wishes to continue as a system of free enterprise. Richard T. The GATT was hugely successful, yet its successor organisation is to date failing. This paper argues that the expansion in both scope and membership make it radically more difficult for a purely bargain‐based organisation to succeed. Three factors limit the scope for deals that would be recognised as mutually beneficial. Many developing countries are accustomed to transfers rather than bargains; the poorest countries have no basis for bargaining; and even where mutual advantage is possible it requires cross‐sectoral deals which are only feasible with new rules that are unattractive to many WTO members. The paper proposes solutions to these new problems. It proposes an explicit component of ‘transfer’ in the form of non‐reciprocated liberalisation. It proposes a plurilateral solution to the tension between rules and sovereignty. It links these through a ‘grand bargain’ that offers transfers in return for plurilateralism. For the marginalised countries it proposes time‐bound preferences in OECD markets along the lines of AGOA. Finally, to recreate for the larger developing countries similar incentives for liberalisation to those previously achieved for developed countries, it proposes a limited MFN, through which they could restrict their liberalisations to include only other developing countries.  相似文献
