Problems and Countermeasures for Present China＇s Independent Board of Directors＇ System

The independent director system has implemented in Chinese mainland listed companies and has achieved much progress, but there are still many problems to be solved in present system, such as the qualification define of independent directors, their selection methods, information symmetry, serving number restriction and remuneration, and so on. How the problems come out and how to solve them？ This paper puts forward some idea including ensuring the qualification of independent directors, reforming their selection methods, increasing the ratio of independent directors in the Board of Directors, reducing the number which independent directors serve for, redefining their mission and establishing organizations of their own.     

Effects of Demographic Characteristics of Logistics Firms on Their Performance and Job Satisfaction of Their Employees

This study investigates the effects of demographic factors of the logistics firms＇ employees （gender, age, education level, experience level, and department） on their job satisfaction and the effects of demographic factors of the logistics firms （company type, capital nature, and company experience level） on their performance of logistics activities about information technologies, interior relationship, and transportation based on the scale developed by the same authors and the sample of 39 logistics firms selected randomly in the city of Mersin and Adana in Turkey. According to findings, none of the demographic factors of the employees does aft~ct their job satisfaction. In terms of the demographic factors of the logistics firms, their experience level in the field is found to be significant in their logistics activities about information technology. In general, as the firm＇s experience increases, they perform better on information technology.

But, our special commentator points out that, considering the case in Shanghai, it should overcome ideologically the influence left by planned economy system, and devote itself to offering perfect productive services and attractive more advanced manufacturing industry. Different places in the Yangtze River Delta can promote their overall benefit only by pursuing economic laws in laying out industrial distribution.

Why Has the United States Had Big Insurance Trade Deficits

The United States has had significant trade deficits in insurance for several years.This paper examines the reasons for such big annual deficits. A large home market, a low reinsurance capacity, and U.S. insurers＇ conservative attitude toward foreign markets are identified as the primary contributors to such deficits. The paper also addresses the issue how U.S. insurers can improve their international competitive position. By expanding their operations abroad particularly in Mexico and Latin America and actively participating in the fast growing Asian markets, American insurers have their greatest chance to accomplish that objective.

Australian Capital Gains and Commodity Taxes in China： Impact on Investor Behavior and Revenue Earnings

Apart from examining whether an asset＇s qualification for discounted tax treatment is associated with positive abnormal trading volumes and negative abnormal returns, as would be predicted if investors modified their behaviour to reduce their tax liability, this paper analyses the behaviour of investors due to market sentiment which is measured with the stock prices or index. Analyzing the 152 IPOs that had their prices appreciated, the Capital Gains Tax （CGT） concession is expected to change the behavior of the investor; they might wait till the end of 12 months in order to avail the option and then sell their asset leading to an abnormal increase in the volume of trading and hence a price change. Apart from this, how commodity taxes influence revenue earnings is studied. As the Gross Domestic Product （GDP） of China grows rapidly, tax revenue as a proportion of GDP will not be a predictable relationship. It is ultimately investor behaviour that determined volume of investment and therefore revenue earnings. The reason that CGT is taken as a backdrop to show the fickle nature of K gains across national policy sets up, affected by investor behavior or otherwise.
