本文认为,无论用剩余索取权还是用剩余控制权抑或用这两种剩余权利的统一体来定义企业所有权,由于其对企业自然属性的忽视以及考察企业所有权的方法存在的问题,导致其无法规避理论上的悖论性结果。文章提出,为跨出这种理论上的悖论境地,必须寻找新的途径对企业所有权进行重新界定。在企业理论中,如果涉及到企业所有权,就简单地直接使用法律上的企业所有权概念;而研究那些"实际存在"的权利的时候,就使用产权这一概念,因为产权本来就表示一组权利。  相似文献

The Resource-Based Theory of the Firm and Firm Survival   总被引:2,自引:0,他引:2  
This paper examines the determinants of firm survival. We use hazard models to test a number of hypotheses mainly drawn from the Resource-Based Theory of the Firm. According to the Resource-Based View the ability of a firm to develop distinct capabilities enhances its ability to adapt to the changing competitive environment and improves its survival prospects. The results confirm that firms that develop firm-specific assets through advertising and making R&D (independently of the technological intensity of the industry) enjoy better survival prospects. Furthermore, failure risk increases up to about 20 years of trading, and then decreases to later rise in line with liability of “adolescence” and “senescence.”   相似文献

To identify the determinants of firm growth in the Swedish retail and wholesale industries during 2000–2004, we analyse a sample of 400 limited liability companies using quantile regression techniques. Firm growth was mainly found to depend upon time-invariant firm-specific effects, supporting Penrose's [1959 Penrose, E. 1959. Standard accounts on the nature of the firm are highly dependent on explanations by Coase, coupled with inputs from agency theory and shareholder theory. This paper carries out their critique in light of personalist and common good postulates. Tasubinsa is a “Special Employment and Occupational Center” constituted in accordance with Spanish Law where 90% of the workers have mental, sensorial or physical impairments of at least 30%. Its positive experience of more than 15 years provides entirely different responses from mainstream neoclassical theory (transaction cost theory, agency theory, and shareholder theory) to basic questions such as “What is a firm?”, “What is its purpose?”, “Who owns a firm?”, and “What do a firm’s owners seek?”. Scholars have recognized the important role that entrepreneurial orientation (EO) plays in driving firm performance. However, this relationship is not yet well understood and studies have sought to examine various contingencies that might mediate or moderate this relationship. This study investigates the impact of organization behavior variables on the EO – firm performance relationship. The structural model was tested using primary data from 321 South Korean industrial firms. The results show that EO is positively related to firm performance and that adaptive organizational culture and people-centered management have a multiple mediating effect on the relationship between EO and firm performance.  相似文献

产业集群对创业活动具有明显的促进,但现有研究并没有揭示产业集群对创业活动的影响机制。使用嵌入理论可以将产业集群这种宏观抽象的环境因素对创业的影响分解为创业者及其新创企业与集群内其他机构主体的嵌入关系。采用扎根理论方法研究发现,产业集群对创业绩效的影响,即产业集群嵌入,可以分解成三种不同层次的嵌入:制度嵌入、网络嵌入和个人关系嵌入。  相似文献

Marketing Capabilities and Firm Performance: A Hierarchical Model   总被引:10,自引:0,他引:10  
The resource based theory of the firm (RBV) is briefly reviewed together with its recent application in the marketing literature. Significant contributions by Webster (1992) and Day (1994) are identified and an integration of the two presented as a hierarchical model of marketing capabilities. Three research propositions concerning the relationships between marketing capabilities and performance are developed and tested empirically in the transition economies of central and eastern Europe. In line with expectations from the theory of the RBV, higher order marketing capabilities are seen to be more important than operational capabilities in explaining superior competitive performance. The overall model is shown to be a helpful conceptualization of marketing capabilities and a number of issues for further research are identified.  相似文献

As the role of information technology (IT) in business innovation becomes increasingly important, an increasing number of organizations have started to consider how to promote IT-enabled business innovation. Although extant studies have identified organization, environment, and innovation's characteristics as substantial determinants of IT innovation, they do not emphasize the accompanying innovation in processes, products or services, which distinguish IT-enabled business innovation from general IT innovation. Therefore, the reason why few companies succeed in realizing IT-enabled business innovation remains obscure. Anchored on the institutional entrepreneurship theory, this paper examines determinants of the success of IT-enabled business innovation in a fast-growing company using the case study approach. Our findings indicate that IT-business coordination competency, degree of institutionalization, participation of business managers, top management team's (TMT) attitude towards the innovation, and the innovation's relative strength, have significant impacts on the success of IT-enabled business innovation. Our findings also contribute to IT innovation research by identifying special determinants of IT-enabled business innovation and redirecting research ranging from innovation in IT itself to IT-enabled innovation in business processes, products or services.  相似文献

The normative foundations of the investor centered model of corporate governance, represented in mainstream economics by the nexus-of-contracts view of the firm, have come under attack, mainly by proponents of normative stakeholder theory. We argue that the nexusof- contracts view is static and limited due to its assumption of price-output certainty. We attempt a synthesis of the nexus-of-contracts and the Knightian views, which provides novel insights into the normative adequacy of the investor-centered firm. Implications for scholarship and management practice follow from our discussion. S. Ramakrishna (Rama) Velamuri is Assistant Professor at IESE Business School, where he teaches Entrepreneurship and Negotiation in the MBA and executive education programs. He is also a visiting professor at the Indian School of Business in India, the University of Saarland in Germany, and the University of Piura in Peru. His research has been published in both academic and practitioner outlets: Journal of Business Venturing, Business Ethics Quarterly, Journal of Entrepreneurial Finance and Business Ventures (forthcoming), Universia Business Review, Financial Times Mastering Management Series, The Hindu, Business Line, Actualidad Economica, La Vanguardia, and Diario Financiero (Chile). He has also contributed several book chapter on enterpreneurship and strategy. Sankaran Venkataraman (Venkat) is the MasterCard Professor of Business Administration at the Darden Graduate School of Business Adminstration, University of Virginia, where he teaches MBA and executive level courses in strategy and entrepreneurship. He also serves as the Director of Research of the Batten Institute and is the Editor of the Journal of Business Venturing. He consults with Fortune 500 firms as well as several small companies. He is advisor to firms, universities and government organizations. He is a speaker for and advisor to the Entrepreneurial Forum, a program of the International Trade Administration of the U.S. Department of Commerce aimed at promoting trade through entrepreneurship around the world. He received his M.A. in Economics from the Birla Institute of Technology and Science, Pilani, India; his MBA from the Indian Institute of Management (Calcutta); and his Ph.D. from the University of Minnesota.  相似文献

企业与利益相关者之间所缔结的综合性社会契约是利益相关者利益要求的根源,综合性社会契约的复杂性造成企业对利益相关者利益要求认知的差异。文章通过实证研究,从企业成长的视角,对不同规模与不同生命周期的企业对利益相关者利益要求的认知差异进行识别与分析。根据研究结果,文章建议社会各方应给予中小型企业与衰退期企业更多关心与关注,以促使其更好地回应利益相关者利益要求,强化其社会责任意识。  相似文献

ABSTRACT

Import intermediary firms, domestic firms that serve U.S. industries by linking domestic wholesalers/retailers and foreign distributors/manufacturers, handled a whopping U.S. $1.85 trillion of commodity good imports in 2006. This study focused on these important firms by assessing the role of capabilities and competitive advantages as key determinants of import intermediary performance. The empirical results showed that market interpretation, sourcing, and service capabilities, overall, positively affected cost, product, and service competitive advantages. These competitive advantages, in turn, positively affected their relationship performance with business partners. Results, however, also indicated some interesting negative associations among sourcing capabilities, service advantages, and relationship performance with foreign partners, raising questions about extant firm performance theory.  相似文献
