We examine the relationship between board monitoring and firm characteristics using a broad sample of firms over the 8 year period from 1996 to 2003. We find that board independence and monitoring is negatively related to firm risk in the absence of external regulation. In addition, we find that external regulatory and political pressures affect the level of board monitoring, especially after the increased focus on board composition by the stock exchanges beginning in 1999 and the passage of the 2002 Sarbanes–Oxley Act. We find that the sensitivity of the negative relationship between board monitoring and firm risk decreases in the post 1999 period suggesting that firms have increased board monitoring in response to external regulations. We also find that these external regulations have had an asymmetrical impact on high-risk firm. In our empirical analysis we also control for other factors that affect board monitoring and find that firms in which the CEO has longer tenure and greater equity ownership have less board monitoring activity and that there is a negative relationship between the level of board monitoring and the level of shareholder rights.   相似文献

This study examines the effects of firm performance and corporate governance on chief executive officer (CEO) compensation in an emerging market, Pakistan. Using a more robust Generalized Method of Moments (GMM) estimation approach for a sample of non-financial firms listed at Karachi Stock Exchange over the period 2005–2012, we find that both current- and previous-year accounting performances has positive influence on CEO compensation. However, stock market performance does not appear to have a positive impact on executive compensation. We further find that ownership concentration is positively related with CEO compensation, indicating some kind of collusion between management and largest shareholder to get personal benefits. Inconsistent with agency theory, CEO duality appears to have a negative influence, while board size and board independence have no convincing relationship with CEO compensation, indicating board ineffectiveness in reducing CEO entrenchment. The results of dynamic GMM model suggest that CEO pay is highly persistent and takes time to adjust to long-run equilibrium.  相似文献

This paper studies the CEO pay slice (CPS) of UK listed firms during the period 2003 to 2009. We investigate the determinants of CPS. We study the links between CPS and measures of firm performance. We find that firms with higher levels of corporate governance ratings and those with more independent boards tend to have higher CPS. In addition, we find that CEOs are more likely to receive lower compensation when they chair the board and when they work in firms with large board size. We also find that higher CPS is positively associated with firm performance after controlling for the firm-specific characteristics and corporate governance variables. We get compatible results when we examine the association between equity-based CPS and firm performance. Our results remain robust to alternative accounting measures of firm performance. Our results suggest that high UK CPS levels do indeed reflect top managerial talent rather than managerial power.  相似文献

This investigation pursues a new direction in the analysis of financial distress in banking firms. The research was inspired by recent research on corporate governance and the need to understand the internal processes behind the financial decisions that result in bank failures. The analysis examined the relationship between the ownership and structure of the board of directors and the internal control mechanism that influences the survival of the firm. The following aspects of ownership and governance are investigated: ownership by directors and officers, ownership by the CEO, number of directors, percentage of inside directors, and CEO duality. The influence of board structure and ownership on the probability of financial distress was explored with a sample of approximately 300 banking firms. The empirical tests indicated a lower probability of financial distress when one person is both the CEO and chairman of the board, but the other factors did not have a significant effect.  相似文献

This article investigates effects of corporate governance on the decision to voluntarily disclose corporate social responsibility (CSR) reports. By using a unique longitude data set of Chinese publicly traded manufacturing firms from 2010 to 2016, this study finds that ownership structure and board characteristics are significantly associated with firms’ decisions to voluntarily disclose CSR reports. In particular, our study finds that state ownership, institutional ownership, managerial ownership and board size are positively and significantly associated with the decision to voluntarily disclose CSR reports. However, board independence is not related to the decision. We also find CEO duality is negatively and significantly related to the decision. Our findings highlight the role of corporate governance in firms’ transparency by influencing the voluntary disclosure of additional information on firms’ CSR activities.  相似文献

Most scholars have indicated corporations using accounting conservatism to reduce earnings manipulation, although certain scholars believe that firms have more incentive to increase earnings manipulation. Institutional investors play an important external monitoring role, and affect firm's earnings manipulation. Previous studies adopted accruals as an earnings manipulation proxy to detect the relationship among accounting conservatism, institutional investor shareholdings, and earnings manipulation. We further investigate the relationship among accounting conservatism, institutional investor shareholdings, and earnings manipulation by using Benford's law. Our results indicate that firms with more conservative financial reporting have less probability of engaging in earnings-manipulative activities. We also find the negative association between earnings management and institutional investor shareholdings. However, if corporate financial statements tend toward conservatism, institutional investor shareholdings could increase managers' incentive to manage earnings. Our findings have important implications for investors to make investment decisions.  相似文献

从融资约束角度出发,以我国2003-2014年沪深上市制造业和信息技术业企业为样本,通过对R&D动态投资模型和投资扭曲模型进行面板分析发现:与固定资产投资相比,CEO过度自信对企业R&D融资约束影响更明显,从而导致其对R&D投资扭曲的影响也更显著。通过企业异质性检验发现,对于易受融资约束的中小企业,CEO过度自信会造成其投资不足,而对于不易受融资约束的企业,CEO过度自信并不会造成其过度投资。因此,CEO过度自信对企业创新投入的促进作用只在企业不受融资约束时才成立。  相似文献

本文以1990-2008年间非金融类民营上市公司为样本,检验银行关系和政治联系是否影响银行贷款。研究结果发现,那些聘请了现在或曾经在银行工作的人士担任总经理或董事的企业能够获得更多的银行贷款。但是,在没有银行关系的民营企业中,政治联系并不能促进企业获得更多的银行贷款。同时建立政治联系和银行关系的企业也没有能够比只建立其中一种关系的企业获得更多的银行贷款。这些结论表明,在中国基于非正式的关系确实可以给受到融资约束的民营企业带来银行贷款方面的融资便利。其中,银行关系相对于政治联系是一种更为普遍和有效的非正式关系。  相似文献

本文利用中国上海和深圳证券交易所上市公司2003-2005年的数据,实证分析了董事报酬结构和董事会独立性之间的关系,并在考虑董事报酬内生性基础上,进一步检验了董事报酬、独立性和公司绩效的关系.研究结果发现,长任期的CEO、CEO兼任董事长、较大比例的内部董事和较大的董事会规模构成了中国上市公司的监管障碍.董事报酬是一种公司治理的强化机制,当董事会保持独立时,其报酬结构能更好的激励董事履行监管职能.但是,当董事会失去其独立性时,其报酬结构会加剧公司的代理冲突.授予董事会合理的激励报酬可以克服公司监管障碍,提高公司治理水平.  相似文献

We examine and analyze the post-privatization corporate governance of a sample of 52 newly privatized Egyptian firms over a period of 10 years, from 1995 to 2005. We look at the ownership structure that results from privatization and its evolution; the determinants of private ownership concentration; and the impact of private ownership concentration, identity and board composition on firm performance. We find that the state gives up control over time to the private sector, but still controls, on average, more than 35% of these firms. We also document a trend in private ownership concentration over time, mostly to the benefit of foreign investors. Firm size, sales growth, industry affiliation, and timing and method of privatization seem to play a key role in determining private ownership concentration. Ownership concentration and ownership identity, in particular foreign investors, prove to have a positive impact on firm performance, while employee ownership concentration has a negative one. The higher proportion of outside directors and the change in the board composition following privatization have a positive effect on firm performance. These results could have some important policy implications where private ownership by foreign investors seems to add more value to firms, while selling state-owned enterprises (SOEs) to employees is not recommended. Also, the state is highly advised to relinquish control and allow for changes in the board of directors following privatization as changing ownership, per se, might not have a positive impact on firm performance unless it is coupled with a new management style.  相似文献

This article examines corporate scandals of both a financial and nonfinancial nature between 1993 and 2011 which is expressly linked to a firm’s CEO. Findings suggest that in the short run, investors react adversely to such events and that recalcitrant CEOs end up costing their shareholders dearly. Such scandals are more likely to occur among large firms, firms with insiders on the board and where the value of options granted to a firm’s managers is substantial. However, firms with more cash flows are less likely to be mired in such scandals, and their stock returns are less likely to be affected. There is an increase in stock price volatility of affected firms in the days following the announcement of the scandal. A point of respite for investors is the damage being confined to the short run. The stock price performance of the firms affected by the scandals matches the performance of control firms in the long run post-announcement. However, the operating performance of the sample firms is better than their matched counterparts in the years after the scandal. We contribute to the extant literature by considering corporate scandal events that are the doings of a firm’s CEO and not necessarily financially motivated.  相似文献

Jensen和Meckling早在1976年就指出股权结构影响企业价值,而这一过程是通过影响投资实现的,但是一直缺乏有说服力的经验结果的支持。本文以2004~2007年1039家上市公司共4156个观察值为研究样本,从第一大股东股权的视角出发,研究了股权结构与公司投资水平之间的关系。研究发现,中国上市公司第一大股东的持股比例与公司的投资支出之间存在“下降-上升-下降”的“倒N”型的非线性关系;进一步研究后发现,持股比例在10%~20%的区间投资水平达到最小值,在60%~70%的区间达到最大值。但是这种“倒N”型的非线性关系只存在于非国家控股的公司,当第一大股东为国家股时,这种非线性关系会变得不显著。本文的研究为治理当前我国企业普遍存在的非效率投资、提升企业价值提供了经验证据。  相似文献

以2013—2018年期间379家中国A股技术密集型公司数据为样本,研究了家族所有权在研发投资和CEO薪酬关系中的调节作用。结果发现:与非家族企业相比,家族企业CEO薪酬与研发投资水平关联性较高;家族所有权比例较高的家族企业对CEO薪酬与研发投资的关系具有更强的正向调节能力;低风险与高风险的家族企业在研发投资上没有显著差异。因此,家族所有权在研发投资和CEO薪酬关系中具有调节的作用是基于信息优势和较长的投资期限,而并非风险规避。进一步研究发现:家族企业的研发投资比非家族企业具有更高的投资效率、并可转化为更高的企业价值和增长率。  相似文献

We examine the impact of executive and leadership shareholding and cash compensation on analyst forecast error and dispersion as proxies for information asymmetry. We find that firms pay higher compensation (or excess compensation) to executives and directors are associated with higher information asymmetry. The positive association is stronger where executives’ and directors’ shareholdings are higher. Shareholding appears to facilitate managerial entrenchment and gives highly paid executives/leadership stronger structural power which adversely affects information disclosure leading to larger forecast error and dispersion. These results are robust to different measures of compensation and alternative models controlling for the predictability of firm-level earnings. Our findings indicate that executive/director shareholding and compensation do not provide sufficient incentives for information disclosure by Chinese firms.  相似文献

以2005—2011年沪深两市1236至2107家上市公司为样本,通过研究高管薪酬、公司治理以及公司业绩之间的关系发现:独立董事在董事会的占比越大、CEO对董事会的影响力越大对高管薪酬具有显著的正向影响;而股权集中度、公司为国有控股、董事会持股董事会越多、监事会持股监事越多对高管薪酬具有显著的负向影响。并且因公司治理引起高管获得的超额薪酬与公司业绩具有显著的负相关关系。  相似文献

以2007—2019年中国A股上市公司为样本,探讨女性董事长如何影响企业研发投入强度。结果表明,女性董事长对企业研发投入强度具有显著抑制效应,且这种抑制效应在成熟期表现最为显著,成长期次之,衰退期最弱。进一步研究发现,专利申请数和发明专利申请数均与女性董事长显著负相关,女性董事长的风险规避行为会遏制企业创新。结论进一步丰富了创新管理领域相关研究,同时具有一定实践启示。  相似文献

CEO的财务经历有利于其做出合理的融资决策和投资决策,从而有助于降低企业融资约束。以2000—2013年沪深A股上市公司作为研究对象,本文实证检验结果证明了笔者的这一假设。该结论在控制内生性以及采用其他指标衡量融资约束等稳健性检验之后仍然成立。进一步检验结果表明,在外部融资条件较差时,CEO财务经历对于缓解融资约束的作用更为显著;同时,CEO财务经历有助于企业提高投资绩效。这表明了具有财务经历的CEO通过提高企业外部融资能力和投资决策的合理性,从而缓解企业融资约束。本文在丰富高阶梯队理论和融资约束领域文献的同时,对于上市公司制定科学合理的CEO聘任决策以及缓解融资约束等方面有重要的启示。  相似文献

This study examines whether and how corporate social irresponsibility (CSI) influences stock price crash risk for firms with overconfident CEOs. We find that the positive association between CEO overconfidence and stock price crash risk as shown in prior studies is significantly weakened when firms have higher CSI concerns. As a result, our intriguing findings demonstrate that investors are less surprised at the negative news hoarded by overconfident CEOs of CSI firms, possibly because they are already aware of and have previously reacted to the socially irresponsible behavior in their daily operations.  相似文献

本文研究了不同业绩水平下董事会领导结构与CEO更换之间的关系。研究发现,在业绩很好的公司中,CEO兼任董事长有利于避免不正常的CEO强制更换;在业绩一般的公司中,CEO兼任董事长则为业绩较低的CEO提供了保护;在经营亏损的公司中,这一保护不再发生作用。基于不同业绩水平下CEO更换的实质,本文认为,代理理论和现代管家理论在公司治理实践中是相容的,从而为研究两者的关系提供了一个新的框架。此外,本文的研究还为我国的公司治理改革提供了一些有意义的启示。  相似文献

Many studies have investigated the relationship between women on corporate boards (WOCB) and firm performance in accordance with the ‘business case’ for board gender diversity. However, these have been conducted on large firms. This study re-examines this relationship for a sample of French listed SMEs over the period 2010–2014 using a dynamic panel GMM estimator to mitigate endogeneity issues. We find that the percentage of WOCB is positively and significantly related to firm performance. However, the other proxies for board gender diversity are not statistically different from zero. We argue that the relationship is not straightforward. This finding is interesting as it sheds light on the ‘business case’.  相似文献
