敌意收购作为公司要约收购的一种形式,是指收购人未与目标公司管理层协商或者未达成共识,面临着目标公司管理层反对甚至采取反收购措施的情况下而进行的收购。它的主要特点是收购者在通过收购目标公司股东手中所持的股份,取代其目标公司的投资者地位而成为目标公司的股东,因此在法律上的效果即引起了股权关系的变更。通过敌意收购,可以更换不称职的管理层来降低代理成本。同时,敌意收购形成了规模经济,产生了协同效应。但是,敌意收购也不可避免的加剧了市场的动荡,它本身是一种中性行为,它只是实现优胜劣汰的方法和手段之一。  相似文献

目前在营销研究的文献中还没有关于消费者敌意与品牌信任之间关系的实证研究。本文旨在填补此空白,研究消费者敌意与品牌信任不同维度之间的关系。本文采用定量研究的方法,在互联网上进行了问卷调查,共获得85份答卷。研究表明消费者敌意对品牌的能力信任没有显著影响,而对品牌的善意信任有负面影响并且需要通过善意信任对品牌总体信任产生影响;研究结果支持了金玉芳的品牌信任结构模型,为弱化消费者敌意对品牌信任的负面影响提供了策略方向。  相似文献

敌意收购者与以创始人为首的高管团队的控制权争夺,是公司治理与战略管理研究者关注的热点问题.已有研究主要从利益相关者参与公司治理的途径,及控制权争夺主体拥有的社会资本的视角,分析控制权争夺主体如何获取实际控制权.本研究基于资源基础理论和社会认同理论,通过对宝万控制权之争的案例研究,识别了利益相关者参与控制权争夺的动因:一是高管团队资本较高的租金产生能力使得"有限"自利的利益相关者能够获得高于其要素机会成本的超额回报,进而对高管团队产生较高的经济依赖;二是敌意收购者入侵使得利益相关者感知到组织身份威胁,利益相关者会增加对高管团队的社会认同.利益相关者对高管团队产生的"经济依赖"和"社会认同",是促使高管团队获取控制权优势的根本决定因素.  相似文献

在经济发展"新常态"下,组织必须通过不断创新来获得和保持竞争优势。本文通过建立雇员敌意、差错沟通、情绪管理和员工创新行为的模型来进行实证研究。研究发现:雇员敌意对员工创新行为有显著的负向影响;差错沟通在雇员敌意对员工创新行为的影响过程起着中介作用;情绪管理正向调节雇员敌意与员工创新行为的负向关系,情绪管理通过抑制雇员敌意对差错沟通的负向效应进而弱化雇员敌意对员工创新行为的负向效应。因此,为促进员工创新行为,企业应重视增强员工的自我情绪管理能力、加强引导,并积极营造正向的差错管理氛围。  相似文献

本研究探讨了领导者攻击型幽默对员工偏差行为的影响,以及心理契约违背的中介作用和敌意归因风格的调节作用。对325份员工-同事配对问卷调查数据进行分析,结果表明:领导者攻击型幽默与员工的领导指向偏差行为、组织指向偏差行为均显著正相关,心理契约违背在这一关系间起部分中介作用,敌意归因风格正向调节领导者攻击型幽默与心理契约违背的关系,即敌意归因水平越高,领导者攻击型幽默对心理契约违背的正向作用越强。此外,敌意归因风格正向调节领导者攻击型幽默影响领导指向偏差行为和组织指向偏差行为的间接效应,即敌意归因水平越高,领导者攻击型幽默通过心理契约违背影响领导指向偏差行为和组织指向偏差行为的间接效应越强。  相似文献

目的:调查某师范学院大学新生心理健康情况(男生:1025名,女生:2440名)。方法:调查用临床症状自评量表(SCL-90)作为测量工具,根据大学生临床症状自评量表评定标准进行评定。结果:(1)心理障碍发生率:临床症状自评量表(SCL-90)总分>200分,项目因子分>3者220人,占总人数6.35%。(2)男女生在躯体化、焦虑、敌对、恐怖、偏执、精神病性、其他等因子上差异显著,且平均分数男生均高于女生。结论:应加强大学新生的心理健康教育,提高其心理健康水平。  相似文献

The main aim of the current study were to find out the effect of competitive anxiety during the match for junior handball player students, and to investigate the relationship between the training experience of students and the level of competitive anxiety during the match for junior handball player students in youth centers of Duhok province in Iraq. A total number of participants was 128 junior handball players divided into 8 youth centers (Akre, Amedi, Bardarash, Domiz, Duhok, Shexan, Sumel and Zaxo) each center contain 16 players. The scale of the Competitive State Anxiety Inventory-2 was used to collect the data. The one way ANOVA, Test Least Significant Difference to find out the effect of competitive anxiety during the match for junior handball player students, and the correlation was conducted to find the relationship between the competitive anxiety and the training experience. The results showed that there is a significant differences between junior handball player students in the level of competitive anxiety for the youth centers (p < 0.00), and there is a negative significant correlation between the training experience and the level of competitive anxiety (r = ? 0.423, p = 0.00). This study would show useful information about the effect of competitive anxiety and training experience for junior handball player students.  相似文献

This study explores gender differences in positive perceptions, anxiety, and depression among mothers and fathers of children with intellectual disabilities (IDs). We examined the relationship between these variables and certain characteristics of both the child (age and severity of disability) and the parents (age, educational level, and employment status). A sample of 60 mother/father couples who had children with IDs completed the Positive Contributions Scale to measure their positive perceptions, and the Hospital Anxiety and Depression Scale to assess their level of anxiety and depression. Bivariate analyses were used to determine differences between fathers and mothers as regards their positive perceptions and levels of anxiety and depression. A logistic regression model was then applied to identify which of the variables might be significant predictors of the gender differences observed among parents. Both mothers and fathers had positive perceptions of their children with IDs that co-existed with symptoms of anxiety and depression, with scores being higher among mothers. The predictive analysis of gender showed that individual variables (such as the employment status of both parents) may explain these differences.  相似文献

Exercise techniques, such as Pilates, have beneficial effects on physical and neuropsychological characteristics. The effects of exercises on physical and neuropsychological features have been heavily examined throughout the previous years. The purpose of this study is to analysis impact of Pilates exercises on academic achievement with regards to motivation, attention, anxiety by using the fuzzy logic and comparing the results with traditional statistical methods. Ninety students taking the course titled “Adolescent Psychology” from the Faculty of Education of Near East University (North Cyprus) participated in this study. Psychological variables were gathered using the internationally recognized tests of Test Anxiety Inventory, d2 Test of Attention and the Academic Motivation Scale. The results indicate that using the fuzzy logic allows researchers to handle the imprecision and vagueness inherence of input data in depth and develop the more reliable model for computing input–output relations.  相似文献

Based on the logic of “trust‐behavior,” we examined the relationship between interfirm cognitive trust, emotional trust, and firms' cooperation on environmental innovation, as well as the moderating role of environmental hostility on the relationship between two dimensions of interfirm trust and cooperation on environmental innovation. Data for the study were collected from 216 firms in China. The results indicated that both interfirm cognitive trust and emotional trust were positively correlated to firms' cooperation on environmental innovation, and the effect of emotional trust on firms' cooperation on environmental innovation was negatively moderated by environmental hostility. Finally, the results were discussed and future directions put forward.  相似文献

Abstract

In this study knowledge is considered as explicit and tacit; and in line with this, knowledge management strategy that focuses on tacit knowledge is identified as tacit oriented knowledge management strategy. Organizational culture, which is one of the crucial antecedents of knowledge management process, is categorized into four types by using two dimensions—external versus internal orientation and formal versus informal organizational process—as adhocracy, clan, market and hierarchy. And the relationships between adhocracy, and clan culture and tacit oriented knowledge management strategy are investigated. Also the industrial environment hostility is used as a moderator between adhocracy and clan cultures, and tacit oriented knowledge management strategy.

According to the regression analyses, adhocracy and clan cultures have positive effects on tacit oriented knowledge management strategy; and the impact (magnitude) of adhocracy culture is approximately the same as the clan culture on tacit oriented knowledge management strategy. Also it was found that greater industry environment hostility, the greater relationship between adhocracy and clan cultures, and tacit oriented knowledge management Strategy.  相似文献

本研究采用SCL-90调查初二学生家长的心理健康状况及与学生学业成绩的关系,结果发现:安康市初中学生家长心理健康状况与全国成人常模相比,除人际关系外,其他8个因子分和总均分都高于全国常模,其中躯体化、强迫和总均分差异显著,敌对、精神病性、恐怖、偏执差异极其显著;总分超过160分的家长阳性检出率为20.3%,阳性项目数超过43项的家长阳性检出率为31%;初中家长心理问题表现症状排名前5名的是强迫、敌对、人际关系、抑郁和偏执;快慢班学生家长在强迫、人际关系、抑郁、敌对和偏执上存在显著差异,慢班学生家长在此5因子的因子分和总均分全部高于快班学生家长。  相似文献

In this paper, we introduce the psychological concept of anxiety into agency theory. An important benchmark in the anxiety literature is the inverted-U hypothesis, which states that an increase in anxiety improves performance when anxiety is low, but reduces it when anxiety is high. We show that the inverted-U hypothesis is consistent with evidence that high-powered incentives can reduce the agent's optimal effort and expected performance. In equilibrium, however, a profit-maximizing principal never offers such counterproductive incentives. We also show that the inverted-U hypothesis can explain empirical anomalies related to monitoring, the informativeness principle, and the risk–reward tradeoff.  相似文献
