The author introduces constructs based on neo-classical and socio-economic assumptions, and argues that board-management relations should be characterized by both independence and interdependence. Interdependence is especially important in small firms. The article presents a model of directorates from research about directorates based on agency theory assumptions. This model is supplemented with constructs from the theory of contractual relations. Whilst traditional literature tends to focus upon independence from an agency theory perspective, this article argues that it is necessary to use more than one dimension of attributes regarding the board-management relations in order to understand the board's contribution to company performance, and that trust and solidarity is especially important in small firms. Board-management relations described by simultaneous independence and interdependence are proposed to give the highest contribution to company performance. The theoretical propositions are exemplified and supported by results of a field survey of directorates in small firms.  相似文献

There is a practical five-step method of ethics dialog developed by John Woolman, an 18th c. businessman and ethical activist, that was used by Robert K. Greenleaf, a 20th c. A.T.&T. Corporate Vice-President, that includes: (a) friendly, emotive affect; (b) discussion of mutual commonalities; (c) discussion of issue entanglements; (d) discussion of potential experimental solutions; and, (e) trial and feedback discussion. This method of dialog appears to proceed with a type of consciousness considered by John Woolman and Bernard Lonergan as one where the I is conscious that I and Others are part of a more foundational, larger and prior We. This type of dialog is different than Socratic dialog. The corresponding type of consciousness is different than the more derivative, e.g., two allies being united in their response to a common goal. It is also different than Buber's I and Thou appreciative consciounsess of the interestingness, value, diversity, and uniqueness of others. Woolman dialog as seen in four cases appears to be a concrete method that has some value both as an end in itself and as instrumental means that can: be issue effective, help build ethical organization/community culture, and help facilitate peaceful, evolutionary change and development. Limitations of the method are also considered. The method may also be a several hundred year anticipation of experiment based pragmatist philosophy that is anthropologically sensitive to cultural entanglements.

Still shots, videos, music, and movie clips can be helpful in bringing some excitement to the study of business ethics. For several years, Professor McAdams has been using The Great Gatsby as a text for discussing American commercial values. That discussion serves as an introduction to a larger examination of contemporary business ethics. Recently, Professor Duclos and her students converted that socratic exploration of Gatsby's contemporary relevance to a PC-based, multimedia show employing the efficient and manageable PowerPoint software presentation package. Computer-based multimedia added flavor to the presentation, but developing this lengthy lesson required hundreds of hours, substantial hardware/software and a high tolerance for frustration.  相似文献

In the process of implementing an ethical code of conduct, a business organization uses formal methods. Of these, training, courses and means of enforcement are common and are also suitable for self-regulation. The USA is encouraging business corporations to self regulate with the Federal Sentencing Guidelines (FSG). The Guidelines prescribe similar formal methods and specify that, unless such methods are used, the process of implementation will be considered ineffective, and the business will therefore not be considered to have complied with the guidelines. Business organizations invest enormous funds on formal methods. However, recent events indicate that these are not, by themselves, yielding the desired results. Our study, based on a sample of 812 employees and conducted in an Israeli subsidiary of a leading multinational High-Tech corporation headquartered in the US, indicates that, of the methods used in the process of implementation, one of the informal methods (namely, the social norms of the organization) is perceived by employees to have the most influence on their conduct. This result, when examined against employee tenure, remains relatively stable over the years, and stands in contradistinction to the formalistic approach embedded in the FSG. We indirectly measure the effectiveness of the percieved most influential implementation process methods by analyzing their impact on employee attitudes (namely, personal ethical commitment and employees' commitment to organizational values). Our results indicate that the informal methods (manager sets an example or social norms of the organization) are likely to yield greater commitment with respect to both employee attitudes than the formal method (training and courses on the subject of ethics). The personal control method (my own personal values) differs significantly from all the other methods in that it yields the highest degree of personal ethical commitment and the lowest degree of employees' commitment to organizational values.  相似文献

Existing research has shown that the pennies-a-day strategy of reframing a large aggregate expense as a small daily expense helps to reduce the perceived cost of a transaction (Nagle and Holden, 1995; Price, 1995; Gourville, 1998, 1999). This paper builds on this research and explores the robustness of the phenomenon across two dimensions – (1) the level of temporal aggregation and (2) the dollar magnitude of the transaction. First, we show that the effectiveness of a pennies-a-day strategy is not limited to per-day framing. Rather, we find a more general phenomenon in which a less aggregate expense is preferred to a more aggregate expense, such that if a per-day framing is preferred to a per-year framing, than a per-month framing also will be preferred to a per-year framing. Second, we show that this effectiveness reverses with the magnitude of the underlying expense, such that while a framing of $1 per day is preferred to one of $365 per year, a framing of $4200 per year is preferred to one of $11.50 per day.  相似文献

Many ethical problems faced by organizations concern human resource management. This paper shows how some religious principles can be integrated into a human resource management course. First, it presents a discussion of employee responsibilities and rights in Judaism, Christianity, and Islam. Next, it suggests how various principles can be applied to human resource management activities. Do to others as you would have them do to you is applied to equal opportunity. Thou shall not commit sexual impropriety (or in positive terms, respect and love) is the basis for no sexual harassment. Thou shall not steal (or in positive terms, deal fairly) is related to fair pay in exchange for excellent employee performance. Thou shall not lie (or in positive terms, be truthful) is needed for due process in employee disputes. Thou shall not kill (or in positive terms, respect life) is applied to employee safety and health, plus health care benefits. As an example of applied social science, the field of human resource management is used to show that ethical problems are not only those of carrying out research, of professional conduct, and of the distribution fairness of social science knowledge. A largely overlooked ethical issue is also the implicit choices that are made as an integral part of research and implementation. First, an analysis is undertaken of the implicit assumptions, values and goals that derive from the conception of human problems in work organizations as managing human resources. Secondly, it is argued that such a conception is in fact a socially constructed reality with real consequences and not a reflection of objective states of human and social nature with which we have to live. Thirdly, to the extent that our implicit assumptions are in part based upon conceptual choices that are made by individuals or as a collective act of a discipline or work organization, the development of an ethical framework that could guide such choices becomes a crucial challenge for business ethics.H. Peter Dachler currently holds the chair for organizational psychology at the University of St. Gall, Switzerland. He received his graduate training in industrial/organizational psychology at the University of Illinois at Urbana and subsequently taught in the Department of Psychology at the University of Maryland, College Park. He was a fellow for two years at the International Institute of Management in the Science Center, Berlin, and is on the editorial boards of various international and American scientific journals. He has published mainly in the areas of motivation, leadership, organization theory, and the theoretical and practical implications of a constructionist epistemology for employee assessment, participation and leadership. Georges Enderle is a senior lecturer for business ethics at the University of St. Gall, Switzerland. Since 1983 he has been Director of the Institute for Business Ethics. He is the author of Sicherung des Existenzminimums im nationalen und internationalen Kontext — eine wirtschaftsethische Studie [Securing the minimal standard of living in the national and international context: A business ethics perspective]. Zusammenfassung Der Beitrag untersucht den Schutzzweck des neuen AGB-Gesetzes anhand der Entstehungsgeschichte des Gesetzes. Er weist darauf hin, daß in der neuen Kommentarliteratur der verbraucherpolitische Schutzzweck nur unzureichend reflektiert wird. Dies zeigt sich insbesondere an der Auslegung des gesetzlichen Zentralbegriffs der »Allgemeinen Geschäftsbedingung« und an seiner Ausnahme, den »im einzelnen ausgehandelten« Bedingungen. Hier ist nach Meinung des Autors eine Differenzierung in Geschäftsbedingungen zwischen Unternehmen einerseits und im Verhältnis Unternehmen-Verbraucher (Nichtkaufleute) andererseits erforderlich. Schließlich wird auf Probleme der Verbandsklage eingegangen.
On the difficulties of protecting the consumer by means of the new german law on standard terms of contract (ABGB)
The paper analyses the attempts made in this Law to increase the protection of the consumer against unfair contract clauses. It reviews recent legal writings which have tried to evaluate the substance and scope of the protection provided by the Law. It is maintained that in these writings, the aims of the legislation are not examined at sufficient depth. Criticism is levelled especially against the way in which the concept standard contract term has been expounded.The author argues that standard contract terms have to be given different interpretations depending upon whether contracts are made between an enterprise and consumers or between two enterprises. In the first case (enterprise-consumer) a wide definition of standard contract terms should be applied in order for the courts to be able to deal with most consumer contracts. In particular, the author opposes the notion of individually negotiated contracts in Art. 1 § 2, which by literal interpretation would provide loopholes enabling enterprises to evade the law. In the second case (enterprise-enterprise), one should pay attention to the distribution of market power; the more powerful an enterprise in relation to the contract partner, the greater the need for legal control of contract terms.The paper also contains a commentary on the legal procedure of collective action (Verbandsklage) whereby consumer organizations can protest against unfair standard form contracts; some first practical experiences with the procedure are mentioned.

Peter Drucker accuses business ethics of singling out business unfairly for special ethical treatment, of subordinating ethical to political concerns, and of being, not ethics at all, but ethical chic. We contend that Drucker's denunciation of business ethics rests upon a fundamental misunderstanding of the field. This article is written in the context of current British interest in management training and development, in which an emphasis on competency is viewed critically, as technically oriented, with little attention paid to ethics and moral values. It is suggested that a concern for ethics in management development can be expressed in terms of four requisite management attributes or qualities: theoretical knowledge and understanding; affective qualities; personal and interpersonal skills; and self-knowledge. Following Kohlberg's work on moral development, the cultivation of these attributes is viewed as a life-span process involving three broadly defined forms of management development practice, each appropriate to different circumstances and stages in a learner's career. It is concluded that the conventional teaching of theory, learning from experience and counselling/mentoring, are equally important in the contribution which management development can make to the resolution of ethical dilemmas in business practice.Patrick Maclagan is a lecturer in organisational behaviour and managerial ethics at the School of Management, University of Hull, U.K., where he is also on the Steering Committee of the Social Values Research Centre, His current research concerns the relationship between management development and ethics in organisations.  相似文献

Firm internationalisation has long been regarded as an incremental process, wherein firms gravitate towards psychologically close markets and increase commitment to international markets in a gradual, step-wise, manner through a series of evolutionary stages. However, much of the recent literature provides clear evidence of rapid and dedicated internationalisation by born global firms. Typically, these are smaller entrepreneurial firms that internationalise from inception, or start to shortly thereafter. Their main source of competitive advantage is often related to a more sophisticated knowledge base. In addition, the authors have found evidence of firms supporting this born global pattern of behaviour but also evidence of firms that suddenly internationalise after a long period of focusing on the domestic market. These born-again globals appear to be influenced by critical events that provide them with additional human or financial resources, such as changes in ownership/management, being taken over by another company with international networks, or themselves acquiring such a firm. Based upon the extant literature and our own research, we propose an integrative model that recognises the existence of different internationalisation pathways. We then explore differences in behaviour due to the firm's internationalisation trajectory and discuss the strategic and public policy implications.  相似文献

This paper presents the results of an empirical study of attitudes towards ethical questions in business life among managing directors. They study covers more than 240 Swedish firms of all sizes, from different lines of business, and it is based on a solid theoretical framework. It should be seen as a part of the author's effort to develop a model explaining ethical organizational behaviour. Among the most important conclusions of the study is the concept of corporate moral view. It seems possible to distinguish between the humanitarian morality versus the organizational morality, depending on who's interests the decision maker prefers to take in a moral dilemma.Ulrica Nylén is a Doctoral Candidate in Organizational Theory with a special interest in ethical values and their impact on organizational behavior. Business ethics teaching can be improved when ethicists integrate the ethical theories they apply to business with the organizational design of the course. By utilizing three techniques – implementing a Total Quality Management-style survey and review, nominating and electing class virtues, and telling personal stories of moral action – classes can be organized to operate by the social contract, rights, stakeholder, and virtue theories that dominate business ethics literature. Classes then become laboratories for the practical articulation and application of the theories as well as providing real examples of the theories in action. This methodology produces benefits for the particular class and for the development and refinement of the theories themselves.This paper describes each of the three pedagogical techniques; and then explicitly relates them to these leading business ethics theories to demonstrate how the integration can lead to a community seeking and discovering moral truth in the classroom.  相似文献

Yogoslav socialist society has applied the system of self-management also to the protection of consumers. Social compacts as guaranteed by the Constitution of 1974 and the Law of Associated Labour of 1976 may be negotiated among organizations of producers, trade, and consumers. A system of specific consumer codexes containing standards of quality, price, advertising, claim-handling, etc., has spread in Yugoslav society. A new draft consumer code is available for adoption by all consumer and associated labour organizations as from 1977.
Zusammenfassung Die jugoslawische sozialistische Gesellschaft hat das System der Selbstverwaltung auch zum Schutz des Verbrauchers entwickelt. Kollektivverträge, wie sie in der Verfassung von 1974 und dem Gesetz über die selbstverwaltete Arbeit von 1976 zugrundegelegt sind, können zwischen Organisationen der Produzenten, des Handels und der Verbraucher abgeschlossen werden. Ein System spezieller »Verbraucherkodizes«, die Regeln über Qualität, Preis und Werbung enthalten sowie die Behandlung von Verbraucherbeschwerden vorsehen, überzieht die jugoslawische Gesellschaft. Ein neuer Muster-»Verbraucherkodex« steht seit 1977 allen Konsumentenorganisationen und Vereinigungen der assoziierten Arbeit offen.

Milton Friedman's article, The Social Responsibility of Business Is To Increase Its Profits, owes its appeal to the rhetorical devices of simplicity, authority, and finality. More careful consideration reveals oversimplification and ambiguity that conceals empirical errors and logical fallacies. It is false that business does, or would, operate exclusively in economic terms, that managers concentrate obsessively on profitability, and that ethics can be marginalized. These errors reflect basic contradictions: an apolitical political base, altruistic agents of selfishness, and good deriving from greed. Colin Grant is a Professor in the Department of Religious Studies at Mount Allison University. He teaches an undergraduate course on The Ethics and Ethos of Business. His article Giving Ethics the Business appeared in JBE 7 (1988), pp. 489–495. Considerable controversy was stirred by the contrast between the specific approaches to public policy contained in the first draft of the Catholic bishops' letter on the U.S. economy and the policies favored by the Reagan administration. However, a much more basic contrast actually existed between the bishops' underlying vision of economic life and contemporary capitalism. The pastoral challenges a separation between moral criteria and economic activity that is deeply embedded in modernity itself. Indeed, the splitting off of economic life from its moral-religious matrix is seen by the bishops' critics as a positive, defining feature of democratic capitalism. The critics see the separate economic and moral-religious spheres related by due balance; the bishops, while acknowledging an autonomy to economic life, emphasize that its fundamental choices remain moral. The bishops (and, for different reasons, their critics) have preferred to minimize the contrast between the letter's vision and the contemporary economy. They avoid any clearcut judgment on the economic system by stressing pragmatism and reforms; but implicitly they are granting a strictly conditioned acceptance of reformist capitalism, the condition being the system's openness to questioning and change. The author, who has been counsel for the injured in the Spanish olive oil proceedings, reports about the health, political and legal issues of this the greatest tragic event in recent Spanish history. The complexity of the marketing processes has made it difficult to trace the criminal responsibilities of the traders of denatured oil. The civil servants in charge of control and supervision have so far been exempted from the proceedings. The author analyses the legal problems and makes suggestions as to the handling of such cases, including compensation.
Die spanischen Strafverfahren im Zusammenhang mit dem Olivenölskandal
Zusammenfassung Der Bericht untersucht die Entstehung und Abwicklung des spanischen Strafverfahrens im Olivenölskandal. Im Jahre 1981 sind durch kontaminiertes Speiseöl nahezu 1,000 Menschen — meistens aus ärmeren Schichten herkommend — an schweren Vergiftungen gestorben und weitere tausend schwer erkrankt. Die Behörden haben nur zögerlich auf die größte Gesundheitskatastrophe in der spanischen Geschichte, das sog. síndrome tóxico, reagiert und das Strafverfahren gegen die verantwortlichen Händler erst nach langer Verzögerung, gegen die nachlässigen Beamten der Aufsichtsbehörden noch gar nicht eingeleitet. Die kaum aufklärbaren Wege der Vermarktung des vergifteten Öles machten es schwierig, die für die Opfer verantwortlichen Personen aufzufinden und ihre Schuld nachzuweisen. Der Autor, der als Vertreter der geschädigten Nebenkläger bzw. ihrer Familien das umfangreiche, noch nicht durch ein Urteil abgeschlossene Strafverfahren vor der audencia nacionál in Madrid mehrere Jahre aktiv begleitet hat, untersucht die rechtlichen und tatsächlichen Probleme einer kollektivrechtlichen Bewältigung des síndrome tóxico und macht Verbesserungsvorschläge, auch zur Opferentschädigung. Ein Postskrip berichtet über das nach Fertigstellung am 20. März gefällte Urteil ins Strafverfahren gegen die aceiteros.
