Extant literature holds that firm acquisitions create value through innovation if the knowledge bases of the acquirer and the target complement each other. Little is known about the value that patents associated with a target's knowledge convey to the acquirer, i.e., their value in securing market exclusion and freedom to operate in R&D. We argue that such property rights hold preemptive power allowing firms to capture the value from combining complementary technologies and to realize gains from trade in strategic factor markets. Our results for a sample of 1,428 acquisitions indicate that—controlling for technological value—acquired preemptive power is an important determinant of the acquisition price, particularly when the acquirer is technology intensive and acquired patents are highly related to the acquirer's knowledge base. Disentangling the performance effects of efficiency and bargaining power in horizontal growth strategies: An empirical investigation in the global retail industry 下载免费PDF全文
Mergers and acquisitions (M&A) and organic growth are two common strategies to achieve horizontal growth. In this study, we disentangle two distinct sources of firm performance corresponding to different theoretical perspectives on firm size: firms' bargaining power with respect to suppliers and customers, and operating efficiency arising from scale economies. We conceptually argue and empirically show that relatively, M&A enhance bargaining power in the short term while organic growth enhances operating efficiency over the long term. In order to disaggregate these effects, we use accounting rather than financial or managerial data and test our predictions in the global retail industry over a 20‐year period. Existing research on buyer-seller relationships has focused on the role played by trust in shaping the dynamics of interpersonal interaction between the buyer and the seller. While this is undoubtedly an important variable in governing the interactional dynamics it is by no means the only variable. The paper begins by reviewing the existing literature on buyer-seller relationships. The role played by emotions is articulated. Finally, it is recognized that the emotions that emerge in a buyer-seller relationship do so at multiple levels. A model and propositions highlighting the impact of emotions on interpersonal relationships are developed. Illustrative cases are used to ground the propositions empirically. 相似文献

国家对创新的大力支持以及管理者对创新的重视使得创新一直以来都是实践界和学术界的研究热点,研发投资在一定程度上代表了企业的创新投资。本文从融资约束的视角出发,采用实证研究方法,以2008~2018年我国A股上市公司为样本,系统地剖析了CEO权力、融资约束对研发投资的影响,研究发现权力越大的CEO越倾向于增加企业的研发投资;融资约束会抑制企业的研发投资;融资约束会抑制CEO权力对企业研发投资的提升作用;相较于国有企业,非国有企业的融资约束对企业研发投资的抑制作用更显著,且融资约束对CEO权力与研发投资关系的抑制作用也更显著。研究结论对于提高企业研发投资水平、提升企业创新成果转化效率进而提升企业核心竞争力与价值具有重要意义。 相似文献

There has been increasing scholarly interest in the concepts and practices of smart governance. However, there is a lack of comparative studies of smart governance in different institutional contexts. This study develops a framework for comparing smart governance in different institutional and technological contexts. Comparative and discourse analyses are conducted to understand the similarities and differences of smart governance practices in selected Western countries and China. A key finding of this study is that different institutions have largely affected smart governance strategies, arrangements and outcomes. Smart governance is tightly linked with e-governance and e-democracy in some Western countries, while it officially emphasizes smart management and service in China. A common aspect is that the increasing use of social media, smartphones, portals, crowdsourcing platforms, and planning support systems have generally promoted smart governments and services, e-participation, and wider collaboration through both top-down and bottom-up approaches. This could lead to gradual changes in government organizations, new relations between governments, the private sector and citizens, and improvements in the city. 相似文献

Cassava in Malawi is the second most important staple food crop after maize. This paper assesses the impact of agricultural research for development approach in Malawi on cassava yields, per capita area planted to cassava and household calorie intake from cassava and maize. Given the growing interest over the past decade in agricultural research for development as an innovation systems approach for improving the delivery of research-derived benefits to smallholder farmers and having impact in Africa, this paper provides empirical evidence as to the effects of this framework. The paper concludes that Malawi’s cassava research for development has contributed to measurable gains in area planted to cassava, cassava yields and household caloric intake. 相似文献

The marketing and strategy literature hail strategic flexibility as a key success factor in creating continuously customer value and generating competitive advantage. However, empirical evidence indicates that rigidity in market strategies and actions is more the rule than the exception in organizations. The focus of this special issue is on better understanding rigidity and flexibility in business markets. This lead article seeks to elaborate on why companies face rigidity and how they can create flexibility. To do this, we relate rigidity in organizations to the concepts of dominant logic, industry recipe and persistence. The case illustrations highlight barriers to the development of absorptive capacity in business organizations. Identifying such barriers is a first step in better understanding how companies can remain agile and flexible in demanding and fast changing markets. Evidence assembled in this special issue of Food Policy shows that rising rural population densities in parts of Africa are profoundly affecting farming systems and the region’s economies in ways that are underappreciated in current discourse on African development issues. This study synthesizes how people, markets and governments are responding to rising land pressures in Africa, drawing on key findings from the various contributions in this special issue. The papers herein revisit the issue of Boserupian agricultural intensification as an important response to land constraints, but they also go further than Boserup and her followers to explore broader responses to land constraints, including non-farm diversification, migration, and reduced fertility rates. Agricultural and rural development strategies in the region will need to more fully anticipate the implications of Africa’s rapidly changing land and demographic situation, and the immense challenges that mounting land pressures pose in the context of current evidence of unsustainable agricultural intensification, a rapidly rising labor force associated with the region’s current demographic conditions, and limited nonfarm job creation. These challenges are manageable but will require explicit policy actions to address the unique development challenges in densely populated rural areas. 相似文献

The effect of social networking relationships, firm‐specific managerial experience, and their interactions on performance between family owned and nonfamily firms are studied. Using data from 106 organizations in Ghana, the findings show that family owned firms benefit more from networking relationships with bureaucratic officials than do nonfamily firms. However, nonfamily firms benefit more from networking relationships with community leaders and firm‐specific managerial experience than do family owned firms. Networking relationships with politicians impede performance for nonfamily firms. Nonfamily firms are better able than family owned firms to use their firm‐specific managerial experience to manage the resources and capabilities obtained from networking relationships with community leaders to create value. Moreover, firm‐specific managerial experience attenuates the detrimental effects of networking with politicians for both types of firms. Copyright © 2012 John Wiley & Sons, Ltd. 相似文献
