In this study, we examine the relationship between a firm's lobbying activities and financial reporting quality using a US setting where public scrutiny of corporate political activities is high. More importantly, we examine whether and how a firm's visibility shapes the relationship between its corporate lobbying activities and accounting conservatism. Adopting annual lobbying expenditure data to measure firms’ lobbying activities, and using a propensity‐score‐matching methodology to control for differences in firm characteristics between lobbying and non‐lobbying firms, we find a positive relationship between a firm's lobbying intensity and the degree of accounting conservatism in its financial reporting. We further find this positive relationship to be more pronounced in lobbying firms with a higher level of visibility. These results are robust after controlling for a firm's political connections, across various conditional conservatism measures, and across a number of visibility measures including firm size, the number of analysts following the firm, the age of the firm, the number of foreign stock exchanges that the firm is cross‐listed in, and the level of the firm's media coverage. Together, our findings add to the literature on how firms’ political activities shape their accounting practices in general, and accounting conservatism in particular. More importantly, our findings suggest that the heightened public attention paid to political activities in the US yields incentives for firms to be more conservative in their accounting practices.  相似文献

There is a long-standing concern in the literature about the potential importance of non-observable forms of lobbying that may be used by corporate managers to influence accounting standard setting bodies. To date, however, no study has documented their nature or their volume. This study provides such evidence in the context of the U.K.'s Accounting Standards Board (ASB) standard setting process for the period 1991–96. It also provides evidence with respect to the timing at which lobbying activity takes place and its perceived effectiveness by corporate managers. The findings suggest that companies use a variety of lobbying methods, including appeals to their auditors and private meetings with ASB members and staff. Importantly, however, the use of these methods is significantly associated with the use of comment letters; companies which submit comment letters are much more likely to use other methods than companies which do not. Other findings suggest that more companies lobby during the stages of the ASB process at which public consultation takes place (e.g., exposure period of a discussion paper) than at the earlier stages of the process (e.g., agenda formation) which are considered in the literature as the stages at which lobbying can be most effective. With respect to the perceived effectiveness of lobbying, companies which lobbied the ASB considered lobbying to be more effective than companies which did not.  相似文献

Accounting standard setting has been described as a highly political process. Different interest groups are often quite ready to criticize any proposed accounting standard and lobby the accounting standard setting body. This study explores the possibility that certain information might be revealed through corporate lobbying behavior. A game-theoretic model is formulated to examine the implications of a proposed accounting standard which, if passed, would require the financial statement recording of some previously undisclosed liabilities. In this model, management has incentive to lobby against the standard and prevent the mandatory reporting of the liabilities. Lobbying against the standard, however, may itself reveal to the market information about the liabilities. Results of the equilibrium analysis show that, because of this informational effect, a company may choose not to lobby even though the company may have a high liability and can be adversely affected by the proposed standard. On the other hand, a company may avoid revealing its liability level if it can adopt the "always-lobby" strategy. Furthermore, a company may not have to lobby at all if it can "free-ride" on other companies' lobbying effort. Companies may even be able to enjoy "free-riding" at least some of the time if each company can share the responsibilities and lobby on a probabilistic and what otherwise may seem like a random basis.  相似文献

Whether the FASB's conceptual framework can be used to derive accounting treatments has been debated. Mozes (1998) argued that the conceptual framework's high level of abstraction meant that several alternative views were possible for the treatment of stock-based compensation and that this was unhelpful. This article identifies a problem at the abstract level of the conceptual framework that requires resolution before Mozes' proposals to remedy the high level of abstraction may be acted upon—the inappropriateness of the conceptual framework's distinction between liabilities and equity. The conceptual framework is clear that equity transactions are non-reciprocal but the accounting treatment to be derived from this view is unacceptable and was not presented as an option in the stock-based compensation project. Instead, the FASB's basis for conclusions is based on reciprocal transactions, disguising the inappropriateness of the conceptual framework's definitions. Failure to revise the conceptual framework leaves the FASB, and other standard-setting bodies drawing on the FASB's concepts, open to developing serious inconsistencies in other pro-jects where the distinction between liabilities and equity is important, and without conceptual support for their stance on stock-based compensation.  相似文献

Corporate lobbying activities are designed to influence legislators, regulators and courts, presumably to encourage favorable policies and/or outcomes. In dollar terms, corporate lobbying expenditures are typically one or even two orders of magnitude larger than spending by Political Action Committees (PAC), and, unlike PAC donations, lobbying amounts are direct corporate expenditures. We use data made available by the Lobbying Disclosure Act of 1995 to examine this more pervasive form of corporate political activity. We find that, on average, lobbying is positively related to accounting and market measures of financial performance. These results are robust across a number of empirical specifications. We also report market performance evidence using a portfolio approach. We find that portfolios of firms with the highest lobbying intensities significantly outperform their benchmarks in the three years following portfolio formation.  相似文献

股权激励管理办法允许上市公司通过股权激励计划对部分非高管员工进行股权激励,但设定激励对象等方面的有关规定对企业的影响却鲜有研究关注。本文从公平理论视角分析我国非高管员工股权激励对上市公司创新的影响,并依据中国上市公司股权激励计划与专利数据实证检验了非高管员工股权激励有效性假说与不公平假说。研究发现,总体上我国股权激励计划能够显著促进企业创新,但非激励员工因薪酬不公平而产生的消极行为在一定程度上削弱了股权激励计划的激励效果。具体而言,在国有控股上市公司以及激励与非激励员工收入差距小的上市公司中,非高管股权激励弱化企业创新的影响明显小于其他公司;而在非高管员工覆盖比例较高的公司中,非高管股权激励计划弱化企业创新的影响不存在。因此适当提高员工股权激励覆盖的范围可以减少激励员工与非激励员工之间因激励错配导致的薪酬不公平问题,有助于提升我国上市公司股权激励计划的创新激励效果。  相似文献

We examine the determinants and value effects of corporate lobbying, controlling for corporate political action committee (PAC) campaign contributions. We find evidence that firms with greater potential payoffs from favorable policy and regulations lobby most actively, and that managers often utilize both lobbying and campaign contribution channels to influence the political climate affecting the firm. We also find that shareholders value the lobbying activities pursued by management on their behalf, particularly if the firm does not have a PAC that contributed to an election campaign. The results are robust to a number of tests designed to mitigate potential omitted‐variable and self‐selection bias.  相似文献

This study examines auditor lobbying on seven proposed US accounting standards which affect banks and savings and loan associations. Evidence is provided in support of the Watts and Zimmerman (1982, 1986) theory on auditor lobbying. Watts and Zimmerman (WZ) hypothesise that auditor lobbying is a function of the client-manager position and a set of wealth effect variables. These variables may provide an incentive for auditors to disagree with their clients on proposed accounting issues. The WZ model is modified by including an audit risk variable. Results show that the model is statistically significant and that the identified wealth and audit risk effects are significant explanatory variables of auditor lobbying behaviour.  相似文献

This study focuses on variation in managers' accounting choices given motivations to use accounting accruals opportunistically. Prior research identifies a number of motivations arising from accounting–based contracts that encourage opportunistic reporting by managers. However, prior research implicitly assumes all managers respond identically to the same contractual motivations. This study identifies variation in managers' responses to contractual motivations involving accruals that is related to managers' stewardship of corporate assets. Evidence shows that modeling how managers use corporate assets enhances the explanation of their accounting choices given motivations to (a) use accruals opportunistically, and (b) to smooth income via accruals. Managers with high ratings on judicious use of corporate assets are less responsive to motivations to use accruals opportunistically, and to smooth income via accruals, than managers with low ratings. This evidence suggests that not all managers are equally opportunistic, and that modeling this factor helps explain cross–sectional differences in managers' accounting choices.  相似文献

This paper describes the firm's decision to borrow short-term versus long-term and shows how the introduction of interest rate swaps affects this choice. The model shows that in the absence of a swap market, interest rate uncertainty can lead firms to substitute long-term for short-term financing. However, when swaps exist, there is a tendency for firms that expect their credit quality to improve to borrow short-term and use swaps to hedge interest rate risk. The model suggests that, while the demand for fixed for floating swaps is enhanced, the demand for floating for fixed swaps is reduced by the presence of asymmetric information.  相似文献

利益相关者理论是在契约理论的基础之上丰富和发展起来的,其根基并没有超脱企业契约的范畴,是环境推动的结果.企业之所以能够存在,不仅与股东和经理人员有关,而且与消费者、债权人、供应商、员工和政府等紧密相关.企业是利益相关者结成的关系契约,利益相关者的价值最大化是利益相关者理论下的会计政策选择的目标.会计政策选择权属于企业的剩余控制权,从利益相关者理论角度看,会计政策选择权应属于利益相关者.利益相关者通过不同的方式影响着企业,进而通过相应的公司治理结构和具体运行机制进行会计政策选择,并受到一定外在约束机制的制约.以利益相关者理论为基础,遵守会计政策选择的原则、在相应会计政策选择的内外约束机制下,达成利益相关者的价值最大化目标.  相似文献

Studies suggest that underwriting syndicates provide marketing services and certify the fairness of offer prices. We argue that syndicate lead banks also monitor manager effort, increasing the value of capital-raising companies. A given level of monitoring is associated with a given level of intrinsic value, so there is a “schedule” of certifiable offer prices, depending on the level of monitoring. Monitoring, marketing, and certification are, therefore, all legitimate syndicate functions. New evidence supporting the conclusion that syndicates provide corporate monitoring is presented.  相似文献

会计稳健性是财务报告的一个重要特征和惯例,已成为会计盈余的重要质量特征之一。本文运用basu(1997)模型,将会计稳健性定义为会计报告对坏消息的确认比好消息更及时,探讨了有关公司治理的几个重要因素对会计稳健性的影响。研究发现:在影响会计稳健性的治理因素中,银行借款比例与会计稳健性正相关,国家股比例与会计稳健性负相关,在国家股比例低的分组,会计稳健性较高。发行有B股的企业,会计稳健性与只有A股的企业没有显著差异。研究表明,会计稳健性作为会计报告质量的一种量度,随着会计制度和准则的国际接轨与完善,证券市场监管的加强,取得了一定成效,但是会计准则和会计制度不能保证会计报告的质量,尚需改革国内相关的制度背景,如公司治理、法律实施环境等。  相似文献

本文认为 ,会计信息系统在公司治理中的作用还有待进一步全面认识。财务会计信息由于受多种因素的限制 ,不能完全满足公司治理的要求 ;而管理会计也需要重新构造其目标和方法体系 ,才能有助于公司治理。管理会计与财务会计都是为公司的内外部服务 ,两者的差异从根本上说源自信息披露是否具有强制性。为推进管理会计的改革和发展 ,应重视会计系统的环境因素、管理制度创新与规范的结合和会计信息的内在性质。  相似文献

Many cultural, political, economic and other environmental factors have been suggested as impediments to the efforts of the International Accounting Standards Committee (IASC) to harmonize international accounting standards. We investigate the relationship between lobbyists’ position, and: (1) their home countries’ financial accounting standards; and (2) their home countries’ tax rules. The factors are tested both separately and jointly to increase our understanding of lobbying and obstacles to harmonization. Long-term construction contracts are used as our case study. Construction contracts were traditionally accounted for by either the completed contract method (CCM) or the percentage of completion method (PCM). Originally, the IASC’s Standards (IASs) allowed both CCM and PCM. Thus, most countries’ accounting standards complied with IASs. However, the IASC’s Comparability Project, beginning with Exposure Draft (ED) 32, proposed to eliminate CCM. Thirty-nine comment letters submitted on ED 32 contained specific references to long-term construction contracts. Although almost 60% opposed the complete elimination of CCM, the IASC eliminated it. However, in many ways, the IASC co-opted lobbyists by allowing the Zero Profit Method, which may effectively result in the same timing of profit recognition as CCM. Support is found for a strong link between respondents’ lobbying position and both their home country’s accounting standards and tax laws. Each factor may hinder the harmonization process. A high positive correlation also exists between the accounting standards and tax laws of lobbyists’ countries. Beyond the possible importance of the tax and financial reporting linkage affecting harmonization, the issue of multicollinearity should signal caution when interpreting the results of lobbying studies that simultaneously include highly correlated variables in the same model.  相似文献
