浅析主要发达国家公司治理结构立法模式

公司治理结构这一问题，近些年来始终是公司法中的一个热点与难点，也是法学界、经济学界普遍关注的问题。公司治理结构受社会形态、传统文化及立法习惯体例的影响，各国公司法对公司治理结构的规定不尽相同，但基本可以概括为三种模式：日本模式，美国模式，德国模式。三种模式各具特色。     

论我国大学内部治理关系及治理模式思考

大学治理分为外部治理和内部治理。大学内部治理主要处理好大学的党委、校长与教授的治理关系和大学的校、院、系的治理关系。建构大学内部治理模式应是"党委领导、校长负责、教授治学、民主管理",既符合大学的内在属性和管理规律,又符合我国具体国情,要进一步加以坚持和完善,努力打造中国特色的大学新制度。     

供应链治理模式及其演化北大核心CSSCI

供应链治理是一个包含层级、规范、市场三种机制维度,约束调整供应链利益相关主体双边或多边关系的治理机制综合体,供应链治理的兴起是经营环境或组织结构变迁的映射。因切入视角不同,供应链治理的概念可大致分为结构观、行为观、制度观三类,三者间并非孤立存在,而是有机联系相互交叉。三种典型的供应链治理机制会同时存在于一个供应链系统,其治理结果取决于三种机制作用强度的差异。根据治理模式中各治理机制相对重要性程度的不同,可分为随机交易型、核心领导型、多元协作型三种类型。在随机交易型治理模式中,市场机制是主流供应链治理机制;在核心领导型治理模式中,层级治理机制的表现更加突出;在多元协作型治理模式中,尽管以规范机制为主导,但其他机制也有发挥余地。供应链治理模式的演化会受到各种因素的影响,并不存在普适路径,只能以随机交易型治理模式为起点,以交互式创新与供应链治理机制的因果反馈为脉路,总结出随机交易型到核心领导型供应链治理模式演化、核心领导型向多元协作型供应链治理模式迁移、核心领导型回转随机交易型供应链治理模式等几种典型的供应链治理模式演化路径。     

董事会治理与公司绩效实证研究——基于中国上市公司沪市A股数据

董事会是公司治理的重要组成部分，也是公司治理的核心。本文运用2009年的沪市A股的截面数据，从董事会规模、独立董事比例和董事会行为特征三个方面来研究董事会治理与公司绩效的关系。研究结果表明．仅一年的董事会治理与公司绩效之间不存在显著的相关性。     

我国上市公司股权结构与公司治理浅析

目前，我国的股权结构与国外存在很大差异．具体表现在三个方面：（1）上市公司股本结构复杂（2）股权高度集中在政府手中（3）非流通股在总股本中占的比重较大。本文从我国上市公司股权结构的特征出发，分析与股权结构相应的公司治理模式和效果，最后根据我国公司治理存在问题提出建议。     

想象共同体与利益共同体乡村治理的权力结构与内卷化

后税费时代的乡村治理面临着治理内卷化的风险与挑战,以权力结构的视角审视我国乡村治理模式的嬗变可以发现乡村治理正在经历着从想象共同体到利益共同体的演变。通过对我国乡村治理研究与实践的回顾,可以发现我国乡村治理存在着三种权力模式：宗族式治理模式、公司型治理模式以及灰色化治理模式。这三种治理结构中暗含着“体制内”精英与“体制外”精英的“合谋”与“博弈”,包含着精英结盟与精英俘获的权力格局与权力运作模式。伴随着传统乡村熟人社会行为逻辑的消解,乡村治理的支配规则正在由传统礼俗与规范向经济理性转变,而乡村治理中各行动者之间的关系也正在由想象共同体转变为利益共同体,最终导致乡村治理的内卷化。     

中外公司治理结构比较研究

公司治理结构问题不仅是法学家研究的领域,更多地为经济学家和社会学家所关注.本文以股东本位、股东利益最大化为研究的逻辑起点,通过对世界上三种典型的公司内部治理结构模式与中国公司内部治理结构的比较研究,揭示公司股权结构与公司内部治理结构之间存在密切的关系,进一步分析了不同股权结构对公司内部治理结构的效率所产生的影响,提出可以从改善公司股权结构和改善公司内部治理结构制度缺陷两方面对中国公司制度加以完善.
