This paper posits that differences in corporate governance structure partly result from differences in institutional arrangements linked to business systems. We developed a new international triad of business systems: the Anglo-American, the Communitarian and the Emerging system, building on the frameworks of Choi et al. (British Academy of Management (Kynoch Birmingham) 1996, Management International Review 39, 257–279, 1999). A common factor determining the success of a corporate governance structure is the extent to which it is transparent to market forces. Such transparency is more than pure financial transparency; as it can also be based on factors such as governmental, banking and other types of institutional transparency mechanism. There may also be a choice for firms to adopt voluntary corporate disclosure in situations where mandatory disclosure is not established. The Asian financial crisis of 1997–1999 and the more recent corporate governance scandals such as Enron, Andersen and Worldcom in the United States and Ahold and Parmalat in Europe show that corporate governance and business ethics issues exist throughout the world. As an illustration we focus on Asia’s emerging1 markets, as, both in view of the pressure of globalization and taking into account the institutional arrangements peculiar to the emerging business system, these issues are important there. Particularly for those who have to find an accommodation between the corporate governance structures and disclosure standards of the Emerging system and those of the Anglo-American and Communitarian systems.  相似文献

In the 1960s small computers emerged in the United States, based on the new semiconductor technology. Originally developed for use in industrial automation, they soon began to compete with the established mainframe computers. A number of British firms entered the new market, including diversified electronic goods manufacturers, enterpreneurial start-ups, and office machinery suppliers. The Wilson government saw small computers as a central element of industrial modernisation, and thus a part of its solution to Britian's economic decline. The Ministry of Technology was given twin objectives: to support industrial modernisation and to promote the British small computer manufacturers. However, US-built systems proved more competitive, and by the mid-1970s they had come to dominate the industry, with the few remaining British firms relegated to niche markets. The paper concludes that government involvement in the industry was well-guided, but ineffectual, and that organisational cultures were to a large extent responsible for the British companies' decline.  相似文献

In the ‘globalization’ debates of the early 1990s, the Anglo-American practices of rapid restructuring to achieve ‘attractiveness’ to foreign direct investment tended to be presented as the universal panacea for dealing with the pressures of global change. However, the East Asian economic crises of the late 1990s have precipitated a widespread questioning, both of the export-oriented ‘Asian model’ of development, and of the possible contagion spreading to the western financial market and ‘FDI attracting’ western states. This article considers the ‘fast but fragile’ nature of Anglo-Saxon style restructuring in the light of the political-economic and social crises experienced by East Asian state-societies. The discussion focuses specifically on the British approach to restructuring for FDI, arguing that this reflects and embodies both a distinctive set of state-societal relations, and a distinctive understanding of what the process of globalization implies for these relations.  相似文献

Despite the widely held notion that U.S. government assistanceto African American entrepreneurs commenced in the late 1960s,the evidence indicates that government interest in promotingblack business actually began in the 1920s. Beginning with theappointment of James A. Jackson in November 1927, the U.S. CommerceDepartment’s agenda, until the mid-1950s, included "NegroAffairs." Jackson’s actions did not generate the directfinancial assistance to black entrepreneurs associated withsuch later government initiatives as Richard Nixon’s "BlackCapitalism." Nevertheless, Jackson’s pioneering efforts,to provide black businesspeople with useful information, helpedto positively reshape contemporary African American entrepreneurs’beliefs about the role of government in their lives.  相似文献
