MANAGERIAL AND OWNERSHIP SUCCESSION AND CORPORATE RESTRUCTURING: THE CASE OF MANAGEMENT BUY-INS*

This paper addresses the effects on corporate restructuring of changing management and ownership. First, it synthesises a number of perspectives on corporate restructuring which involve managerial succession, voluntary restructuring, agency theory, incentives and entrepreneurship, to obtain insights into the relative impact of simultaneously changing either, neither or both management and ownership. Second, it uses case study evidence from management buy-ins to examine the effects of changing both management and ownership. the evidence suggests that whilst management may be adequately incentivized, problems may arise in respect of information asymmetries, difficulties in matching entrepreneurs to the context and monitoring by venture capitalists, and implementation of strategies.     

THE MAKE-BUY DECISION AND MANAGING MARKETS: THE CASE OF MANAGEMENT BUY-OUTS

This paper attempts to develop the issue of the internalization of transactions (the make-buy decision). Butler and Carney (1983) have developed the concept of managing markets where under certain conditions transactions will not be internalized. This paper, as well as attempting to complete this picture, also draws attention to a largely ignored aspect of organization theory - the issue of when a transaction which is already internalized will be externalized. In examining the sale of subsidiaries by parent companies an attempt is made to draw the boundaries of Williamson's divisionalized form of organization. The necessary and sufficient conditions for sale to the management are developed in the theoretical discussion, followed in the second section by empirical evidence from a survey of management buy-outs.

PERFORMANCE APPRAISAL AND THE EMERGENCE OF MANAGEMENT*

This article addresses the debate concerning the study of management. Arguing that definitions of management have suffered from conceptual obscurity, it advocates that an understanding of management must address relational, constitutive and political dimensions of its operation. the work of Michel Foucault, particularly the concept of power/knowledge and his ascending analysis of power, offers such an approach. the relevance of Foucault for recasting the study of management is illustrated through an analysis of performance appraisal systems introduced into UK universities.     

ORGANIZATIONAL OPTIONS FOR PROVIDING URBAN WASTE MANAGEMENT SERVICES: THE CASE OF INDONESIA

Rising incomes and rapid growth require better approaches to organizing and delivering solid waste management services in developing countries. This paper uses Indonesia as a case context for exploring organizational options to urban waste management, including provision by municipal agencies, semi-commercial enterprises, private firms, and neighborhood organizations. Semi-commercial enterprises were found to cover significantly higher shares of routine expenditures than municipal agencies. Few differences were found among different indicators of labor and equipment productivity among organizational types, however. The major difference is that non-public organizations more vigorously seek out revenues. Promising ways to increase revenues and stop leakages are to link solid waste payment with payment of electricity bills and to negotiate revenue-sharing schemes with neighborhood leaders.     

MANUFACTURING REFORM AND THE CHANGING ROLE OF THE PRODUCTION SUPERVISOR: THE CASE OF THE AUTOMOBILE INDUSTRY*

This research assesses current changes in the nature of the supervisory role in the automobile industry. It locates these changes in the context of a transition from mass production to lean or just-in-time production. the emergence of a supervisory role, with supervisors performing critical functions as effective managers of integrated work areas is explored by focusing on two lean producers, Nissan UK and Mazda's Flat Rock plant in the US. Noting the increased responsibility of the supervisor under lean production, the extent of the supervisors’enhanced status and authority are considered. However, a case study of an established vehicle producer in the UK, involving interviews with a sample of forty supervisors draws out the structural and organizational difficulties faced by existing manufacturers in their attempts to reformulate the role of the supervisor.     

PRACTICES OF TREASURY MANAGEMENT IN A SMALL OPEN TRADING ECONOMY: THE BELGIAN CASE

There is little systematic information available on the current practices in the area of treasury management among companies outside the US. The purpose of this study is to investigate management practices in the areas of treasury management for companies located in a small open trading economy: Belgium. This article analyses and compares corporate responses in three important areas of treasury management, i. e. managing banking relations, domestic cash management, and foreign exchange management. The results presented in this article indicate that corporate practice in these areas could be much more sophisticated.     

THE ADOPTION OF JAPANESE MANAGEMENT TECHNIQUES IN BRAZILIAN INDUSTRY*

Changing competitive conditions in Brazilian industry are leading companies to seek Japanese management techniques as a means of rapidly raising productivity and quality. Macroeconomic instability, low levels of educational achievement and poor labour relations would seem to present barriers to the use of these techniques. Case studies of firms in the motor components industry show that firms in Brazil can make radical changes to their production systems, overcome educational deficiencies and also secure reverse past employment relations practices in order to obtain some degree of acceptance of change by labour. However, there are reasons for supposing that these successes may be difficult to sustain in a difficult and turbulent macroeconomic environment.     

KNOWLEDGE AND THE THEORY OF ORGANIZATIONS: ORGANIZATIONS AS ACTIVITY SYSTEMS AND THE REFRAMING OF MANAGEMENT*

Recent developments in the theory of knowing and doing contrast with conventional rational-cognitive assumptions about management and organization. This, and the emphasis that is currently being placed on the importance of esoteric knowledge for business success, suggests that a review of the relationship between knowledge, organization and management is timely. Activity theory offers a way of synthesizing and developing relevant notions. the approach has its origins in Russian psychology which endeavoured to avoid the dichotomies between thought and action and between individuals and society which have characterized Western theory. Activity theory examines the nature of practical activities, their social origins, and the nature of the ‘activity systems’ within which people collaborate. Modifications to Engestrom's contemporary presentation of the approach are suggested, and a theory of organizations as activity systems is offered. the theory reframes management by modelling the recurrent and embedded nature of human activities, by revealing the tentative nature of knowledge and its action orientation, and by highlighting the opportunities for individual and collective development that engagement and dilemma can provide. the article concludes by reviewing implications for the management of knowledge work, organizational capabilities and organizational learning.     

COMPETITIVE GROUPS AS COGNITIVE COMMUNITIES: THE CASE OF SCOTTISH KNITWEAR MANUFACTURERS*

This article explores how the mental models of organizational strategists determine perceptions of competing organizations and responses to competitive conditions. We first outline a cognitive perspective for discussing competitive strategy, and then use this framework to analyse the particular case of the Scottish knitwear industry. We show how the structure of that industry both determines and is determined by managerial perceptions of the environment. We conclude by drawing out a few general implications of our framework for research and theory on competitive strategy.     

THE ROLE OF MANAGEMENT CONSULTANTS IN THE DEVELOPMENT OF INFORMATION TECHNOLOGY: THE INDISSOLUBLE NATURE OF SOCIO-POLITICAL AND TECHNICAL SKILLS*

This paper explores the role of management consultants in the development of information technology (IT) in organizations. Contending that the process of IT systems development is characterized by the exercise of power, the central theme of the argument concerns the indissoluble nature of the technical and socio-political skills inherent in IT consultancy practice. IT consultancy practice is not just socio-political when winning a contract - the sales pitch - and technical when developing an IT system. Rather, socio-political skills centred on the mobilization of discursive and symbolic resources are an inherent part of the construction of such systems.     

STRATEGIC MANAGEMENT AND DETERMINISM: SUSTAINING THE CONVERSATION*

This article suggests that strategy research should concern itself with continuing the conversation of the field rather than insisting upon a place for universal methodological criteria within that conversation. It attempts to sustain the dialogue begun by Bourgeois, Bowman, Jemison, Huff, and others, who recommend the pragmatic approach of methodological and theoretical pluralism as the best way forward in increasing empirical content. the article draws heavily on the philosophical writings of Dewey, Kaplan, and Rorty and the methodological essays of economists such as Boland, Caldwell, and McCloskey in an effort to persuade others in the strategy field that ‘good science is good conversation’. … once or twice she had peeped into the book her sister was reading, but it had no pictures or conversation in it, ‘and what is the use of a book,’thought Alice, ‘without pictures or conversation?’ Lewis Carroll (1865, p. 5)
