Extending the literature on CEO succession, we found that a succession event together with a change in top management related positively to strategic change toward greater internationalization. In a study of 160 Taiwanese firms, we found relationships between firm performance, outside CEO appointment, change in firm's top management team (TMT), and the degree of a firm's internationalization. Moreover, the positive association between a post succession TMT structural change and degree of internationalization was observed only in those cases where dissimilarity between CEO and chairperson (with respect to educational degree and overseas education) was low. This paper contributes to the literature on management in family firms by investigating how succession in family firms affects returns on investment. The identities of the chief executive officer (CEO) and the chairman of the board (COB) were used to establish whether the management of the firm can be characterized as founder, descendant, or external management. A unique, unbalanced panel data set on listed Swedish firms covering the period from 1990 to 2005 was used in the analysis. The results show that founder management has a positive effect on the returns on investment in family firms, whereas descendant management has a negative impact. An external CEO as a successor in family firms leads to more efficient investment policies with increased firm value as a result. That is, when studying corporate governance in family firms it is important to account for what type of management the firm has. Further studies are required to understand the relationship between ownership, control, management, and firm performance.  相似文献

This study integrates organizational identity (OI) theory and upper echelons theory to explore the impact of CEOs’ founder status on corporate social irresponsibility (CSI). We theorize that compared with other CEOs, a founder CEO is more likely to generate a high degree of OI with the firm, which will drive the founder CEO to actively avoid CSI that may damage the positive image and long-term development of the firm. Furthermore, we argue that CEO duality and CEO ownership will strengthen the aforementioned relationship by increasing the possibility of founder CEOs generating a high degree of OI. Conversely, CEO underpayment will weaken the relationship between founder status and CSI by decreasing the possibility of founder CEOs generating a high degree of OI. We obtained empirical evidence in support of our arguments from a large Chinese private listed company dataset. Overall, this study’s theory and evidence clearly show that founder status and personal incentives can jointly shape CEOs’ CSI decisions, thereby providing useful insights for corporate shareholders and government agencies to better prevent and govern firms’ CSI.  相似文献

This paper examines the relationship between turnover among chief executive officers (CEOs) and corporate sustainability performance (CSP) by identifying the influence of two major types of succession to the top job (internal or external promotion) and the reasons for change. Our model also integrates the firm’s past prioritization of CSP and the impact of a company’s participation in the Global Reporting Initiative (GRI). Upper echelons theory and agency theory frameworks are adopted to understand CSP. Using an analysis of panel data for 88 public companies across 13 years in France, we find that a change of chief executive has a positive and significant effect on CSP 5 years after the change. This positive effect is stronger when the new CEO is recruited from outside the firm. The impact on CSP is invariably positive and significant, except for voluntary departures. The arrival of a new CEO affects CSP less when the firm has already achieved a high standard of CSP and participates in the GRI. These results are obtained after controlling CSP determinants already validated in the literature (financial performance, size, profitability, etc.). The findings show that expectations of CEOs are not solely economic and financial but also concern CSP. In terms of governance, they should prompt shareholders looking to strengthen CSP to choose new CEOs from outside the firm and to encourage the firm to participate in the GRI.  相似文献

Especially in changing and unpredictable global environments where small knowledge-intensive information and communications technology (ICT) firms often operate, knowledge-based organisational capabilities are seen to contribute most to the performance. In this paper we explore the internationalisation process of small knowledge-intensive firms by studying the effects of a firm’s organisational capabilities on internationalisation and performance. We use a sample of 124 (of which 55 operate internationally) Finnish small and medium-sized firms. International experience is confirmed to be a significant determinant of internationalisation and international performance. In addition, financial capabilities prove to be a significant indicator of the degree of internationalisation: excellent investment expertise, connections with venture capitalists and good financial management are important capabilities for a small firm with high international growth aspirations.  相似文献

Using survey data from China, we demonstrate that the performance consequences of managerial turnover depend on firm characteristics and managerial ties outside of the firm. An insider CEO has better knowledge of the organization but may be bound by existing social ties within the firm. An outsider CEO may turn around the firm more efficiently and possess valuable business and political ties. The author finds outside CEOs are associated with higher efficiency gains in state-owned firms with a large labor force and dependent on government support. The finding is robust after controlling for the selection of CEOs.  相似文献

It is a fundamental tenet of modern management theory and practice that managers matter, and that a management change involving a transfer of authority will improve performance. In fact, there are two other possibilities, the management change may have no or even a negative effect. The purpose of this study is to examine the effects of a management change (succession) in the retail service branch banking context. The study is based on historical operational data and is longitudinal in nature. Specifically, the inter-relationships between pre-succession performance, predecessor tenure, reason for succession, origin of successor and organisational change were evaluated in 38 branches of a bank during a two-year period. The results indicated a strong association between pre- and post-succession performance, and that pre-succession performance is a predictor of successor origin, as is predecessor tenure which in turn influence post-succession performance.  相似文献

从家族接班人的职位视角,按照家族内部传承的进程,可以把家族内部传承区分为三个阶段:传承前期,传承中期和传承后期。文章基于我国2007-2011年上市家族企业的数据,分析了家族内部传承进程对贷款期限结构的影响。研究结果表明:(1)家族内部传承进程与长期借款比率呈倒“U”型关系。(2)在传承前期,家族内部传承可以促进企业获得长期借款,此结论支持了家族声誉理论。相对于家族间接控制来说,家族直接控制会强化家族内部传承的促进作用。(3)在传承中期,家族内部传承与长期借款比率的关系不显著。(4)在传承后期,家族内部传承会阻碍企业获得长期借款,此结论支持了资产专有理论。与第一代家族成员同时担任董事长和总经理相比,第二代家族成员同时担任董事长和总经理对长期借款比率的负面效应更大。  相似文献

While previous research suggests that CEO turnover correlates with strategic changes in firm's operations such as discontinuation of operations, we demonstrate that such findings apply only to specific types of CEO turnover, and only if non-CEO members of the top management team also exit the firm. Our analysis examines cases of contender, follower, and outsider succession and reinforces the key role of non-CEO departures in strategic change at a firm. The results support an integration of the upper echelons perspective and the power circulation theory view of top management team turnover.  相似文献

This paper extends our understanding of the internationalisation and firm performance (I-FP) relationship of service firms by considering the influence of strategic decisions on three types of slack resources. The research focusses on an important type of service operations ? global engineering services, which are a major part of the global economy and represent a distinctive business model in the contemporary business environment. In doing so, we theorise the I-FP relationship by addressing the knowledge-intensive, project-based and people-centric features of engineering service firms (ESFs); and test the relationship with a carefully assembled dataset containing 12 years’ data from 242 ESFs. We identify a negative overall I-FP relationship, i.e. ESFs’ international expansion leads to worse financial performance in general. The presence of slack resources explains why such a result exists. Our findings have significant implications, both for future research on internationalisation and performance and for firms to effectively deploy their resources to support global service operations in a strategic manner.  相似文献

This study contributes to the corporate social responsibility, stakeholder theory, and executive succession literature by examining the effect of corporate social irresponsibility (CSiR) on strategic leadership turnover. We theorize that firms’ CSiR increases the likelihood of executive turnover. We also investigate the nature of succession (non-voluntary or voluntary succession) and successor origin (internal candidate or external candidate) following CSiR. We further examine how the CSiR–CEO succession relationship is moderated by firm visibility to stakeholders and industry dynamism. Our results, based on a dataset of 248 U.S. public firms between 2001 and 2008, provide evidence that firms’ CSiR affects what is conventionally seen as primarily a market-driven decision on executive turnover, especially when firms operate in a more dynamic industry. This article analyses the relationship between CEO succession events and German firms’ internationalization processes, which is represented by the degree of internationalization (DOI) growth and internationalization rhythm. Based on a theoretical framework combining elements of agency theory, institutionalism and upper echelons approach, we propose a longitudinal model to examine the relationships of both process variables with the number of CEO changes and succession type (internal vs. external succession), respectively. The results of our study of 102 German firms over 23 years (1990–2012) show an inverted U-shaped impact (no impact) of the number of CEO changes (succession type) on the DOI growth and a positive (negative) monotonic effect on the rhythm of internationalization.  相似文献

The general objective of this article is to analyse innovation as a determinant of the internationalisation patterns of Brazilian technology-based SMEs (small and medium enterprises) in different sectors and with different technological features. The theoretical background of this article centres on the typologies of innovation, SMEs’ internationalisation patterns, and innovation as an internationalisation determinant. The main theoretical contributions of this qualitative study are its analysis of innovation of the firm, focusing on the type of innovation, the degree of novelty, and the degree of control over the innovation process as determinants of their internationalisation patterns, and the influence of the external organisational environment on innovation and internationalisation. In terms of managerial implications, we highlight the effect of these factors on the competitiveness of case firms in international markets. Finally, our suggestions for future studies include the need for research replication in other emerging markets, the inclusion of both mature and young technology-based SMEs in the sample, the use of longitudinal data for case studies, and the validation of this qualitative study through a quantitative study that includes a larger sample of technology-based SMEs.

This study draws on agency and stewardship theory to evaluate the relationship between alternative governance regimes (founder versus non-founder CEO) adopted at the time of going public on post-IPO economic outcomes in the market for corporate control. We find that the presence of founder CEOs reduces the likelihood of post-IPO change of control but enhances target IPO firm wealth by increasing acquisition premiums. Additionally, we examine whether measures of CEO power over the board moderate the relationship between founder management and target IPO firm wealth. Our results suggest that CEO duality is the most effective instrument of CEO power available to founder CEOs to positively influence target firm wealth. Further, we find that while founder CEOs utilize power derived from CEO duality to increase acquisition premiums, non-founder CEOs use board leadership power to expropriate shareholder wealth.  相似文献

Domestic acquisitions of firms in emerging markets have so far evaded scholarly interest. This article contributes to closing this gap by looking into the drivers of cross-province acquisitions in the People's Republic of China, covering 569 deals in manufacturing industry conducted between 1999 and 2012. Drawing on the resource-based view, this study looks at prior Chief Executive Officer (CEO) experience and organizational slack as two drivers of cross-province acquisitions, and analyses the moderating effects of firm ownership types and the location of an acquiring firm. The results show that private firms having CEOs with experience outside of the home province are the drivers of cross-province acquisitions in China.  相似文献

The purpose of this paper is to determine how aspects of organisational culture, typical to family businesses, influence internationalisation. Proposing that stewardship orientation, family commitment culture and top management team related factors influence internationalisation; we empirically examine 80 internationalising family SMEs (FSMEs) from the manufacturing sector in Finland. Variance based structural equation modelling (PLS) shows that family commitment culture is negatively associated with the degree of internationalisation. On the other hand strategically flexible top management teams with industry experience in FSMEs are positively associated with the degree of internationalisation. Contributing to an understanding of the internationalisation of family businesses, the findings suggest that family commitment culture and stewardship orientation, often associated with an inward orientation, may operate against internationalisation, however when coupled with the strategic flexibility of the top management team, we found stewardship orientation to positively impact internationalisation suggesting that it provides an outward orientation. Recent perspectives on community investments suggest that they are opportunities for firms to create value for shareholders and other stakeholders. However, many corporate managers are still influenced by a widely held belief that such investments erode profits and are therefore unjustifiable from an agency perspective. In this paper, we refine and test theory regarding countervailing forces that influence community-based firm performance. We hypothesize that high levels of available slack will be associated with higher community-based performance, but that this relationship will be moderated by three important governance variables: board independence, investment fund ownership, and CEO ownership. We find support for our hypotheses in longitudinal study of a large sample of U.S. corporations.  相似文献

The purpose of this paper is to investigate how the home country radical change of institutional conditions influences the firm-level internationalisation process understood as exporting. In particular, we aim to broaden our understanding of how changing institutional conditions affect the internationalisation process of Polish firms founded in different institutional conditions; i.e. under the communist regime (before 1990), in the transition period (1990–2003), and in the post-transition period (2004 and later). We compare and contrast in each period three crucial aspects describing the internationalisation process: time to internationalisation, direction and degree of internationalisation. We find support for the assertion that the institutional conditions at a firm’s birth influence the internationalisation paths of emerging market firms in terms of speed, direction and degree of internationalisation. Firms founded either in the transition (1990–2003), or in the post-transition phase (2004 and later) are more likely to: (1) make the decision about internationalisation earlier in their life cycle, (2) enter developed markets, and (3) achieve a higher degree of internationalisation than firms founded under the communist regime (before 1990).  相似文献

以46家辽宁上市公司为样本,对影响董事会报告透明度因素的研究发现:股权集中度、管理层持股比例、董事会规模、独立董事比例与董事会报告透明度呈正相关关系;股权制衡度,董事长与总经理是否两职合一,审计意见类型与董事会报告透明度呈负相关关系。上市公司应该通过股票期权等方式提升管理人员的持股比例,激励他们积极治理公司,提高董事会报告信息披露的透明度;上市公司第二大股东应适度提高持股比例,防止一股独大现象;同时减少董事长与总经理两职合一,也会有助于提高董事会报告的透明度。  相似文献

This paper contributes to the literature on agency theory by examining relations between family involvement and CEO compensation. Using a panel of 362 small U.S. listed firms, we analyze how founding families influence firm performance through option portfolio price sensitivity. Consistent with the dual agency framework, we find that family firms have lower CEO incentive pay, which is further reduced by higher executive ownership. Interestingly, such incentive pay offsets the positive impact that families have on firm valuation. Collectively, our results show that, compared with nonfamily firms, lower incentive pay adopted by family firms due to lower agency costs mitigates the direct effect of family involvement on firm performance. Once accounting for CEO incentive pay, we do not observe performance differences between family and nonfamily firms.  相似文献
