现代企业集团是伴随生产力发展到一定阶段形成的先进生产组织形式。本文从财务视角分析指出,其先进性体现在三个维度的财务协同模式上:一是通过适时控制外部经营环境风险,达到企业集团环境风险控制的财务协同;二是通过适时调整内部各类资源匹配的矛盾,形成企业集团资源重组匹配的财务协同;三是通过适时消解利益相关者的利益冲突,形成企业集团利益冲突协调的财务协同。研究表明,企业集团的协同发展依赖于外部环境的适应性、内部资源的匹配性、利益相关者的协调性。  相似文献

This paper examines mergers and acquisitions motivated by financial constraints. Synergy gain is measured as the cumulative abnormal return of a value‐weighted portfolio of the acquirer and the target around the acquisition announcement. By constructing a financial constraint difference between the target and the acquirer, we find a positive relationship between the financial constraint difference and synergy gains generated from the acquisition. The positive effect of the financial constraint difference is only significant for high growth targets and severely constrained targets. The acquirer's corporate governance also enhances the synergy gains created from the financial constraint difference. Additional evidence shows that both acquirer's and target's shareholders benefit from the financial constraint difference. Our results are robust for different measures of financial constraint.  相似文献

本文以金融抑制为研究主线,并作为经济新常态、金融新常态和金融供给侧结构性改革的结合点,解读金融供给侧结构性改革中解除金融抑制的进程并寻找金融新常态的现实依据,论述金融新常态与经济新常态的协同关系。结论如下:金融供给侧结构性改革效果良好,金融抑制的解除取得显著成效;我国金融发展步入新常态,且中国金融体系和金融发展具有内在稳定性;金融新常态与经济新常态相伴而生,金融新常态既是经济新常态的必然结果,也是经济新常态的客观表现。根据经济发展和金融供给侧结构性改革的历史经验,适应经济新常态、稳步推进金融供给侧结构性改革的建议为:在深化金融改革的同时,突出政府、市场和社会的协同作用;从内外两个角度实施金融供给侧结构性改革;中央和地方在解除金融抑制和深化金融改革时,应充分把控速度和质量,逐步推进金融供给侧结构性改革。  相似文献

企业的并购是影响企业价值的重要经济活动,尤其是上市企业更是如此.研究以2006年发生的80起并购案例作为考察对象,首先通过计算差量来获取并购前一年、并购当年、并购后三年共计五年的财务时间序列数据;并采用差值分析方法分别对同业并购和混业并购所获得的财务协同效应进行比较,在通过有效性检验和主成分分析对财务协同效应的影响因素的基础上构建了主成分综合模型.研究得到的结论是:短期来看,我国上市企业并购的的财务协同存在着一种放大效应,但长期则显现出了财务协同的紧缩效应;长期看来同业并购资本使用效率上的放大效应更加能明显地持续下去;在偿债能力的放大效应上,短期内混业并购要优于同业并购,但在后期同业并购仍然要好于混业并购.所以我国企业在采取并购时,应该充分考虑自己的战略和并购目标,如果公司期望通过并购来提高自身的资本使用效率,采取混业并购战略更能达到这个目的;如果希望通过并购来进行业务的整合和扩张,那么企业应该采用同业并购的战略.  相似文献

This article deals with the relationship between human resource practices (HRPs) and firm performances in France. It focuses on four specific HRPs that are able to involve employees: empowerment, compensation, communication and training. Each HRP taken in isolation is supposed to be positively related to performances because it is a source of motivation and commitment for employees. But there also exists a synergy between these practices: when they are combined into a bundle and are implemented all together, they should lead to better firm performances. A survey carried out among 180 human resource managers of large French companies leads to validation of most of our hypotheses. Contrary to previous research, we do not find a significant link between compensation and firm performance. The other HRPs are all indirectly related to financial performances, with social performance playing a mediating role. When they are combined into a bundle, HRPs have a stronger impact on performance than when they are studied individually. The article concludes with the importance of developing a strategic human resource policy and of implementing coherent and complementary high-involvement practices to increase firm performance.  相似文献

Synergy is a central tenet of the organizational level approach to human resource management (HRM). However, current theoretic treatments of synergy in the HRM literature are too inspecific to offer much insight about its essential characteristics in HRM systems. To move the treatment of synergy toward greater precision, this paper describes three different theoretic approaches to synergy in HRM systems: virtuous overlaps, independent effects, and efficient complementarities. Each of these approaches to synergy is better fitted to some contingencies than to others and is operationalized by different methodologies. Recognizing these different varieties of HRM system synergy allows researchers to better understand and estimate the impact of HRM systems on organizational performance. Moreover, the theoretic perspectives on synergy described here apply to many types of systems beyond HRM.  相似文献

This study explores how corporate controls used by the parent company of a conglomerate affect subsidiaries' human resource management (HRM) control–performance relationship. Empirical results from 93 firms reveal that the appropriate use of HRM control systems was a contributing factor to firm performance. When a subsidiary's approach to HRM was based on behavior control, performance was lower when the parent company emphasized financial control. When a subsidiary's approach to HRM was based on output control, performance was higher when the parent company emphasized either strategic or financial control. When a subsidiary's approach to HRM was based on input control, performance was higher when the parent company emphasized strategic control.  相似文献

在经济快速增长的背景下,中国已逐步形成一个以中央银行为核心、商业银行为主体,各种银行和非银行金融机构分工协作的现代国家金融体系。运用计量分析方法和典型相关分析,研究中国现代金融体系的社会融资结构、证券市场结构以及影子银行结构,测度国家现代金融体系对实体经济各行业的影响程度。研究表明:金融机构贷款与债券市场对相关行业的促进具有一定协同作用,股票市场对第一、二产业的发展影响较小,金融业对第三产业的促进作用最大。根据目前金融体系的结构、影响,可以预见未来中国现代金融体系的发展前景将主要体现在市场化、网络化以及国际化三个方面。  相似文献

Strategic alliances with pharmaceutical firms allow small biotechnology firms to acquire needed financial capital in exchange for sharing new, cutting‐edge technologies. This study draws from aspects of resource‐based view and social capital theory to examine the factors that influence the extent of financial capital biotech firms acquire when forming an alliance with pharmaceutical firms. Using a sample of 184 alliances from the period 1995–2000, we found that alliances where the pharmaceutical firm has greater management control are associated with greater acquisition of financial capital by the biotech firm. We also found that the credibility of the pharmaceutical firm is positively associated with the extent of financial capital acquired by the biotechnology firm and that the number of patents that the biotech firm has is negatively associated to the financial capital the biotech firm receives. We discuss the implications of our findings for theory, research, and management practice.  相似文献
