随着委托代理理论的逐渐深化,越来越多的上市公司开始将高管薪酬与公司业绩挂钩,以解决管理层与所有者之间的利益冲突。高管薪酬的支付是否能为企业带来相应的业绩?将高管薪酬和企业业绩挂钩能否激励管理层?本文以2010年-2012年沪深A股上市公司为样本,实证检验了高管薪酬与企业业绩之间的相关性,研究表明高管薪酬和企业业绩之间存在显著的正相关关系,即业绩越好的企业,高管薪酬越高。  相似文献

本文通过对273个企业年金基金投资组合业绩的分析发现,2006年企业年金基金入市投资以来,总体收益良好,但是投资组合之间差异明显。通过时间和横截面两个维度的分析发现,投资时间长的组合投资收益较好,横截面的比较则是股票投资比例高的组合投资收益率好于股票投资比例低的组合。从组合收益率的波动来看,股票配置高的投资组合之间业绩差异较大,而股票配置低的组合业绩差异较小。  相似文献

通过选取57家发电上市公司2008年年报中披露的企业业绩和高管薪酬的数据,对高管薪酬与公司经营业绩之间的相关性进行分析,并利用线性回归和spss统计分析软件进行研究。发现从整体样本来看,发电上市公司高管薪酬与公司经营业绩呈显著正相关。但企业对高管层人事管理政府行为较多。应加大对高管人员的市场化管理,构建多元化的薪酬激励结构。  相似文献

根据创业板上市公司业绩表现,分析影响创业板上市公司IPO前后业绩变化的主要因素,包括企业自身的选择性信息披露、部分公司存在造假行为、募集资金的投资水平及使用效率较低,以及中介机构不能发挥很好认证作用等。结合创业板上市公司的自身特点提出了构建严格的信息披露和审批制度强化中介机构的责任,出台对财务造假公司的终身市场禁入法规和提高募集资金的使用效率等进一步完善创业板上市公司IPO的相关建议。  相似文献

以2006—2017年沪深两市A股上市公司为样本,考察卖空管制放松对管理层业绩预告质量的影响。研究表明,相比于不可卖空的公司,可卖空公司在被列入融资融券标的后管理层业绩预告积极性、准确性与精确性提高,业绩预告文本的复杂性下降,说明放松卖空管制显著提升了管理层业绩预告质量。该结论在经过一系列稳健性检验后依然成立。区分业绩预告类型后发现:相比于强制性披露,卖空交易对自愿性业绩预告质量的提升效应更强;相比于好消息业绩预告,卖空交易对坏消息业绩预告质量的提升作用更大。作用机制检验结果表明,卖空交易通过引入交易竞争、强化外部监督、放大披露声誉优势、促进股价反馈,提升了管理层业绩预告质量。  相似文献

董事会是代替股东监督管理层的主要机构,根据管理层的能力、努力程度和业绩作出监督决策。但在实际监督中,一方面信息不对称导致道德风险和逆向选择,另一方面不确定性因素也会影响监督决策强度,进而影响业绩。文章由不确定性理论研究出发,通过对2011年上市公司截面数据分析,用直接监督行为(董事会次数)和监督结果(高管薪酬、盈余管理)以及ROA作为被解释变量,从内部不确定性和外部不确定性两方面考察不确定性条件下董事会监督管理层的行为以及对业绩的影响。实证结果显示团队异质性与高管薪酬显著负相关,与业绩负相关;业务复杂性和规模与高管薪酬和业绩负相关;独立董事构成对监督和业绩影响不显著。而董事会会议和盈余管理与这些变量没有表现出相关关系。此外,财务危机导致的不确定性对监督强度和业绩都有显著负相关关系。总体说来,不确定性弱化了监督强度,与业绩负相关。  相似文献

This paper studies 148 related and 169 unrelated acquisition cases conducted by Chinese listed firms from 2001 to 2004 and explores firm and industry characteristics of these firms prior to their acquisition. Results show that there are significant pre-acquisition differences between firms pursuing related acquisition and firms pursuing unrelated acquisition in terms of firm performance, business risk, firm size, proportion of state shares and degree of diversification profile. Except for differences in internal capital as represented by undistributed profit per share, there is no significant difference in other aspects of available resources and industry performance. The existing literature provides conflicting results on the association between firm performance and corporate social responsibility (CSR) disclosure. This paper empirically examines the effect of firm performance on CSR disclosure in terms of disclosure frequency and quality among Chinese listed firms and the possible mediating effect of corporate ownership on the relationship between firm performance and CSR disclosure. Our findings show that better‐performing firms are more likely than worse‐performing ones to disclose CSR information and to produce higher quality CSR reports. In addition, the link between firm performance and CSR disclosure is found to be weaker among state‐owned enterprises compared with non‐state‐owned ones.  相似文献

Customer relationship management (CRM) is the widely accepted approach for gathering, examining, understanding and translating information related to customers into managerial action. CRM is investigated in the context of new product performance (NPP). CRM enhances NPP as well as firm performance. This study investigates the impact of CRM on NPP through the moderation of top management support and an innovative culture, as well as the impact of CRM on firm performance through the mediation of NPP. A questionnaire survey is used for data collection from marketing managers of 159 firms in Pakistan in the B-to-B market. Hypotheses were tested using SEM in SMART PLS. This research shows that CRM directly affects firm performance, while NPP partially mediates the relationship of CRM and firm performance. These findings have significant implications for the practitioner. This study delivers insights to managers and academicians about the role of CRM in enhancing NPP and improving firm performance. In general, the study provides new insights into CRM by integrating top management support and an innovative culture. The research extends our understanding that top management support and innovative culture do not moderate the relationship of CRM with new product performance in a B-to-B context.  相似文献

对高管薪酬与公司绩效的已有研究主要集中在高管薪酬总额以及绝对薪酬差距方面。现采用相对薪酬差距指标,以沪深两市435家制造业上市公司的年报数据为基础,对高管薪酬与公司绩效之间的相关性进行了实证研究。研究结果表明,高管相对薪酬差距对公司绩效无正向显著性,并呈现出负向影响的趋势,结果符合行为理论提出的假说。  相似文献

In this article, we examine the association between ethics and disclosure and the impact of this association on the long-term, post-issue performance of seasoned equity offerings (SEOs). We argue that firms with extensive disclosure are less likely to face information problems, and more likely to lead to an active shareholder monitoring, and therefore, engage in fewer unethical activities, such as aggressive earnings manipulation, and have better long-term, post-issue performance. Consistent with these predictions, this study presents evidence that disclosure is negatively related to unethical earnings manipulation and positively associated with long-term, post-issue performance. In particular, we find that long-term, post-issue SEO underperformance is significantly less for firms with extensive disclosure and conservative earnings management than firms with less disclosure and aggressive earnings management. We interpret this evidence to mean that over the long run, the capital market values ethical financial reporting and corporate efforts to incorporate social responsibility into their decision-making processes, for example, by enhancing information transparency through voluntary disclosure.   相似文献

Given the increasing importance attached to both corporate social responsibility (CSR) and corporate governance, this study investigates the association between these two complimentary mechanisms used by companies to enhance relations with stakeholders. Consistent with both legitimacy and stakeholder theory and controlling for industry profile, firm size, stockholder power/dispersion, creditor power/leverage, and economic performance, our analysis of the annual reports for a sample of 222 listed companies suggests that firms providing more CSR information: have better corporate governance ratings; are larger; belong to higher profile industries; and are more highly leveraged. Our findings support the limited prior research suggesting a link between corporate governance quality and CSR disclosure in company annual reports and suggest that, rather than mandating specific disclosures, regulators might be better served focussing on corporate governance quality as a way of increasing CSR disclosures.  相似文献

There is growing interest in the process by which marketing strategy is developed. This article reports on a study in which we investigate the performance implications of using multiple organizational approaches to the development of marketing strategy. Specifically, we test a model in which implementation capability mediates the relationship between number of marketing strategy development (MSD) styles used and firm performance. Based on data collected from manufacturers, the results indicate that: (1) the relationship between the number of MSD styles used and implementation capability is curvilinear (an inverse U-shaped relationship), (2) implementation capability positively impacts firm performance, and (3) implementation capability mediates the relationship between number of MSD styles used and firm performance.  相似文献

This paper examines the effect of strategic information disclosure and corporate governance on the stock market performance of initial public offering (IPO) firms in France. It argues that information disclosure and board independence mitigate agency problems between the IPO firm and investors, thus reducing the IPO discount defined as the difference between the offer price and the intrinsic value of the firm. However, extensive disclosure may damage the firm's competitive advantage and lead to a curvilinear (an inverted U‐shape) relationship between information disclosure and the IPO discount. Further analysis suggests that it is not necessarily the quantity of information, but rather the type of information, that causes the IPO discount to increase with the amount of disclosure.  相似文献

传统战略管理理论认为非相关多元化对企业绩效有负向影响。然而在中国这样的转型经济国家,由于制度的缺失导致市场有效性相对较弱,非相关多元化可以使企业形成内部市场从而弥补制度的欠缺,通过对中国500强企业的实证研究也证明非相关多元化与企业绩效正相关。由于中国民营企业的非相关多元化程度较国有企业更高,民营企业非相关多元化与企业绩效的关系也较国有企业更为显著。  相似文献
