The governance of exchanges: members' cooperatives versus outside ownership   总被引:8,自引:0,他引:8  
Many securities exchanges are run as members' cooperatives:they are run on behalf of the people who use the exchange. Thisform of governance is unusual. Most businesses have outsideownership: the people who own and run the firm are typicallynot the same people who buy and use the firm's product. Thatis, contrast to a members' cooperative, ownership is not bundledwith the right to consume. We argue that the crucial distinctionbetween a cooperative structure and outside ownership concernswho has residual rights or control over the non-human assets.With outside ownership, control rests with the owners; and sinceoutside owners are typically only interested in maximizing profit,they tend to make inefficient decisions, tailored to the marginaluser. By contrast, in a cooperative the members have collectivecontrol. Collective decision making is typically inefficient,because in a vote the views of the pivotal voter are not necessarilythe same as those of the membership as a whole. Thus both formsof governance, outside ownership and a members' cooperativeare inefficient - but for different reasons, and in differentways. In comparing the two ownership structures, we find thatoutside ownership becomes relatively more efficient than a members'cooperative as: (i) the variation across the membership becomesmore skewed; and (ii) the exchange faces more competition. Formany exchanges, but these changes have occurred in recent years.However, even if outside ownership is now the superior structureof governance for an exchange, a members' cooperative may not,of its volition, vote in favour of making the change; i.e. theymay decide not to sell up. European integration and corporate restructuring: the strategy of Unilever, c.1957‐c.1990. While much has been written about the politics of European integration, discussion about the role of business in this process has been largely confined to lobbying activities. This article focuses on the business reaction to European integration. It highlights the constraints facing one of Europe's largest firms in building a regional detergents business. These included divergences in market demand and political obstacles to rationalization, but more serious was a corporate culture based around local decision making and consensus. The study demonstrates that a full understanding of the European integration process must incorporate a firm‐level analysis of how Europe‐wide businesses were built after 1957.  相似文献

We study how group membership affects behavior both when group members can and cannot interact with each other. Our goal is to isolate the contrasting forces that spring from group membership: a free‐riding incentive leading to reduced effort and a sense of social responsibility that increases effort. In an environment with varying task difficulty and individual decision making as the benchmark, we show that the free‐riding effect is stronger. Group members significantly reduce their effort in situations where they share the outcome but are unable to communicate. When group members share outcomes and can interact, they outperform groups without communication and individuals. We show that these groups do as well as the best constituent member would have done on his or her own.  相似文献

We revisit an endogenous timing game by introducing corporate social responsibility into firms' payoffs. Previous research investigates an endogenous timing game in a mixed oligopoly, wherein one welfare‐maximizing public firm competes against profit‐maximizing private firms. It shows that the outcome is completely different from that of private oligopoly. In contrast to its result, we find that this change in payoff does not matter as long as the payoffs are symmetric. Our result indicates that asymmetry, and not welfare‐concerning objectives, yields specific results in the literature on mixed oligopoly.  相似文献

This paper investigates how a firm's characteristics restrict the influence of monetary policy changes on its investment behavior. Focusing on China's listed companies for a sample period from the first quarter of 2002 to the first quarter of 2011, we find that quantity‐oriented and price‐based monetary policies have heterogeneous impacts on corporate investment behavior, but the influence of monetary policies is constrained by the liquidity, inventory, size and asset–liability ratio of a firm. Firms with higher liquidity, lower inventory level and lower asset–liability ratios are less sensitive to the impact from two kinds of monetary policies. The larger the size of the firm, the less it is subject to influence from quantity‐oriented monetary policy; it responds more to price‐based monetary policy. The policy implication is that the monetary authorities should pay attention to the importance of policy‐making based on the monetary demand of microeconomic entities.  相似文献

本文以中国上市公司为研究对象,以高管团队和代理理论为理论依据,探讨了上市公司国际化倾向的影响因素。本文认为CEO的认知、价值观和个人经验会影响到公司战略的制定;与此同时,公司的治理结构也会影响到CEO的风险偏好。实证结果表明,那些国际化经验丰富、受教育程度相对较低的CEO更倾向于采取国际化战略;其次,随着外部董事比例的增加,CEO更愿意承担风险,实施国际化战略。本文的研究结果对企业如何有效制定和实施国际化战略具有一定的指导意义。  相似文献

This paper investigates the effect of CFO gender on corporate financial reporting decision making. Focusing on firms that experience changes of CFO from male to female, the paper compares the firms' degree of accounting conservatism between pre‐ and post‐transition periods. We find that female CFOs are more conservative in their financial reporting. In addition, we find that the relation between CFO gender and conservatism varies with the level of various firm risks, including litigation risk, default risk, systematic risk, and CFO‐specific risk such as job security risk. We further find that the risk aversion of female CFOs is associated with less equity‐based compensation, lower firm risk, a higher tangibility level, and a lower dividend payout level. Overall, the study provides strong support for the notion that female CFOs are more risk averse than male CFOs, which leads female CFOs to adopt more conservative financial reporting policies.  相似文献

State punitive damages reforms have altered how courts award punitive damages. We model the decision to award punitive damages as a two‐step process involving the decision to award any punitive damages and the decision of what amount to award. Using samples of trial court verdicts from the Civil Justice Survey of State Courts, we find that punitive damages caps reduce the amount of damages awarded but do not affect whether they are initially awarded. Additionally, we find that maintaining lower evidentiary standards increases both the probability that punitive damages are awarded and the size of those awards.  相似文献

We investigate a linear state differential game describing an asymmetric Cournot duopoly with capacity accumulation á la Ramsey and a negative environmental externality (pollution), in which one of the firms has adopted corporate social responsibility (CSR) in its statute, and therefore includes consumer surplus and the environmental effects of production in its objective function. If the market is sufficiently large, the CSR firm sells more, accumulates more capital, and earns higher profits than its profit‐seeking rival.  相似文献

This paper investigates the relationship between industrial concentration and price rigidity in the Indonesian food and beverages industry. A Cournot model of firm behavior is used in which prices adjust according to a partial adjustment mechanism. The model is applied to panel data of the Indonesian food and beverages industry over the period 1995–2006. The results suggest that industrial concentration has a positive effect on percentage price changes. Furthermore, the speed of price adjustment is higher when the per unit cost of production rises.  相似文献

Using data for rural India, this paper analyzes households' labor supply decision‐making, taking into consideration non‐participation, endogenous intrahousehold bargaining and nutritional status. Analyses of unitary and collective models suggest that bargaining between household members forms the basis of households' decisions, and these decisions alter households' internal power balance. Analysis of households' internal bargaining process suggests that women's bargaining power increases when their wages are higher and they are better educated. The results indicate that it is crucial to account for the mechanics of decision‐making within households when studying the effects of changing labor market conditions or designing development policies to improve individual well‐being or to empower women.  相似文献

We examine whether a firm's strategic priorities influence its selection of a new CEO and what conditions enable such an appointment to add value to the firm. More specifically, this study investigates the value‐adding effect when prospector firms (i.e., those pursuing a prospector‐type strategy) select a CEO with high social capital. We argue that uncertainty, driven by a firm's strategy, will determine the decision to select a CEO with high social capital; such CEOs can use their networks to mitigate the uncertainty and thus can be valuable to the firm. However, prior research indicates that CEOs with high social capital can engage in behavior detrimental to firm value. To mitigate the potential for this to occur, we assess whether corporate governance can play a role in prospector firms who appoint CEOs with high social capital. Drawing on archival data of CEO successions over a 14‐year period, we find that prospector firms have greater incentives to appoint CEOs with high social capital. We also find that prospector firms who appoint a CEO with high social capital improve their performance. Furthermore, the value‐adding effect of this selection choice is stronger in prospector firms with good corporate governance.  相似文献

This study examines how credit lines affect corporate cash holdings and capital investment using a hand-collected data on publicly traded Japanese firms from 2006 to 2017. The study compares firms with and without credit lines to investigate the effects of credit lines. The empirical results are as follows: (1) Firms with credit lines hold smaller cash reserves than those without; (2) Firms with credit lines undertake more capital investment than those without; (3) The effects of credit lines are more amplified for financially constrained firms than their counterpart; (4) A close bank–firm relationship plays a positive role in the effect of credit lines on corporate activities.These empirical findings indicate that credit lines can improve firms’ financial flexibility and allow them to use cash holdings held for precautionary reasons to invest. The results also show that credit lines and the attendant implicit bank–firm relationships are complementary to each other. Moreover, having both credit lines and a close bank–firm relationship is important to Japanese firms for their corporate activities. Furthermore, the results imply that the use of credit lines is still relatively undeveloped in Japan, which may be a reason for the country's large corporate savings and lackluster investment.  相似文献

Using extensive firm‐level data for the years 1998–2006, we analyze the regional location decision of Japanese manufacturing foreign direct investors in Korea by focusing on the role of agglomeration economies. Our logit estimates indicate that horizontal agglomeration matters in the location decision, but vertical agglomeration does not. Strong evidence of country‐of‐origin effects is found. Japanese foreign direct investments in high‐technology industries show a typical ‘follow‐the‐leader’ pattern, while those in the in low‐technology industries are influenced by regional endowments. In addition, Japan's high‐technology firms are likely to prefer urban locations so that they can enjoy the externalities of business services.  相似文献

Evaluating capital‐investment decisions is an important function of managerial accountants. There is anecdotal evidence, however, that managers avoid making decisions or delay decisions, which is costly in terms of time, effort, and lost opportunities. Prior research has shown that choice avoidance among nonprofessionals making personal decisions is associated with having to choose between alternatives with very different features or that require trade‐offs of very important goals (choice difficulty). It is unclear, however, whether experienced managers, using the analytical decision tools at their disposal, respond in the same way as nonprofessionals when making accounting decisions. Hence, this study examines whether increased choice difficulty increases negative affect in the capital‐investment decision‐making process and, as a result, the tendency of managers to avoid choice even when analytical decision tools are used. In an experiment with 120 executives, participants facing more difficult decisions reported they felt more worried, nervous, uneasy, and anxious and had a greater desire to postpone making the decision than participants in a control group. Participants provided with a decision aid designed to help them focus their cognitive effort reported a lower desire to postpone making the decision than participants in the choice‐difficulty conditions without the decision aid. I conclude by discussing the result's implications for managers and accountants.  相似文献

Economic conservation laws can be applied to evaluate corporate behavior. This paper is an empirical application of conservation laws to individual companies and industries, and is the first extensive investigation using Japanese corporate data. The results are tentative because of data constraints, but they suggest that the assumption of a constant discount rate and profit-maximizing behavior of a firm is consistent with observed data for many top-performing Japanese firms for 1980–2002. More generally, the results suggest the possibility of new criteria for evaluating firm behavior.  相似文献

In Gantler v. Stephens (2009), the Delaware Supreme Court makes explicit that corporate officers owe the same fiduciary duty to the firm and shareholders as do board members. The decision increased the risk of non‐board‐serving officers being added as named defendants to investor litigation but did not change the risk of corporate litigation. Analyzing the effect of the Gantler ruling on non‐board‐serving CFOs, we find a significant change in their behavior as well as in their firms’ disclosure and accounting choices. Specifically, speech tone during earnings calls of non‐board‐serving CFOs becomes more negative when compared to board‐serving CFOs and the firm's CEO, and non‐board‐serving CFO firms disclose bad news earlier and report more conservatively. Results are stronger for firms incorporated in Delaware. Our findings suggest that CFOs respond to personal litigation risk over and above corporate litigation risk.  相似文献

Using firm‐level data, the present paper investigates whether, and to what extent, firm balance sheet problems mattered for investment over the period 1992–2002. Various categories of firms are compared, with firms grouped according to their a priori degree of liquidity constraint. Firms are also divided into pre‐crisis and post‐crisis periods to examine the impact of the financial crisis on firms’ investments. The results support the existence of the balance sheet channel and suggest that Thai firms faced greater liquidity constraints following the financial crisis. Small firms and non‐bond‐issuing firms are found to have been more adversely affected by the crisis than large firms and bond‐issuing firms.  相似文献
