本文基于2003年的评价样本,从中国上市公司治理指数(CCGI^NK)及其所涉及的六个维度进行实证研究发现:上市公司治理指数对总资产收益率、每股净资产、加权每股收益、每股经营性现金流量、总资产周转率、总资产年度增长率、财务预警值均有显著的正面影响.这表明拥有良好的公司治理机制有助于提升企业的盈利能力、股本扩张能力、运营效率、成长能力,有助于增强财务弹性和财务安全性。公司治理中所涉及的控股股东治理、董事会治理、经理层治理、信息披露、利益相关者治理、监事会治理机制,在很大程度上决定了上市公司是否能够拥有一套科学的决策制定机制与决策执行机制。而这将对公司业绩和公司价值产生直接而深远的影响。  相似文献

作者以我国上海证券交易所2003年521家上市公司为样本,研究了企业社会责任活动与企业价值的相关性问题。结果表明,从当期看。承担社会责任越多的企业。企业价值越低;但从长期看,根据关键利益相关者理论与社会资本理论。承担社会责任并不会降低企业价值。同时,本文的研究也表明资产规模、负债比率、重污染行业因素与企业承担社会责任活动显著正相关;财务状况或其他状况异常的ST类公司、前一年的盈利能力与企业承担社会责任活动显著负相关。  相似文献

We study relationships between shareholder proposal activism, managerial response, and corporate social performance (CSP). We find that shareholder proposal activism reduces CSP. We infer that rather than pressuring firms to improve CSP, activism may engender diversion of resources away from CSP into political activities used by managers to resist external pressures and retain discretion. We also find that managers are more likely to settle proposals filed by ‘salient’ shareholders (i.e., those with power, legitimacy, and urgency). Settlement with salient shareholders, however, also reduces CSP, suggesting that managers' responses are symbolic; i.e., they settle with salient shareholders to demonstrate conformance but continue to resist making the substantive changes to core policies that may compromise their discretion. 公司的领导权结构反映了董事会的独立性和执行层创新自由的空间,它是公司内部治理结构的一个极其重要且高度可见的方面,依据来自中国证券市场数据的实证分析表明,领导权结构与公司绩效之间并不存在显著的线性关系,而且环境变量也未调和上述二者之间的联系。公司绩效的决定因素是很复杂的,而且是相互联系的,不能用单一的变量(如两职设置)来衡量,两职分设也并不是解决公司绩效问题的万能药。公司治理效率的根本决定因素在于合理的股权结构与市场化的人事任免机制。在现行的制度框架下,总经理兼任董事(不包括董事长)可能是一种较好的选择。  相似文献

本文以技能、意愿、素养为主要线索界定了企业对公共预期作出有效回应的内部资源基础,并构架了解释企业社会回应度动态机制的理论模型。该模型认为,影响企业社会回应度的因素主要包括:①企业对相关利益者进行正确细分的能力;②企业正确把握舆论议题的生命周期阶段的能力;③企业与相关利益者进行目标沟通的能力;④企业与相关利益者保持双轨博弈关系的意愿。  相似文献

以利益相关者理论为基础,从企业内部的资源和能力、外部的政府行为两个角度出发来考察广东省民营企业慈善捐赠行为的影响因素。运用Logistic回归模型,通过对273份有效问卷的实证分析,发现民营企业慈善捐赠行为与企业现金流的多寡没有显著关系,但企业形象、企业慈善决策机制、企业规模大小、企业所处的生命周期阶段对民营企业是否进行慈善捐赠有显著影响。我国民营企业应结合其资源能力和外部环境。开展战略性慈善捐赠,这是关乎其健康持续成长的重要要素。  相似文献

We investigate the role that a voluntary corporate restructuring can play in the design of efficient internal corporate control mechanisms. To this end, we examine the post-restructuring internal control practices in 78 voluntary corporate spin-offs that were completed between 1972 and 1987. We find that the selection of the new CEOs, the design of their compensation contracts, and the staffing of the boards of directors and their compensation committees in the spun-off firms can be seen as ex ante efficient. These governance and control practices, however, are not strongly related to the observed positive market reactions to the spin-off announcements. The results indicate that equity reorganizations facilitate the implementation of efficient internal governance and control practices, but that other factors must influence the share price reactions to the announcement of such voluntary corporate restructurings.  相似文献

为探索公司治理与企业价值的相关关系,文章构建了中国上市公司治理指数(CGI),包括了上市公司受到外部机构的审核意见、股权结构、董事会治理机制、经理人员激励四个主要方面。通过运用实际数据进行实证研究,发现我国上市公司的治理水平确实对企业价值有高度显著的正向促进作用,并随着改革的深入和证券市场的规范化,呈现出逐年强化的趋势。  相似文献

A revisionist view that corporate strategy does not matter has gained considerable influence in recent years. This view largely stems from empirical results of early variance decomposition studies that found negligible corporate effects associated with profitability differences between businesses. Our analysis of the variance decomposition literature shows this view to be incorrect. Not only do the studies as a group show that factors at the corporate level of organizations contribute to profitability differences, but also evidence suggests that factors specifically associated with corporate strategy contribute to corporate effects. 本文运用世界品牌实验室(World Brand Lab)发布的《中国500最具价值品牌排行榜》中的上市公司作为样本,以中国社会科学院发布的2009年中国企业社会责任发展指数计量企业社会绩效,实证分析了企业社会绩效与品牌金融价值之间的相互关系,结果发现:企业社会绩效与品牌金融价值存在相互促进的关系;企业规模不仅影响企业社会绩效,也影响品牌金融价值;企业社会绩效与企业性质存在显著的负相关,国有企业比非国有企业承担更多地企业社会责任,而对于品牌金融价值,无论是国有企业,还是非国有企业,均不受企业性质的影响。  相似文献

Among the various stakeholders of a firm, senior managers are the most likely targets for private and public political pressures. Other stakeholder groups are less visible and may be perceived as less influential in corporate strategy formulation and implementation. In some situations, consequently, senior executives may adopt corporate strategies in response to political pressures even if these strategies may be costly to shareholders. In this study, a special case is examined: the effect of divestment of South African business units on firm value. Using data from 1984 through 1990, we examine the impact that announcements of divestments have upon the stock return behavior of publicly traded firms. Our results indicate that significant and negative excess returns accrue to shares of companies announcing divestments of South African operations. These results are supportive of the premise that noneconomic pressures may influence managerial strategies rather than value-enhancement goals. © 1997 by John Wiley & Sons, Ltd.  相似文献

经典的公司金融理论建立在决策主体完全理性、有效资本市场的假设基础上。隐含地假定企业经理人与市场投资者都是追求效用最大化的理性决策者。但是,越来越多的资本市场异象和公司异常财务行为表明,决策主体的认知偏差及市场的非理性会直接影响决策过程和结果,而这很难被生硬地框入传统的经济理性范畴。现实中,企业经理人与市场投资者的非理性是普遍存在的,而且深刻影响着公司的财务战略决策,如公司融资、投资、股利政策以及收购兼并等。行为公司金融将市场投资者和企业经理人的非理性引入到企业财务行为研究中,对企业非效率投资行为给出了更为符合现实、也更有说服力的解释。  相似文献

慈善捐赠与企业价值之间的关系是企业社会责任研究关注的热点问题。本文就利益相关者满足程度对慈善捐赠影响企业价值的调节作用,进行了理论分析和实证检验。利用中国A股上市公司2002—2008年慈善捐赠的面板数据,研究发现,慈善捐赠价值效应以利益相关者满足程度为条件,即利益相关者满足程度越高时,慈善捐赠提升企业价值的效果才会越明显。进一步的研究表明,企业资源与董事会治理水平以及市场化程度,分别弱化和强化了利益相关者满足程度在慈善捐赠价值效应中的调节作用。本研究为评价慈善捐赠对企业价值的影响提供了更深层次的思考,对企业更好地履行慈善捐赠责任亦有重要启示。  相似文献

Building on and extending prior research, we propose a comprehensive framework which posits that free cash flow moderates the impact of corporate governance on financial diversification. We argue that because it increases CEO perceived risk, alignment devices increase rather than decrease financial diversification. In a sample of 59 publicly traded French corporations during 2000–2006, we show that financial diversification negatively impacts shareholder return and firm value. We obtain support for several of our hypotheses: at high levels of free cash flow, CEO variable compensation increases financial diversification, whereas chairman/CEO non‐duality reduces it. In contrast, independent directors increase financial diversification at low values of free cash flow (although weakly). We also find that ownership concentration only reduces financial diversification when free cash flow is low.Copyright © 2012 John Wiley & Sons, Ltd.  相似文献

In a widely cited paper, Rumelt (1991) presents estimates of the relative influence of corporate, business unit, and other influences on business unit profitability and finds the corporation explains almost none of the variability in business unit profitability. Using a Monte Carlo simulation, we examine the relation of variance component magnitudes to other indicators of the importance of a particular effect. Our results demonstrate that variance components can be an extremely nonlinear indicator of importance. We also question whether Rumelt's corporate effect represents the possible contributions of corporate strategy to business unit performance. This addresses a puzzle raised by Rumelt (1991) concerning the small effect of corporations in explaining performance, and suggests that Rumelt's findings should not be seen as demonstrating the insignificance of corporate strategy. © 1997 John Wiley & Sons, Ltd.  相似文献
