目前,学术界关于经理人股票期权的会计确认主要有两种观点:“利润分配观”和“费用观”。前者认为,根据企业主体理论,经理人以其人力资本享有固定的工资收入和利润分享权,其中一种表现形式就是经理人股票期权。后者则认为,会计簿记的立足点仍然是所有权理论。经理人股票期权所交换的是经理人提供的服务,这种服务的消耗就应该确认为费用。本文立足于对经理人股票期权不同确认方法的经济后果分析,认为“费用观”比“利润分配观”更具有现实意义。  相似文献

近年来,经理人股票期权激励机制在我国开始实施,如何在借鉴国外已有的先进经验的基础上,根据我国现有国情和“本土化”的股票期权计划的发展程度构建的我国股票期权会计制度就成为迫切需要解决的课题。本文认为我国经理人股票期权应当费用化确认,同时采用服务单位法在经理人提供服务期间进行摊销;选择公允价值为计量基础,行权日为计量日;采用公允价值法计算考虑经理人股票期权稀释效用后的每股收益并进行充分的信息披露。  相似文献

On December 18, 2003 the Accounting Standards Board of Canada announced that all firms registered in Canada would be required to expense stock options‐based compensation effective January 1, 2004. While a few firms had voluntarily opted to expense stock options prior to this date, the vast majority of firms had not. This study investigates the market reaction to this announcement by listed firms in the Toronto Stock Exchange that continued to disclose option expense rather than report it in the financial statement. We find no average market reaction by our sample firms affected by this mandate around the announcement date, but a significantly negative market reaction during the 5‐day window around the issuance date of the exposure draft. However, in cross‐sectional tests around the mandated expense announcement date, we find a significant negative relationship between the cumulative abnormal returns and the Black–Scholes value (and number) of options outstanding and of options granted the previous year. These results suggest that the magnitude of the market reaction to the mandated expense announcement is related to the firm's usage of options. Our results provide further evidence that stock prices may not fully impound information disclosed in footnotes.  相似文献

Abstract

In 2002, the UK adopted a regulation allowing shareholders to cast non-binding (advisory) votes on their firm's Directors' Remuneration Report during annual general meetings (the ‘Say-on-Pay’ rule). This study evaluates a decade of this regulation and examines how it affected the behavior of shareholders and boards in a sample of Financial Times Stock Exchange 350 firms during the period 2002–2012. I find evidence that shareholder dissatisfaction increases with excess Chief Executive Officer (CEO) compensation. This relationship does not exist for the expected level of compensation, suggesting that shareholders take a sophisticated approach when casting their vote. Boards do not appear to respond to shareholder dissatisfaction systematically; however, they do respond selectively by reducing the excessiveness of CEO compensation when performance is poor. Boards also seem to respond swiftly to shareholder dissatisfaction. There is evidence that the probability of CEO turnover increases with shareholder dissatisfaction. Overall, the evidence suggests that ‘Say-on-Pay’ regulation addressed regulatory concerns about transparency, accountability, and performance linkage.  相似文献

It is regarded as a classic, but due to circumstances that will be discussed below, its impact on general management theory has been relatively modest. An idea-historical re-examination of Executive Behaviour reveals several unique qualities of the study that are still worthy of recognition 50 years later. In this paper, we investigate the asymmetric risk spillovers between Shanghai and Hong Kong stock markets under the backdrop of China’s capital account liberalization by measuring the Conditional Value-at-Risk (CoVaR) based on adjusted realized volatilities and variational mode decomposition based copula model. The empirical results show that, the asymmetric features of risk spillovers between the two markets are significant and manifest different states before and after the Shanghai-Hong Kong Stock Connect and Shenzhen-Hong Kong Stock Connect schemes. More specifically, first, the downside risk spillovers from Hong Kong to Shanghai are significantly larger than its upside risk spillovers, while the risk spillovers from Shanghai to Hong Kong is on the contrary. Second, the short-run risk spillovers are more drastic than the long-run risk spillovers, except the risk spillovers from Shanghai to Hong Kong after the Shenzhen-Hong Kong Stock Connect scheme. Finally, by comparing the risk spillovers from two directions, the importance of Shanghai stock market gradually rises up with the implementations of Stock Connect schemes.  相似文献

Executive leadership operating in isolation may be a subliminal issue that has an impact upon how resources are allocated for preparing organizations to react to a sudden natural disaster. Two forms of isolation that are of particular interest are upper executive aloofness from management and an indifference to groups external to daily operations. Executive leadership may need to expand its attention to establishing a more inclusive strategy by engaging employees at all levels directly as well as those in leadership positions in organizations in both the public and nonprofit sectors.  相似文献
