经济全球化的迅猛发展促进了全球环境发生了巨大变化,也加快了公司治理模式国际趋同的步伐。独立董事制度作为影响公司治理效率的关键因素之一,随着经济的发展,其弊端也逐渐凸显。本文在公司治理国际趋同形势下的独立董事制度进行了深入的思考,对我国的独立董事制度和公司治理结构的完善提出和对策和建议。

文章在前人研究的基础上,首先对影响商业模式创新的重要三维因素进行分析,然后建立相应的模型,研究不同公司治理模式对企业商业模式创新路径选择的影响机理.指出公司治理机制通过影响企业商业模式创新动力、风险选择及创新程度(新颖性),从而对商业模式创新路径产生决定作用.     

公司治理模式趋同化及对我国的启示

公司治理体系是由外部治理与内部治理两部分组成。国际上形成了以外部治理机制为主的美英公司治理模式与以内部治理机制为主的日德公司模式,目前两种公司治理模式在一定程度的趋同。本文从公司治理模式趋同化的动因出发,分析了趋同化的表现,借鉴国外先进公司治理理念提出了完善我国公司治理模式的建议。
