This paper adds to growing interest in public to private buy‐outs and mechanisms to ensure bid success. Using a unique, hand‐collected dataset of 155 public to private buy‐outs we provide one of the first examinations of the determinants of irrevocable commitments. Irrevocable commitments involve undertakings given by existing shareholders to agree to sell their shares to the bidder before the bid to take the company private is announced. We find that, for management buy‐outs, the level of irrevocable commitments is increased by the bid premium, the reputation of the private equity backer and board shareholdings. The level of irrevocable commitments is reduced by rumours of a takeover bid and bid value. We therefore find evidence that management and private equity firms' activity prior to the bid's announcement can have an important impact on the process of going private.  相似文献

This paper is concerned with one of the central economic aspects of neoliberalism namely taxation. The shifting of the burden of taxation from the rich to the poor has been one of the raft of neoliberal economic reform policies. However, there has been a growing social movement in the UK against such a regressive form of taxation. This was led by a socialist political party in Scotland.1 This party devised a new taxation system which was specifically designed to reverse some of the economic inequalities brought about by the neoliberal turn. The new form of taxation, the Scottish Service Tax formed a bill (the Council Tax Abolition and Service Tax Introduction (Scotland) Bill) which was put before the Scottish Parliament in February 2006. This paper, taking a political-economy perspective, sets the possibilities presented by the bill within the context of neoliberalism.  相似文献

Analysis of longitudinal data from Employers Skills Updating Surveys in the United Kingdom suggests that in many establishments training plans were blown off course by the 2008–2009 recession, with reduced coverage of adult training and especially of off‐the‐job training. The effects of such cutbacks on skill levels have been partially alleviated by more precise targeting of on‐the‐job training on meeting skills improvement needs. However, in a sizeable proportion of establishments, future productivity and competitiveness are likely to be impaired by failure to upgrade adult workers' skills to standards which employers themselves perceived as necessary prior to the recession.  相似文献

We analyse the relationship between human capital and productivity growth using a five-country multi-industry dataset together with a measure of human capital which accounts for both certified skills (educational qualifications) and uncertified skills acquired through on-the-job training and experience. We find evidence of positive human capital effects on growth in average labour productivity, particularly when using our composite human capital measure. We also find some tentative evidence that multi-factor productivity (MFP) growth is positively related to the use of high-skilled labour. However, externalities of this kind are largely confined to industries which make intensive use of university graduates.  相似文献

This paper reviews a publication entitled 'Ethics Matters. Managing Ethical Issues in Higher Education', which was distributed to all UK universities and equivalent (HEIs) in October 2005. The publication proposed that HEIs should put in place an institution-wide ethical policy framework, well beyond the customary focus on research ethics, together with the mechanisms necessary to ensure its implementation. Having summarised the processes that led to the publication and the publication itself, the paper then considers whether following the now commonplace corporate practice of implementing a code of ethics is appropriate for such institutions. Drawing on both the empirical evidence in relation to codes in the business ethics literature and a consideration of the nature of the university as an institution, the paper offers an alternative suggestion for how ethical issues in higher education might be managed.  相似文献

ABSTRACT We welcome the increased emphasis on practice‐based theories of knowing as an alternative to the more representational, knowledge‐as‐object approaches which have characterised many organizational attempts at ‘knowledge management’ to date. Building on the findings of a short empirical study into the ‘knowledge management’ initiatives of a global software organization, which highlighted the value of rich context in the generation of meaning, we seek to shed some light on a perceived confusion about the nature of organizational context. We show such context to be an inseparable part of knowing, which it creates and by which it is defined, and re‐use Blackler's (1995 ) taxonomy of ‘knowledge types’ to illustrate the relational interaction between shared and deeply personal components of context. Finally, we use these insights to suggest a way in which organizations may be able to derive more value from their investments in internal initiatives by increasing their ability to support knowing – and hence the generation of meaning – amongst their employees.  相似文献

The market for prepared pet food in the United Kingdom (UK) is worth just over $2.3 billion a year. As a consequence, the pet food industry needs to be responsible, efficient, and at the forefront of technology. This research investigates the technological and industrial environment for innovation, which currently exists in the UK pet food industry. It draws primarily on existing research and secondary data sources including organisations such as the Pet Food Manufacturers' Association. The pilot study involved a detailed analysis of the issues regarding technological innovation in the pet food industry in the UK. In particular the results of the study have been analysed in detail using a “cross indicator analysis.” The research reveals that pet food SMEs in the UK are key players in the pet food industry and are willing to innovate to enhance their product lines even if at a moderate level.  相似文献
