South Korean industrial conglomerates (chaebols) are discussed in the context of value-based management (VBM). Recent economics and finance literature on the diversion of corporate resources from the firm to the controlling shareholders (tunneling), for which chaebols are notoriously known, is discussed. Chaebols have engaged in empire building and expropriation of minority shareholders, distorting the process of efficient resource allocation in South Korea, and became the root cause of the 1997 financial crisis. We argue that the 1997 crisis should be viewed as a consequence of chaebols’ systematic deviation from the guiding principles of VBM. We use tunneling within chaebols as an example of the need to directly address prohibition of the expropriation of minority shareholders as a primary postulate of VBM. We argue that VBM should require that the value generated by the firm not be expropriated from minorities, or any stakeholders, by dominant shareholders. We also examine moral and ethical considerations and present explanations as to why the unethical practice of tunneling has been tolerated by the South Korean public. We show that public opinion on tunneling is changing and that the treatment of minority shareholders by chaebols’ controlling families is becoming increasingly unacceptable to South Koreans. 相似文献

Tracing the modus operandi of textile traders in colonial Dar es Salaam, this article makes a case for viewing the availability and extension of credit in the form of textiles as a central aspect of traders’ lives. The versatility of textiles in the local context of Dar es Salaam not only contributed to their high demand, their use as the main medium of exchange and the basis on which credit was extended; it also shaped the local conceptualisation of entrepreneurship. This paper investigates pricing issues in class-based networks. Classes of packets having lower impatience and longer average delay receive monetary compensations. The inter-class price differential is determined by the inter-class compensations. The paper also presents rules for allocating network resource to each class. This exploratory study examines the early impact of the Unfair Commercial Practices Directive 2005/29/EC on enforcers in Scotland within the context of current policy developments regarding the use of civil and criminal enforcement
mechanisms within the UK. The Directive has been implemented in the UK by means of the Consumer Protection from Unfair Trading Regulations 2008 SI 1277 and the duty to enforce the Regulations falls primarily to local authority trading standards services. Twenty-one in-depth
interviews were conducted with a range of officers employed within the trading standards service based in eight local authorities
in Scotland on their perceptions of the new Regulations. The main findings were that officers’ views of the new Regulations
and the civil and criminal enforcement routes available to them was affected by structural, operational, and cultural issues
which varied from one authority to another. A number of officers were finding the Regulations a challenge to old ways and
there was evidence that many felt unprepared for the Regulations. A number of positive views were expressed regarding the
flexibility of the new Regulations and the advantages of the provisions relating to misleading omissions. Overall officers’

A natural field experiment is conducted on the determinants of consumer’s willingness to pay for “fair trade” (FT) products. In four treatments, subjects are offered different choices in connection with a coffee purchase, such as buying regular coffee or FT coffee at a premium, regular coffee with or without a premium, or donating directly or not donating. Depending on the treatment, the premium or direct donations are either given to FT or a well-known charity. A large part of the willingness to pay a premium for FT coffee over regular coffee is shown to be not related to the specific attributes of FT coffee but rather caused by the indirect transfer mechanism that FT uses, i.e., selling products at a premium which goes to the cause of FT. 相似文献

Forecasting performance of December corn and November soybean futures contracts during the previous spring was evaluated using the commonly specified price-level and percent-change models. These models invoke different assumptions regarding stationarity. Using Stein's analytical framework, results for the price-level model suggest avoidable social loss existed in the soybean market since 1973, because November futures provided biased forecasts. Regression R2s for both corn and soybeans declined substantially between 1952–1972 and 1973–1997, suggesting total social loss increased. By contrast, results from the percent-change model suggest only unavoidable social loss existed in the corn and soybean markets, because the futures provided unbiased forecasts. R2 increased for corn but declined for soybeans, suggesting unavoidable social loss declined for corn, but increased for soybeans. The need for conceptual work in marketing ethics is addressed by examining the five techniques of neutralization as a means for partially explaining unethical behaviors by marketing practitioners. These techniques are often used by individuals to lessen the possible impact of norm-violating behaviors upon their self-concept and their social relationships. Borrowed from the social disorganization and deviance literature, the five techniques of neutralization are: (1) denial of responsibility, (2) denial of injury, (3) denial of victim, (4) condemning the condemners and (5) appeal to higher loyalties. Examples of marketing professionals using each of the five techniques are given, and a conceptual model linking the techniques of neutralization with unethical behavior is presented.
