Corporate governance research indicates that corporate boards of directors may be overly beholden to management, which can be detrimental to firm value creation. Drawing upon agency theory and the governance law literature, we examine the effects of a new SEC rule designed to lessen managerial power by increasing large, long-term shareholders' influence in the director nomination process. We predict and find support for a positive overall market reaction to the rule's announcement as well as a greater reaction for firms with characteristics that suggest compromised board independence or greater CEO control. Moreover, we examine the implications of greater shareholder voice for another key stakeholder group, firm bondholders, and find evidence that it is also value increasing. Vertical supply chain linkages between foreign subsidiaries and domestic firms are important mechanisms for knowledge spillovers, contributing to the economic development of host economies. This paper argues that subsidiary roles and technological competences affect the extent of vertical linkages as such as well as their potential for technological spillovers. Using survey evidence from 424 foreign subsidiaries based in transition economies, we tested for the effect of subsidiaries’ autonomy, initiative, technological capability, internal and external technological embeddedness on the extent and intensity of forward and backward vertical linkages. The evidence supports our main argument that the potential of technology diffusion via vertical linkages depends on the nature of subsidiary roles. The risk to human consumers from contaminants in fish is often dealt with by issuing consumption advisories. The hypothesis that consumption rates vary as a function of knowledge about advisories was tested for 254 people fishing in the Newark Bay Complex, in the New York/New Jersey harbour estuary. Interviews were conducted in the complex throughout the fishing season. There were no ethnic differences in the percentage of people who fished, crabbed, or did both, Most people either fished or crabbed, but not both, which has implications for risk assessment and communication. Only 45% of the people interviewed had heard about advisories; American Indians had heard little about fish advisories, and Hispanics had heard little about crab advisories. There were ethnic differences in education, consumption patterns, and knowledge about advisories. Knowledge about consumption advisories and the amount of fish and crabs consumed are negatively correlated. Despite laws forbidding catching (and consuming) crabs from Newark Bay Complex, people continue to do so. A higher percentage of people who consume the most fish and crabs are aware of consumption advisories, compared to those at the low end of consumption, but people who consume no fish or crabs from the Newark Bay Complex have the highest level of knowledge. There are few differences in the ratings of the reasons for fishing between those who are, and are not, aware of advisories. Since people mainly fish and crab to be outdoors and with friends and family, relax, and commune with nature, risk assessors and communicators should acknowledge the social and aesthetic nature of the activity, and address consumption by separating the activity (fishing, crabbing) from the risk (pregnant women and children should limit consumption). 相似文献

In this paper, it is tested whether intermediate consumption of knowledge-intensive business services (KIBS) in the economy and technology advancement in the KIBS sector (measured by R&D expenditures) affect the international competitiveness of a country's KIBS sector. First, the definition of KIBS trade, in light of the available data from the balance of payments statistics, is presented. Then, using a panel data set from the EU countries over the period 2000–2009, a panel cointegration approach to estimating the model is adopted. The empirical study shows that among the old EU countries only those with high income are competitive in KIBS exports. Estimation results demonstrate that their competitiveness in KIBS exports is positively determined by domestic and imported KIBS intensity in the economy, as well as by the KIBS sector's technology advancement. The new EU countries usually were not competitive in KIBS exports, and those which were successful in this field seem to have derived their success mainly from international outsourcing rather than from building their own capacities. Their competitiveness in KIBS exports was positively determined by the KIBS sector's endowment in human capital, or via domestic KIBS intensity in the economy together with lower labour costs. 相似文献

During the past two decades, food assistance policy has shifted toward local or regional food purchases and away from purchases from donor countries. Although most local and regional procurement occurs through hard tendering processes open to large‐scale firms and farms, there is growing interest in identifying how and whether to procure from smallholder farmer organizations (FOs). To date, little is known about the drivers of successful contracting with FOs. We utilize data from the United Nations World Food Programme Purchase for Progress pilot in three East African countries to predict defaults on contracts. We examine four possible explanations: country contexts, FO characteristics, prior experience with contracts, and contract modalities and their relationship to local spot market prices. The single most important predictor of default is the increase in market prices between contract approval and delivery. Yet, although increases in market prices are linked to increases in default, this relationship is decreasing in contract size, indicating search costs associated with breaking contracts. Our findings yield both generalizable and context‐specific insights about whether—and when—procuring from smallholder farmers can be successfully integrated into the food assistance toolkit. 相似文献

Since the mid-1990s, the US payment system has undergone a transformation featuring a significant decline in the use of paper checks that is quite uneven across consumers and not well understood. This paper shows that characteristics of payment instruments are the most important determinants of instrument use by estimating econometric models of consumers’ adoption (extensive margin) and use (intensive margin) of checks plus six other payment instruments with a comprehensive new data source. Changes in the relative convenience and cost of checks can explain directly about 34% and 11%, respectively, of the 8.4 percentage point decline in check share from 2003 to 2006. Changes in the relative characteristics of substitute payment instruments also likely contributed indirectly to the decline in check use through an increase in the number of payment instruments per consumer, but the exact magnitude of this indirect channel cannot be identified with available data. 相似文献

This paper identifies and measures the costs (taxes) and benefits (subsidies) of membership in the Federal Reserve System for the period 1923–1976 and considers two hypotheses. The first, that banks have made membership decisions partly on the basis of net taxes and subsidies, is tested empirically. The second, that the Federal Reserve has reacted to this bank behavior by attempting to alter specific taxes and subsidies to affect membership, is treated through analysis of Fed actions. This paper contributes to the debate surrounding the question of whether biotechnology, particularly its applications in agricultural and food-related industries, should be regarded as revolutionary or evolutionary (with some reservations about the vaildity of teh question). The potential to create a revolutionary techno-economic paradigm shift does exist but it is currently systems. It is also important to consider the motivations underlying statements about the revolutionary/ evolutionary nature of biotechnology, as some such statements are intended to influence events rather than to reflect them. The impact of small firms on the direction and place of revolutionary change in these industries is likely to be marginal, unlike the situation in the early phases of teh electronics/IT revolution. HR directors are often exhorted to play a more ‘strategic’ role in their organisations. However, it is not necessarily clear what is meant by this, or whether it is possible for departments to change their role at a whim. In this article we examine the changing role of the HR function within two contrasting organisations – an NHS trust and a bank – over a period of seven years. Drawing on role‐set theory and concepts of negotiated order, we illustrate how HR functional roles are located within a complex and dynamic social setting, and present a model that seeks to map these interrelationships. 相似文献
