We empirically investigate the determinants of the payment form in mergers and acquisitions and introduce new variables on the target and acquirer investment characteristics to evaluate whether the concerns of target and acquirer shareholders are taken into account. Our sample encompasses mergers between publicly listed US companies from 1985 to 2004. Similarly we also consider the determinants of announcement returns using the same set of variables. We establish the relevance of a previously unreported variable for the determination of the payment form, the correlation of returns between target and acquirer, besides the more established determinants hostile takeovers, and defence mechanisms; weak evidence is found for the significance of budget constraints and no evidence for asymmetric information or tax considerations being a relevant factor. This paper investigates the international entrepreneurial behaviour of Mittelstand firms (German small and medium sized enterprises). Analysis of a survey of the international marketing strategies of Mittelstand firms revealed three clusters of firms, two that had below and one above average international activities. None of the clusters displayed born global type of internationalisation processes. However, this does not mean that they adopt passive approaches to internationalisation. The results suggest that Mittelstand firms engage in entrepreneurial behaviour that is proactive and innovative but which is cautious, sequential, and risk adverse. The implications of this analysis for future research in the area of international entrepreneurship are considered. 相似文献

Some of the reasons why this happened may be found in the general development. However, to a great extent it was owed to the personality of the President, Mr. Quartley, the Shipping Commissioner in the Government of Ghana. He had proved his ability to chairing international meetings already in IMCO and elsewhere. He has encouraged cooperation by the members of all groups with the effect that no decision was taken under pressure. We assess the empirical relevance for inflation dynamics of accounting for the presence of search frictions in the labor market. The new Keynesian Phillips curve explains inflation as being mainly driven by current and expected future marginal costs. Recent empirical research has emphasized different measures of real marginal costs to be consistent with observed inflation persistence. We argue that, allowing for search frictions in the labor market, real marginal cost should also incorporate the cost of generating and maintaining long-term employment relationships, along with conventional measures, such as real unit labor costs. In order to construct a synthetic measure of real marginal costs, we use newly available labor market data on worker finding and separation rates that reflect hiring and firing costs. We then estimate a new Keynesian Phillips curve by generalized method of moments (GMM) using the imputed marginal cost series as an observable and find that the contribution of labor market frictions in explaining inflation dynamics is small. 相似文献

Product modularization in new product development has attracted considerable interest among scholars and practitioners from diverse fields of specialization. This has resulted in cross-disciplinary diversity in the field, diverting attention from its overall intellectual structure and hindering the development of a common view and shared concepts. Extant research lacks an integrative review, transcending a focal discipline that could identify gaps and ambiguities while making recommendations to advance the field. Considering a period of 30 years (1990–2020), we generate a data set of 2988 citing publications to which we apply a co-citation analysis. Thereby, we uncover the intellectual structure of the field and find three research perspectives that represent key knowledge bases: (1) product system, (2) production system, and (3) organizational system. Delimiting the data set into four periods, we can track developments over time, where we notice an increasing disintegration of the product system perspective, which is rooted in the discipline of engineering design. Within the two other perspectives, we document extensive dynamism in terms of publications, especially in the two most recent periods, indicating an active discussion and a potential receptivity to new trends. For these periods, we also identify an emerging cluster of fundamental publications and an increasing emphasis on the concept of system architecture. Leveraging the synthesis of these results, we forge links between neighboring disciplines and recommend avenues for further research, ideally to develop a more common view. 相似文献

We measure the tax advantage of public firms over private firms, which operate at municipality level in the German household solid waste disposal industry. Public firms with sovereign duties pay no taxes, but equivalent private firms have to. In a simple risk-free setting, we develop a measure of the percentage difference of the charges of both types of firms demanded under their respective tax treatments. We model a cost-covering public firm and a net present value maximizing private firm. For sensible model parameters from the German waste disposal industry the private firm has to demand an about 16% to 18% higher charge. The by far biggest impact on the measure has the value added tax, with revenues as a much larger tax base than profits. Tax savings, which directly affect pre-tax profits, only alleviate the disadvantage bit. There is some evidence that at least one type of private firms—that is, private law firms that are also majority privately owned, are productive enough to overcome the tax advantage of public firms and be able to charge a lower price than public firms. 相似文献
