This paper empirically investigates whether illegal insidertrading increases the premium a bidder pays for a target. Illegalinsider trading is trading by traditional corporate insiders,as well as others in a position of trust and confidence (e.g.investment bankers, lawyers), based on material, non-publicinformation (inside information). The paper examinesthe premia of takeovers with known illegal insider trading andcompares them to a control sample of takeovers matched by industry, time period, and size that do not have detected illegal insidertrading. After controlling for differences in merger characteristics, such as number of bidders, type of offer, form of payment, etc.,we find that takeovers with detected illegal insider tradinghave takeover premia which are approximately 10 percentage points,or almost one-third, higher than the control sample. We conductadditional tests in an attempt to determine the direction ofcausality between illegal insider trading and takeover premiasize and explore the effect of potential detection bias. Theresults suggest both that illegal inside traders base theirtrades on factors other than premia size, and that illegal insidertrading in takeovers with large premia is not necessarily morelikely to be detected. Our findings are consistent with thehypothesis that the illegal insider trading itself tends tocreate larger takeover premia. 相似文献
This study examined the process by which individuals become engaged with their jobs by integrating seminal engagement theory. More specifically, we suggest that an individual factor (i.e. autotelic personality) and two contextual factors (i.e. feedback environment, job autonomy) interact to predict work engagement through three critical psychological states – namely availability, meaningfulness, and safety. This moderated mediation framework was tested using a cross section of the US population (n = 284); data were collected at two points in time with 3 months in between. Availability and meaningfulness mediated the relationship between autotelic personality and work engagement. Autotelic personality’s indirect effect on work engagement through meaningfulness and safety was conditional such that the nature of feedback environment’s effect depended on job autonomy level. Theory and practice implications are discussed. 相似文献
The concept of future‐market focus (FMF) arose out of the debate about firm size and incumbency in the face of radical or disruptive innovations, and has been demonstrated to have a positive correlation with radical innovation (RI) success. This study examines the relationship between FMF and the processes used in the early stages of NPD for four types of innovation projects: incremental innovations, technological breakthroughs, market breakthroughs, and radical innovations. We found that the future‐market focus of a project team can influence the early stage processes used in a new product innovation project, and does so differentially across levels of innovativeness. In particular, the concept generation process, understanding of market needs, and screening decision criteria are different for low‐ versus high‐FMF projects and there are differences based on the level of innovation. In addition, we found that radical innovation projects rated low in FMF are markedly different than the radical innovation projects described in prior studies. 相似文献
Understanding the social processes that support innovations in new biotechnologies presents an interesting challenge. Evidence from the Australian bioindustry reveals how the development and integration of new biotechnologies is a dynamic social process. Our findings highlight how new technology acceptance and integration rested on the micro‐politics of sense‐making and relational networking. 相似文献
As organizational buying systems grow more complex and sophisticated, suppliers increasingly rely on buyer advocacy: an individual buyer’s efforts to influence his/her colleagues such that the supplier’s standing is improved. Drawing from cognitive response theory, the authors hypothesize an inverted U-shaped relationship between a buyer’s advocacy for a supplier and the customer’s purchases from that supplier. They theorize that this effect is moderated by the advocate’s industry experience and customer–supplier relationship characteristics. An analysis of multisource data from a B2B service provider (Study 1) supports the predicted inverted U-shaped relationship, while a unique dataset from a large industrial supplier (Study 2) provides broad support for the hypothesized moderators. Finally, a randomized experiment (Study 3) replicates key findings and corroborates the theorized cognitive response mechanisms. Findings contribute to the limited literature on buyer advocacy within the organizational buying domain and offer practical implications for suppliers and buyers.
Background: Non-vitamin K antagonist oral anticoagulants (NOACs) have been included in international guidelines as important alternatives to vitamin K antagonists (VKAs) for the treatment of venous thromboembolism (VTE) and stroke prevention in non-valvular atrial fibrillation (NVAF). Meanwhile, in the Netherlands, NOACs are widely used next to VKAs. The objective of this study is to estimate the cost-effectiveness of treatment with rivaroxaban compared to VKAs in NVAF and VTE patients in the Netherlands, using data from international prospective observational phase IV studies.
Methods: Two models were developed to represent NVAF and VTE patients, populated with patients from the XANTUS (NCT01606995) and XALIA (NCT01619007) international prospective observational studies. The 1-year cost-effectiveness of rivaroxaban use, compared to VKAs, was explored in a population consisting of NVAF and VTE patients (base case) as well as for four scenarios with sub-populations: NVAF patients only, VTE patients only, NVAF patients with unstable international normalized ratio (INR), and NVAF patients using an INR self-measuring device.
Results: In the base case, rivaroxaban saved €72,350 and gained 21 quality-adjusted life-years (QALYs) in a simulation of 2,000 patients over the use of VKAs. Ergo, rivaroxaban was dominant over VKAs. The probabilistic sensitivity analysis showed a probability of 85% for rivaroxaban being dominant and 100% at a willingness-to-pay threshold of €20,000/QALY. Rivaroxaban appeared to be dominant in all scenarios as well, except for the NVAF-patients-only scenario where the incremental cost-effectiveness ratio (ICER) was €157/QALY.
Conclusions: In patients with NVAF or VTE, rivaroxaban treatment is likely to be cost-effective and a potentially cost-saving alternative to VKA in the Netherlands. 相似文献
