This paper adopts the Larson-Gonedes merger exchange ratio determination model to investigate the bargaining area in UK takeovers involving share-for-share exchanges. The model focuses on price-earnings ratios rather than share price returns and so is more consistent with practical valuation methods than other approaches. The basic model is extended for the UK to consider both cash alternative offers and mixed offers involving cash and equity consideration. The model is tested on a sample of 95 UK takeovers between 1984 and 1988 using consecutively unadjusted, FT All Share Index adjusted and beta adjusted price bases. The analysis adopts the conventional chi-square test used by Conn and Nielsen but, in addition, a new test is developed based on a Generalised Likelihood Ratio. We find that on an unadjusted price basis there is greater support for the Larson-Gonedes model in the UK than Conn and Nielsen found for the US. However, our extended model based on adjusted prices provides more cautious support. In addition, we conduct a sensitivity analysis to test the robustness of the results and provide further evidence on the wealth effects on acquiring and acquired company shareholders.  相似文献

One of the key issues surrounding geographical economics is whether the theory can be made operational, so that proper investigations can be made of the basic theoretical assumptions and practical use can be made of the model's predictions at a detailed spatial level. In this paper the model formalized by Fujita et al. (1999 Fujita, M, Krugman, PR and Venables, A. 1999. The Spatial Economy: Cities, Regions, and International Trade, Cambridge, MA: MIT Press. [Crossref] [Google Scholar]) is developed in the context of 36 regions of Great Britain, enabling direct comparisons with observed wage rate data that are used to calibrate the model. Iceberg transport costs are in the form of an exponential function and a power function. For the range of parameters considered, the power function gives a better fit between model and data, suggesting scale economies in transportation. The paper shows that, in spite of the assumptions that have to be made, quite realistic distributions of relative wages, income and prices are attainable. However, caution is required in the interpretation of these simulations, which in no way provide proof of New Economic Geography theory, which clearly has limitations. Nonetheless it is hoped that the work reported in this paper does help to advance the progress of geographical economics theory towards empirical verification.  相似文献

In this article, we examine whether variations in the level of public capital across Spain's Provinces affected productivity levels over the period 1996 to 2005. The analysis is motivated by contemporary urban economics theory, involving a production function for the competitive sector of the economy (‘industry’) which includes the level of composite services derived from ‘service’ firms under monopolistic competition. The outcome is potentially increasing returns to scale resulting from pecuniary externalities deriving from internal increasing returns in the monopolistic competition sector. We extend the production function by also making (log) labour efficiency a function of (log) total public capital stock and (log) human capital stock, leading to a simple and empirically tractable reduced form linking productivity level to density of employment, human capital and public capital stock. The model is further extended to include technological externalities or spillovers across provinces. Using panel data methodology, we find significant elasticities for total capital stock and for human capital stock, and a significant impact for employment density. The finding that the effect of public capital is significantly different from zero, indicating that it has a direct effect even after controlling for employment density, is contrary to some of the earlier research findings which leave the question of the impact of public capital unresolved.  相似文献

Energy industry companies have succeeded in maintaining and even increasing their production of knowledge during the last 15 years (1985/1998) within a financial context of reducing their in-house R&D expenditures. To understand these apparently paradoxical changes, elements of analysis are sought within an evolutionary framework, and especially referring to the related developments to network-firms, user-supplier relationships, and interactive nature of innovation processes. Empirical data are provided on patents granted to a sample of the top 15 world largest companies, both operators and equipment suppliers, and for the oil production and power generation industries. Interpretation of the results suggests that two dynamics ought to be distinguished. On the one side, dynamics of the networks of technological creation are characterized by a movement upstream of the head of the network towards suppliers. On the other side networks of creation of competitive advantages and bargaining power continue to be based on the operators and their strategies of adaptation to the constraints and opportunities of their institutional, financial and competitive environment.  相似文献

The strategies of multinational firms increasingly rely in Asia Pacific Region on processes of socialising their employees, who are seeking to develop and reinforce a “global” company culture, without endangering the cultures of local subsidiaries. Specialists have coined the term “cross-cultural management”. A role of “company ambassador” is allocated to a new generation of international executives in Asia whose mission will be to play an effective role as interface between head office its the subsidiaries – and between the subsidiaries themselves – once they have been suitably “impregnated” with the company culture and the particular features of different markets.

The repeated experience of international mobility that executives live through means that the individual may well be living in conflict with previous identities. It is true to say that nobody stays long in an internationally mobile situation without running the risk of there being strong divergence between the domestic and residential worlds, the life of the community and the world of the company. This article has been written as a result of in-depth research into the way executives of a large French oil company built up their identities and as a result of a study examines intercultural learning based on French expatriates' experience in China. We consider how French expatriates experience China and what imaginary underlies their perception. Analysis of daily socialization and interaction processes shows intercultural competence develops along distinct immersion stages: immersion–adjustment, immersion–comprehension, and immersion–integration. Individually, adjustment and comprehension support intercultural practice. The ultimate immersion stage leads to enlightened pragmatism stemming from “nomadic intelligence”. Where a researcher in the social sciences or a business man might have expected to have found an homogenous international elite, international executives building an “international system”, the heterogeneous nature of the identity strategies of international executives give the lie to the myth of the large company as a space for the irreversible assimilation of its members. At an individual level, being an international executive is a unique way of living the experience abroad, or rather, several different ways of experiencing identity strategies linked to the manipulation of one's ethnicity in a context of significant geographical and functional mobility.  相似文献

This paper introduces a qualitative valuation method to elicit stakeholders' intensities of preferences for a complex environmental issue and multiple social groups. Environmental valuation studies have shown that in any complex environment with a diversity of environmental services, stakeholders have difficulties using a monetary valuation to make trade-offs between different environmental services. Stated preference methods such as the Contingent Valuation Method (CVM) have been criticised for their individualistic format and assumptions of commensurability between environmental criteria. To alleviate both of these criticisms, we propose a qualitative valuation method. The method contains a discursive step to allow stakeholders to discuss and construct a list of environmental criteria and alternative plans. The list of criteria and plans is subsequently used by a group of experts to formulate an Impact Matrix (IM), which is to be used in the succeeding individualistic steps of the methodology. The first individualistic step consists of asking the stakeholders to rank Alternative Impacts (AIs) in the IM for each single criterion. The stakeholders are then asked to express intensities of their preferences through pairwise comparisons between the AIs of the constructed rank order on each single criterion. These intensities are expressed on a qualitative scale. Subsequently, to provide social intensities of preferences, a social preference (social rank order) is first determined for each single criterion. We propose to use the median value among the intensities of preferences as the social intensity of preference by assuming interpersonal comparability and taking into account stochastic monotonocity. This is a pre-processing step, which allows us to reach social intensities of preferences in the Lar rangeland (Iran), where several social groups have conflicting interests on rangeland services, leading to conflicting preferences on environmental criteria.  相似文献

This study adopts a multi-level theoretical framework to examine data from 496 entrepreneurs in Ghana. Seven types of innovation activity are analysed against three categories of variables: the characteristics of the entrepreneur, the internal competencies of the firm, and firm location. Across all respondents, the incidence of incremental innovation was far greater than novel innovation. The extent of innovation was related to the education level of the entrepreneur. Firm size and involvement in exporting were positively related to innovation, but firm growth is less systematically so. Innovation was greater in firms located in conurbations compared to firms located in large and small towns. We conclude with suggestions for policy to promote entrepreneurship and innovation in Ghana.   相似文献

The New York stock market was plagued by a series of financial crises during the National Banking Era, culminating in the Panic of 1907. The traditional view holds that the crises were rooted in structural flaws related to trade settlement as well as excessive and indiscriminate margin lending that remained unaddressed until the formation of the Federal Reserve Bank. An examination of the historical record, however, shows that brokers sought to control contagion and spillover effects through reform of the settlement process and by modulating margin lending rates and maintenance requirements according to macroeconomic conditions, counterparty credit‐worthiness and market volatility. Using newly gathered archival data, we show that the New York Stock Exchange enacted macro‐prudential regulations that may have reduced the severity of crises during this period. By providing early evidence of private sector responses to rising systemic risk, the paper addresses an important aspect of early market microstructure.  相似文献

Researchers and managers alike are becoming increasingly interested in the topic of unethical consumer behavior. Where most studies view unethical behavior as something that is identifiable per se, the authors of the present article believe that it only exists because it has been constructed by people operating within a specific context. Hence the efforts made by this paper to explore, at the level of one specific organization, how interactions between employees and consumers might lead to the construct of unethical consumers. Based on a case study of France’s AMDM—a mutual insurance company set up to serve a client base comprising motorcyclists—the paper addresses how one group of consumers ends up being categorized as unethical by revealing the existence of a sensemaking process within the target organization. This process develops in three main phases: the nurturing of a shared ethos; the protection of employees’ recognized status; and the demonization of any group of consumers threatening this status. Managers incorporating this sensemaking process can avoid or mitigate the negative effects befalling organizations when these kinds of unethical consumer behavior are constructed.  相似文献
